Matrix42 licensing is the set of terms under which Matrix42 (defined in its terms as Matrix42 GmbH and its Affiliates) grants customers the right to use its service management, endpoint management, data protection and remote support software. Its contracts are built from an Order Form, the Matrix42 General Terms and Conditions (GTCs), a set of Supplementary Terms and product Service Descriptions.[1] The current document set is valid from 1 July 2026. Earlier sets are archived by validity period on the vendor’s Terms & Conditions page.[3]
Every Matrix42 product is sold as a Subscription Service. Matrix42 grants a non-exclusive, non-transferable, non-sublicensable, limited Subscription License for the Subscription Term, subject to payment of fees. Use is limited to internal business purposes and to the amount, type and other limits of the Subscription Licenses bought.[1] A Subscription Service may be delivered to an Access Point as a Cloud Service, or as object code that the customer runs in its own environment, called a Software Service. On-premises deployments are therefore also term subscriptions, not perpetual licences.[1] The quantity is counted in one of the metrics defined in the Supplementary Terms concerning Products, such as Device, User, Named User or Agent, or Concurrent User.[2]
Editions
Matrix42 groups its products into point products, business solutions and an enterprise platform. The point products are IT Service Management, IT Asset Management, Software Asset Management, Unified Endpoint Management and Endpoint Data Protection. Matrix42 publishes no prices for any of them, and each deal is quoted individually.[4] Matrix42 acquired the Finnish vendor Efecte in April 2024. In October 2024 it announced three service management offerings: Matrix42 Core, Matrix42 Professional and Matrix42 Enterprise. All three include Matrix42 Intelligence or can be extended with it.[5]

The Marketplace is the one place where Matrix42 publishes list prices. Examples are FastViewer at 540.00 EUR per concurrent session per year (Matrix42 FastViewer - concurrent session, annual)[14] and Cloud Cost Management at 9,098.40 EUR per installation per year (Cloud Cost Management - per installation, annual).[15] Both prices exclude VAT.
Metrics
The Supplementary Terms concerning Products define the metrics that an Order Form or quote uses to set the scope of each Subscription License.[2] The main metrics are listed below. All of them are covered in detail in Matrix42 license metrics and counting.

The Supplementary Terms also define FireScope CI, Transaction, Connector, Integration, Remote Device, Server, System, Environment, NLP Generated User Message and User Message. Core and Oracle Database Instance are defined for third-party database software supplied with Matrix42 products.[2]
Counting / floors
Coverage (effective 2026-07-01). The customer alone is responsible for holding, at all times, the number and type of Subscription Licenses needed to cover all use. This includes use by third parties acting on its behalf.[1] Catalog proof: Customer must hold licences for all use, including third parties acting for it.
Records, not installations. Device, Asset and User are counted from active administrative records in the Matrix42 product. A record stays active until the customer can prove that the device was stolen, scrapped, is defective or has left its area of disposal, or that the person no longer works for it.[2] Catalog proof: Device counts computing devices with an active record; infrastructure and peripherals excluded.
Operators versus end users. Named User or Agent licences are needed only for people who work with the Matrix42 management interfaces. End Users are not included.[2] Catalog proof: Named User or Agent licences cover management-interface users only; End Users are not counted.
Pooling and automation. Without Matrix42’s prior written consent and a valid Subscription License, customers may not use any technique that pools connections or reduces the number of users, including multiplexing. The same applies to robotic process automation, AI agents or other automated systems that send more requests than a single person could.[1] Catalog proof: Pooling, multiplexing or anonymizing to reduce licence counts is prohibited, RPA, AI agents and bots need consent and a licence.
Floors. None of the retrieved terms sets a general minimum quantity. Some Marketplace add-ons have their own thresholds. PackageCloud per user, for example, is for customers with at least 250 users.[16] See PackageCloud licence quantity follows the Client Management licence count. Under the archived 2024 Product Usage Guideline, the per Device and per User metrics could not be mixed. The basic product also set the quantity required for its add-ons.[12]
Virtualization & partitioning
Matrix42 has no processor, core or partitioning metric for its own products. For the Asset metric, “It is irrelevant whether a device is operated in a virtualized environment”.[2] The archived 2024 Device definition contained the same sentence.[13] The GTCs list “virtualization” among the prohibited techniques, but only where it is used to pool connections or reduce user counts to get around licence limits.[1] The archived guideline allowed an instance’s components to be spread across virtual or physical systems, or clustered, for load balancing and high availability.[12] The Core metric applies only to Microsoft server products such as SQL Server supplied as Third Party Products, and follows Microsoft’s own definition.[2]
Cloud / BYOL
The Order Form names one of three hosting models.[2]
- Matrix42 Cloud. Matrix42 hosts the service and delivers it to the Access Point.[2] The hosting is done with a cloud infrastructure provider in the customer’s country, on a SaaS basis.[6]
- Cloud Your Way / Private Cloud. Object code runs in an environment of the customer’s choosing. Matrix42 provides support and maintenance over a continuous remote connection.[2] The customer chooses the data centre and manages that contract.[6]
- On-premises. Object code is delivered for the customer’s own system environment.[2]
The same Subscription License covers all three hosting models, so there is no bring-your-own-licence conversion between them. The hosting model does change which terms apply. The overuse and contractual penalty clause applies only to software hosted by the customer.[2] Matrix42 takes back-ups of cloud data only if it has continuous technical access.[1]
Programs
- Subscription Services. If the Order Form sets no Basic Term, it is 24 months. The contract then renews for 12-month Renewal Terms unless either party gives three months’ notice. Fees are invoiced 12 months in advance, and additional orders are co-termed.[1]
- Channel Partner purchasing. Customers can buy directly or through a Channel Partner. In the second case the fees are paid to the partner.[1]
- Free Products and trials. Each product can be tried free for 30 days.[4] Free Products are supplied as-is, and Matrix42’s liability for them is capped at 100 EUR.[2]
- Premium Services. An optional add-on for UEM and EDP. It provides priority 24/7 support, higher SLAs and an annual product health check.[7]
- LTSB maintenance. Long Term Service Branch versions of ESM and Empirum are listed separately in the product maintenance overview.[10]
- Action Credit subscription. AI Assist for Service Desk needs three subscriptions: a qualifying ESM subscription, an AI Assist subscription and an Action Credit subscription.[11]

Audits and compliance
Matrix42 may audit use on 14 days’ written notice at least once per calendar year. It may also audit at any time when it has justified reason to suspect misuse. Matrix42 pays for the audit unless it finds non-compliance, in which case the customer pays.[2] Separately, Matrix42 may review use remotely. If use exceeds the licensed rights, the customer must buy matching additional subscriptions within 14 days of notice.[1] For customer-hosted software, the customer must also pay for overuse at the current price list. Matrix42 may add a contractual penalty of up to three times the annual licence price.[2] The GTCs’ liability cap does not apply where use exceeds the licensing limitations.[1] Catalog proof: Annual audit right on 14 days' notice; customer pays if non-compliant, On-premises overuse: back-billing at current list price and penalty up to three times the annual licence price, Liability cap does not apply to use beyond licensing limitations.
