ClickUp plans and seat billing

ClickUp plans and seat billing describes the mechanics that determine what a paid ClickUp Workspace costs and when that cost changes. ClickUp counts people in a Workspace, bills them per seat, and applies one plan to the whole Workspace.[3] The contract side lives in the Terms of Service (Mango Technologies, Inc. DBA ClickUp); the arithmetic sits in the Help Center.[1]

Editions

A new ClickUp account is automatically set up with a Free Forever Workspace, and the account can create as many Workspaces as it likes. Each Workspace has to be upgraded individually to use paid plan features.[3] The pricing FAQ makes the same point: “Payment is per Workspace, meaning each Workspace requires an individual upgrade.”[2]

The pricing page headline reads “Save up to 30% with yearly”.[2] The Help Center lists one more plan, Max, aimed at heavy AI use, and says Core is equivalent to Unlimited in the “new plans”.[8] It is not possible for users to be on different plans in one Workspace, so a mixed estate of free and paid users needs either guest or limited-member roles or separate Workspaces.[3]

Metrics

The billing metric is the Paid seat. “One seat is assigned to each user in your Workspace, whether they require a fee or not.”[3] Owners, admins, members, limited members and permission controlled guests carry a subscription fee. In billing language, “a member or member seat refers to anyone invited as a member or admin”, and the owner is a member too.[4] See One seat per user, fee or not.

Two further metrics limit use without adding seats:

  • Feature use. ClickUp’s FAQ explains that “Uses are cumulative throughout a Workspace and they do not reset or count down.” When a limit is reached the Workspace keeps its data but cannot edit or create new items with that feature.[2] The help article repeats the rule: “Feature usage limits do not reset.”[9] See Feature usage limits do not reset.
  • Workspace storage. Free Forever is capped at 60MB and paid plans are unlimited; tasks do not count and only file attachments do.[2][12] The Upgrade article separately mentions a 100 MB threshold for prompting an upgrade, which does not match the 60MB cap.[7]

Counting / floors

ClickUp publishes no minimum seat count. The practical floors come from the structure of a Workspace:

  1. One owner. Each Workspace can only have one owner, who counts as a paid member.[5] Ownership can be transferred, so the seat count of one is a floor in practice.
  2. Open seats. When a member or limited member is removed, “their seat will remain open until filled by another person.”[6] An open seat can be filled by adding a paid user, or by converting a limited member view only or a guest to a paid role at no charge.[5] If no one fills it before the next billing cycle begins, the seat is removed.[6] See A removed member leaves an open seat and An unfilled seat is removed at the next billing cycle.
  3. Added seats are prorated. ClickUp “automatically bills you at a prorated price based on the time left in your cycle for any paid users added to your Workspace.”[2] See New paid users are prorated to the cycle.
  4. No reduction without notice on annual plans. For annual plans, notice of “reductions in user counts” and other downgrades must reach ClickUp at least thirty days before renewal or the Services renew for another twelve months.[1] See Annual plans need thirty days notice to reduce or cancel.

For a Workspace on a yearly cycle, seats are added as people join and are reduced only through the open-seat and renewal-notice mechanics above. The Terms add that fees are “non-refundable except as required by law or as set forth in Section 1.14”.[1] The cited help articles do not describe a credit for a seat given up in the middle of a term.

Virtualization & partitioning

Not applicable to a hosted service. The partitioning that matters commercially is the Workspace boundary. Each Workspace is billed separately, and consolidating Workspaces is a one-way migration performed by ClickUp, scheduled on Thursdays, which requires the destination Workspace to be on the same or a higher ClickUp plan and archives the source Workspace.[11] See Consolidating Workspaces needs an equal or higher plan.

Cloud / BYOL

There is no BYOL. Billing is in US dollars: “If your local currency isn’t USD, the pricing you see on the website is the current conversion rate to USD. You’ll be charged in USD”, without conversion fees from ClickUp.[7] Accepted payment methods are Visa, Mastercard, American Express and Discover; prepaid debit cards and PayPal cannot be processed, and Enterprise orders above a minimum can also be paid by bank transfer.[4][2] Only the Workspace owner or an admin can manage billing.[4]

Programs

Billing cycle and renewal

The Billing page shows a yearly or monthly billing cycle, and “You cannot mix yearly and monthly licenses within the same Workspace.”[4] A switch from monthly to yearly is made through Support and charges the next twelve months at renewal.[4] Customer accounts “are set to automatically renew”, and ClickUp may revise fees with email notice at least thirty days before the renewal date; the Terms state no cap on increases.[1] See Automatic renewal and Fee changes are notified thirty days before renewal.

Upgrades, downgrades and trials

An upgrade from a paid plan is prorated: ClickUp accounts for “what you’ve already paid and the time left in your previous plan.”[7] A downgrade can be requested during the cycle, but the Workspace switches “at the end of your billing cycle”, and the data remains in the Workspace.[8] Free trials of other plans do not delete data on expiry, but editing with the trial’s paid features stops.[7] See Upgrades from a paid plan are prorated, Downgrades take effect at the end of the billing cycle and Trial expiry blocks editing with paid features.

Refunds

The Satisfaction Guarantee refunds an initial purchase if ClickUp is contacted within thirty days, and applies for thirty days after an upgrade. It does not apply to Services bought through a sales representative or reseller, to renewals or expansions, or to purchases after a pilot or trial.[1] The Help Center repeats that add-ons bought as part of a first paid plan are covered, and that “All paid plan subscriptions automatically renew at the end of the billing cycle.”[9] See Satisfaction Guarantee excludes sales-assisted purchases and renewals.

Purchase orders and discounts

If a purchase order is used, its number must be provided at purchase, and “any terms and conditions on your purchase order will not apply and are null and void.”[1] Non-profit organisations and educators can request customised pricing through Support; the cited help article publishes no rate.[13] The pricing FAQ also names academic and startup programs, which are application-based.[2]

Add-ons

Add-ons are independent of the plan, must be added and removed manually and are itemised on the invoice.[8][9] A new add-on is prorated to the time left in the cycle: an add-on of USD 400 a year bought with six months left is charged at USD 200.[10] Owners and admins can cancel auto-renewal and keep the plan features to the end of the cycle. Out of scope

This article does not cover the Enterprise Master Services Agreement or negotiated price protection, which are not public. It does not cover guest and limited-member rules in detail (see ClickUp guests and limited members), AI Credits and Brain AI (see ClickUp Brain AI and AI Credits), tax and VAT handling beyond the invoice fields, or partner and reseller pricing. The seat arithmetic assumes the public plans; Workspaces on the “new set of plans” that ClickUp shows to some customers may differ in names and limits.[3]
