ClickUp terms, API and usage limits covers the documents that bind a ClickUp customer and the numeric ceilings that plans impose on automation, API and MCP use. ClickUp contracts through Mango Technologies, Inc. DBA ClickUp. The Terms of Service and the other policies listed on clickup.com/terms “govern and apply to your use of the free and paid services, software and websites”.[1] Where a customer buys through sales, the Master Services Agreement is the operative contract, and the AI Additional Terms say they form part of “the Terms Of Use or the Master Services Agreement, as applicable”.[2]

The Terms of Service say that earlier Terms of Use “will continue to apply to all purchases made prior to June 24, 2025”, so an older customer may still be under the prior text.[1] ClickUp may change the Terms and its Services “in our sole discretion”; unless the change is made for legal or administrative reasons it gives reasonable advance notice, and continued use constitutes agreement.[1]
Metrics
Three numeric limits sit outside the seat count. Each is a catalog metric:
- Automation Action: a Workspace-wide monthly count.
- API request per minute per token: a per-token rate.
- MCP call per rolling 24 hours: a per-Workspace daily pool.
Automation Actions
“All plans can use Automations”, and the number of active Automations and Actions per Workspace depends on the plan.[5]

Action limits reset on the first of every month (PST), usage alerts go to owners and admins at 90% and 100%, and “When your limit has been exceeded, your Workspace’s Automations are paused for that month.”[5] An owner or admin can buy more Actions “for a monthly fee on the Business Plus and Enterprise Plans”; the charge is prorated to the time left in the cycle.[6] A single Automation has one trigger, up to 15 conditions (Business and above) and up to six actions. Usage history is kept for one day on Free Forever, Unlimited and Business, 30 days on Business Plus and six months on Enterprise.[5] See Automations pause when the monthly Action limit is exceeded, More Automation Actions can be bought on Business Plus and Enterprise and Automation Action limits scale by plan.
API and MCP limits
“The ClickUp API applies rate limits per token. These limits apply to both personal and OAuth tokens and vary by Workspace Plan of the Workspace hosting the token.”[7] The limits are 100 requests per minute on Free Forever, Unlimited and Business, 1,000 on Business Plus and 10,000 on Enterprise, and the API returns HTTP status 429 when exceeded.[7] The API is available on all plans; workspace owners and admins can create OAuth apps; members and limited members with full edit permissions can use personal tokens.[9] The MCP server is also on all plans but is limited per Workspace per rolling 24 hours unless the Everything AI add-on has been bought: 100 calls on Free Forever, 300 on Unlimited, 1,000 on Business, 2,500 on Business Plus and 5,000 on Enterprise.[8] “Every MCP request counts toward the limit, including everyday actions like reading, creating, and updating tasks.”[8] See API rate limits are per token and depend on the plan and API access is on all plans but not for view-only limited members.

Structural limits on Free Forever and lower plans
The pricing comparison table lists per-plan structural limits that behave like floors and ceilings.[10]

The Chat help article states a Free Forever limit of 1,000 messages shared across the Workspace, a 90-day history limit and 30 Posts, none of which reset.[13] The pricing page lists a 30-day Chat message history on Free Forever, so the two ClickUp pages disagree on that figure. Free Forever storage is 60MB.[10]
Security features by plan
Single sign-on is tiered. “SSO using Google is available on the Business Plan and above” and “SSO using Microsoft, Okta, and SAML is available on our Enterprise Plan.”[11] SCIM provisioning, session management, the audit log and data residency are Enterprise features on the pricing page, and SMS two-factor authentication begins at Business.[10] One custom role is available on Business Plus and unlimited on Enterprise; the View Audit Logs permission is among the permissions a custom role can carry.[12] See SSO options depend on the plan and Custom roles need Business Plus or Enterprise.
Virtualization & partitioning
Not applicable. Two partition rules do matter. MCP, Automation and AI limits are per Workspace, so a customer that splits work across Workspaces gets separate allowances but buys separate plans. And consolidating Workspaces is a one-way migration that archives the source Workspace and needs the destination to be on the same or a higher plan.[14]
Cloud / BYOL
Terms of Service grant
“Subject to your agreement and continuing compliance with these Terms and any of our other relevant Policies, we grant you a non-exclusive, non-transferable, revocable access right to use the Service solely for its intended purposes.” The right excludes distribution, derivative uses, scraping or data mining, downloading, and accessing the API with an unauthorized or third-party client. Downloadable Software is licensed on a “limited, nonexclusive, nontransferable, revocable” basis solely to access the Service.[1] The customer owns its Customer Content, and the Terms grant ClickUp only “the limited rights needed for us to provide the ClickUp Service”.[1] See Access right is non-exclusive, non-transferable and revocable.
Suspension, change and publicity
ClickUp may suspend or terminate accounts “at any time without liability” for reasons that include a free account with no activity for sixty days, trial accounts without a payment method thirty days after expiry, and abuse of trials or free offerings. It may stop offering a part of the Service without refunds.[1] By using the Services a customer also consents to ClickUp naming it as a customer on its website and promotional materials, and may ask ClickUp to stop.[1] Account registration must be by a human, and the account holder must be at least 16.[1]
Integration Manager
The Integration Manager grants “a worldwide, non-exclusive, non-transferable, non-sublicensable and revocable right to use” it “solely for your internal business operations”. The customer must acquire the licences for any third-party application it connects.[4] See Integration Manager is for internal business operations.
Programs
Developer Platform licence
The Developer Platform licence is a “limited, non-transferable, nonexclusive, revocable royalty-free license, without a right to sublicense” to use the API, with a separate SDK licence that allows embedding of SDK software only inside an App.[3] The following conditions apply to a developer or an integrator working for a customer:
- Each App must follow ClickUp’s Service Limits and may not circumvent them or use the API for benchmarking or competitive purposes.[3]
- “Use of ClickUp Products requires each end user to have a valid license or subscription with ClickUp”, and the Terms do “not grant you the right to distribute or resell ClickUp Products”.[3]
- Developers may not charge end users for use of ClickUp functionality, but may charge a standard overall fee for their App.[3]
- End User Data may not be sold or used to train AI or machine learning models without each affected end user’s permission, must be deleted within ten days of App deactivation unless consent to retain is obtained, and security incidents must be notified within 24 hours.[3]
- ClickUp may terminate on thirty days’ notice for any reason, or after fifteen days if a breach is not cured.[3]

Audits and compliance
There is no audit clause in the public Terms of Service, AI Additional Terms, Developer Terms or Integration Manager Terms. The Developer Terms contain a “Right to Review” that lets ClickUp review an App against its guidelines and request information, including test accounts.[3] The Terms of Service allow ClickUp to make “any inquiries we consider necessary to validate your identity”, which “may include asking you for further information and/or documentation about your account usage”.[1] A customer can therefore be asked for usage information, but the public Terms set no audit procedure, notice period, remedy or fee structure.
Dispute terms are relevant to any compliance disagreement. Except for opt-outs and intellectual property disputes (trademarks, trade dress, domain names, trade secrets, copyrights and patents), disputes are resolved by binding individual arbitration under the American Arbitration Association’s consumer rules, with a class action waiver and a 30-day opt-out by written notice. The Terms are governed by California law, with San Diego courts for excluded disputes and opt-outs, and claims must be filed within one year after they arose.[1] The customer indemnifies ClickUp for claims arising from its Content, its breach of the Terms and violations of law.[1]
Out of scope
This article does not cover ClickUp’s privacy policy, Data Processing Addendum, security policy, subprocessors or cookie policy. It does not cover the Master Services Agreement or the HIPAA Business Associate Agreement, which the pricing page lists as available on Enterprise through sales, and it does not cover case law: no court decision about ClickUp’s licensing or licence audits has been found in the primary sources consulted.
