monday.com Terms of Service, renewals and SLA

The monday.com Terms of Service are the standard agreement for all monday.com Services. The Services include the platforms, products, applications, API, tools and monday AI, offered online and through mobile apps.[1] The Terms are between monday.com Ltd. in Tel Aviv and the customer. monday.com may use affiliates, including monday.com Inc. in New York, and third-party providers to collect payment.[1] The current version is dated 2026-05-05. The Terms become binding on the Effective Date, which is the earlier of clicking to accept and registering for, using or accessing the Services.[1] A person who accepts on behalf of an employer represents that they have full legal authority to bind it.[1]

Editions

The Terms of Service apply to every product and plan. Specific Services Terms add conditions for certain features, such as the monday AI Terms and the HIPAA Business Associate Agreement. Enterprise customers also receive the Service Level Agreement for Enterprise Plan.[1][2] Services may be bought through an Order Form, which “will list, at a minimum, the Services ordered, the associated fees, the subscription plan and term”. Terms in a customer purchase order about the Services have no force or effect.[1]

Use rights and restrictions

Section 5.3 grants “a limited, worldwide, non-exclusive, non-transferable right to access and use the Services and Sites, during the applicable Subscription Term, solely for Customer’s internal business purposes”.[1] Section 5.4 prohibits giving, reselling, timesharing or sublicensing any part of the Services to any third party, “including, but not limited to your affiliates”, and using them in a service bureau arrangement. It also prohibits circumventing features “that enforce limitations on use of the Services”, and reverse engineering.[1] The API may be used only for internal business purposes, to integrate the Services with systems the customer uses internally.[1]

The affiliate restriction matters for group structures. A subsidiary cannot simply be added to a parent company’s account as a third party. Combined with §2.5, which treats users from affiliates and subsidiaries as internal users rather than guests, it means group users are expected to hold seats in the customer’s account.[1] Catalog proof: Access limited to internal business purposes; No sharing the Services with affiliates.

Accounts, Admins and users

The first user of an account becomes its Admin. Admins are treated as authorised representatives of the customer and can buy, upgrade or downgrade Services.[1] The customer acknowledges that an account “can become managed by a representative of the entity that owns or controls the email address domain with which your Account was created or registered”.[1] User types (guests, viewers, members and others) carry different rights. Assigning internal users as guests allows monday.com to reassign them and charge additional fees.[1] The customer is responsible for all users’ activities, including Order Forms they place.[1] It is also responsible for third-party automated systems and AI agents (“Third Party Agents”) that use the account, including giving them an appropriate user type.[1] Catalog proof: Accounts can be taken over by the email domain owner; Internal users may not be classed as guests; Customer responsible for all Users and their orders; AI agents must be assigned the right user type.

Fees, upgrades and adding users

Fees are set in the Order Form and are “stated in US dollars” unless indicated otherwise. Unless the Terms say otherwise, Fees “are non-cancelable and non-refundable”. monday.com may change Fees, with notice where existing subscriptions are affected at renewal.[1] Fees exclude taxes.[1] Catalog proof: Fees in US dollars and non-refundable.

Upgrades include adding users, moving to a higher plan, adding add-ons, increasing usage-based offerings and moving to a longer term. Some upgrades restart the Subscription Term. Upgrades are billed at then-current rates, either pro rata for the rest of the term or, where the term restarts, with fees already paid deducted from the new fees.[1] Adding users always has that effect by default: “Any changes to the number of Users within a certain Account, will restart the Subscription Term for all or some of the Services”. The exception is where an Order Form provides for pro rata additions.[1] Excessive use, for example “an excessive number of guests, excessive use of automations”, allows monday.com to reprice, impose fees, require an Upgrade or restrict use.[1] Seat overages are handled in the product by the auto-upgrade to the next seat bucket.[6] Catalog proof: User count changes restart the Subscription Term; Excessive guests or automations can be repriced.

Renewal

Subscriptions include automatic renewal by default. A subscription renews for a period equal to the original Subscription Term and, unless the customer is notified otherwise, at the same price, excluding first-term discounts and subject to tax changes. Renewals include the Usage Based Offerings in effect just before renewal.[1] For an annual subscription, the cancellation notice must be given “no less than 30 days prior to its expiration”.[1] A customer who cancels during the term stops the next renewal “but Customer will not be refunded or credited for any unused period within the Subscription Term”.[1] Promotional discounts are not carried over: monday.com renews “at the full applicable Fee at the time of renewal” unless a separate binding agreement says otherwise.[1] The Enterprise plan has a minimum term of 12 months.[4] Catalog: Subscription auto-renewal; proof Annual subscriptions need 30 days cancellation notice, No refund for unused term after cancellation, Discounts lapse at renewal.

Refunds

Section 9.1 allows a customer that is not satisfied with its first purchase to terminate it by written notice within 30 days and receive a pro rata refund of unexpired prepaid fees. Fees for Usage Based Offerings are excluded. The refund “does not apply to any additional or subsequent purchases, upgrades, modification or renewals of the Services (even if such were performed during the Refund Period)”. After the Refund Period, fees are non-refundable and non-cancellable.[1] The pricing FAQ summarises this as a partial refund for a yearly subscription cancelled within 30 days of payment. It adds that past the refund period “we offer no refunds for downgrades”.[3] A chargeback is a breach that allows suspension or termination.[1] Catalog: Initial Purchase refund period; proof 30-day refund only for the Initial Purchase.

Resellers and Partners

When a customer buys through an authorised reseller, distributor or other approved intermediary (a “Partner”), the Terms prevail over the Partner Agreement as between the customer and monday.com. Rights the Partner grants beyond the Terms can be enforced only against the Partner. Access depends on monday.com receiving payment from the Partner, and monday.com may move billing to itself at any time.[1] Catalog proof: Terms of Service prevail over Partner agreements.

Trials

Trial Services and free plans have limited duration and functionality, and monday.com may modify or cancel them at any time.[1] They are provided as-is, monday.com’s indemnity does not apply, and monday.com’s total liability for them is capped at USD 100.[1]

Termination

Either party may terminate for an uncured material breach, with a cure period of at least 10 days, or for insolvency.[1] A customer can cancel the Services or delete the account at any time. Except within the Refund Period, the termination takes effect at the end of the current Subscription Term, and the obligation to pay fees until then remains.[1] On termination or expiry all rights end. Exporting Customer Data beforehand is the customer’s sole responsibility. Any Read-Only Mode for exporting data may be ended without notice, after which the data is deleted.[1] Catalog proof: Export Customer Data before termination.

Enterprise Service Level Agreement

The SLA applies to Enterprise Plan customers who are current on their payments. It includes customer success services and 24/7 email support.[2] Core Services “shall be available no less than 99.9% of the time”, measured monthly. Shortfalls earn service credits, calculated as a percentage of the fees for the affected month.[2] Credits apply only against future payments and “will not entitle Customer to any monetary refund”. They must be requested within 90 days. For reseller purchases, the reseller passes the credit on.[2] Catalog: Enterprise Plan SLA; proof Enterprise uptime commitment of 99.9%, SLA credits are not refundable in cash.

AI terms

The monday AI Terms form part of the Terms of Service. They prevail where the two conflict, state that monday AI may carry additional fees, and exclude monday.com’s indemnities for AI use. They are covered in monday.com AI credits and usage-based offerings.[5]

Audits and compliance

The Terms of Service do not give monday.com a right to audit the customer’s books or systems. Compliance is enforced through the hosted service. monday.com’s measurement of Usage Based Offerings is “final and binding”.[1] It may reassign user types and charge for misclassified guests, and it may reprice excessive use.[1] Seat overages trigger the auto-upgrade.[6] Catalog proof: monday.com usage measurement is binding.
