Notion seat billing and true-ups

This article is about how Notion bills paid seats: upfront billing, proration for added members, the seat reset at each renewal, monthly invoices on yearly plans, contract-term commitments under the Master Subscription Agreement, refunds and payment failure. Notion seat billing is the way Notion Labs, Inc. turns the number of members in a workspace into charges. Notion uses “a billing model that charges you based on the number of seats, or licenses, you are using in a workspace”, with one seat assigned to each member.[2] Notion describes a paid seat as “a license for one member to use your Notion workspace”.[1] Self-serve customers are billed automatically through the billing screens, with seats reconciled monthly and at renewal. Organization customers on an Order Form are also bound by the commitments in the Master Subscription Agreement (MSA).[6]

Editions

The rules on this page apply to the paid plans: Plus, Business and Enterprise. The Free Plan has no seat charge, and the free Education Plans have no seat charge either. Workspaces bought through the Apple App Store or Google Play are billed and refunded by those stores.[4][5]

Metrics

The billing unit is the Member (paid seat), counted per workspace. “If you have multiple paid Notion workspaces, you’ll be billed for them separately based on how many members you have in each”, even when the same people belong to several workspaces. Each workspace can also have its own billing interval.[2] Restricted members count as members. Guests and temporary members do not use paid seats (see Notion plans, members and guests). Counting / floors

Upfront billing and plan changes

“You always pay for Notion at the start of your billing interval.”[2] An upgrade takes effect immediately and starts a new billing period. The charge for the new plan is reduced by a prorated amount for the time left on the old plan. A downgrade takes effect at the end of the billing cycle.[4] Subscriptions renew automatically until cancelled, and a cancelled plan keeps its paid features to the end of the cycle.[1] Catalog proof: Upgrades take effect immediately; downgrades at period end.

Adding members

When a member is added, Notion first fills any open paid seat. “If you do not have any existing available paid seats, your count of paid seats will increase by 1.”[1] A new seat is prorated: “You only pay for the fraction of the billing interval that a member belonged to your workspace.”[2] Catalog proof: New members fill open paid seats before new seats are added; Added members are prorated; removals are not.

The timing of the invoice depends on the billing interval:

Notion states that “Regardless of whether you’re paying yearly or monthly, we review how many members you’ve added and issue invoices on a monthly basis.”[2] This is a self-serve true-up. A yearly plan is not frozen at the seat count bought on day one. Every month, added members are invoiced for the remainder of the year, plus the time they have already used. Catalog proof: Yearly plans are invoiced monthly for added members.

Removing members

Removing a member does not produce a credit. “If you removed members, you will not receive credit but instead will still have use of that seat for a different user for the remainder of the billing period.”[1] Billing decreases “take effect at your next billing cycle and are not prorated mid‑cycle”.[2] Notion’s own example is three contractors who leave mid-year. Their three seats can be refilled with new hires or interns at no extra cost until the period ends.[2]

Renewal reset

At each renewal the seat count is reset to reality: “Each time your billing period starts (monthly or annual), your count of paid seats will be synchronized so it exactly matches the amount of members present in your workspace.”[1] The renewal charge is the plan price times the members in the workspace, plus prorated charges for seats added in the past month.[1] For a yearly plan, the practical consequence is that unused seats can only be shed by removing members before the renewal date. After renewal they are billed for the full year. Catalog proof: Seat count resets to actual members at each renewal.

Contract commitments under the MSA

Organization customers accept the MSA when they click to accept it, sign an Order Form or use or pay for the Services.[6] Several MSA clauses override the flexible self-serve picture:

  • No mid-term reduction (s.4.2). “You may not downgrade your Subscription Plan or reduce the number of Users during any Subscription Term.” A downgrade or a lower user count for the next term needs 60 days’ written notice before the current term ends.[6] Catalog proof: No downgrade or user reduction during a Subscription Term.
  • Auto-renewal (s.1.1). Subscriptions, including Add-ons, renew for a period equal to the expiring term unless either party gives written notice at least 30 days before the end. Renewals are priced at Notion’s standard fees unless the Order Form says otherwise (s.4.1).[6] Catalog proof: Subscriptions and Add-ons auto-renew for an equal term.
  • Non-cancelable (s.4.1, s.10.4). Order Forms are non-cancelable and fees nonrefundable. If the agreement ends other than for Notion’s uncured breach, the customer pays the remaining fees through the end of the term.[6] Catalog proof: Order Forms are non-cancelable and fees non-refundable.
  • Excess usage (s.2.3, s.4.1). If use exceeds the plan limits, Notion will try to notify the customer. If the excess persists, Notion may require “that you execute an Order Form or otherwise purchase additional usage”, and may suspend access in a narrowly tailored way.[6] Catalog proof: Excess usage must be bought after notice.
  • Monitoring (s.1.9). Certain plans “may require monitoring of Account Information” to reconcile the number of Users and usage with the plan.[6] Catalog proof: Notion may monitor account data to reconcile users.
  • Unique identities (s.2.1, s.2.2). Credentials may not be shared or used in multiple locations at once. The customer may not “temporarily and superficially” reduce Users to get around plan limits.[6] Catalog proof: Each User needs a unique identity; no credential sharing.

The Notion AI and Notion Credit Supplementary Terms use the word “True-Up” directly. Monthly Notion Credits for added Users are allocated only after an in-product purchase, “a True-Up has been completed and the applicable invoice has been paid”, or an Order Form for the additional Users is executed.[11] Notion does not publish a true-up schedule for Order Form customers. The cadence is a matter for the Order Form. Catalog proof: Monthly Notion Credits for added Users require a completed purchase or True-Up.

Multi-workspace and claimed workspaces

On Enterprise, organizations can manage several workspaces. Removing a workspace from organization settings “does not automatically remove it from your contract or stop billing”. Contract removal has to be requested from Notion in writing, with the workspace ID.[8] In the other direction, when administrators use domain management to claim a workspace created by employees, the customer takes on “the obligation to pay Subscription Fees for any additional Users resulting from such claimed Workspace” (MSA s.4.5).[6] Catalog proof: Removing a workspace from the organization does not stop billing; Claiming employee workspaces adds their Users to the bill.

Refunds, invoices and payment failure

Notion’s refund page says that in most cases a refund can be processed if the customer writes within three days of the invoice date for monthly billing, or within 30 days for annual billing. Prorated charges for accidentally added members can be refunded within three days if those members have been removed.[5] Requests must come from the workspace owner’s email or the billing email on file. App Store purchases go to Apple.[5] The pricing FAQ notes that customers in regions with mandatory refund rules, such as the EU, may get a full monthly refund within 14 days.[1] By contrast, the Personal Use Terms of Service say fees are non-refundable with no credits for partly used periods, and the MSA says Subscription Fees are nonrefundable except as the agreement provides.[9][6] The refund windows are therefore a published practice, not a contractual right. Catalog proof: Self-serve refunds within 3 days (monthly) or 30 days (annual).

Invoices are not emailed. Owners download them from the billing settings. An invoice can differ from the plan price because of member changes, a change of billing interval or a mid-period upgrade, which is billed as a blend of the old and new rates.[7] Notion credit purchases are invoiced separately from the plan.[7] Valid billing credits expire six months after they are generated.[10]

If a payment fails, Notion may retry it up to eight times within the next month. After that, the workspace is restricted to limited access for a period and then downgraded to Free.[1] Under the MSA, unpaid amounts bear interest at the lower of 1.5% per month or the highest lawful rate, and Notion may suspend access.[6] Catalog proof: Failed payments lead to restricted access then downgrade to Free.

Not applicable. Seats are counted per workspace, not per device or server.

Programs

Order Form subscription (MSA) records the contracted model. Notion Reseller purchases covers customers who buy through a reseller. They pay the reseller under a Reseller Agreement that does not bind Notion. Notion or the reseller may suspend service for uncured non-payment, and any refunds or service credits are paid to the reseller (MSA s.4.6).[6]

Practical reconciliation

Commentary, based on the cited rules. A seat reconciliation for Notion compares, per workspace:

  1. the paid seat count shown under Settings, Billing (owners only);[2]
  2. the member list, including restricted members, against HR or directory data;
  3. guests who are internal staff, who should be members under Notion’s guidance;
  4. duplicate paid workspaces holding the same people;
  5. for Order Form customers, the contracted user count. The MSA bars a mid-term reduction, so any reduction must be notified 60 days before renewal.
