ClickUp licensing is the set of terms under which ClickUp (Mango Technologies, Inc. DBA ClickUp) sells its work management platform: tasks, Docs, Chat, Dashboards, Automations, time tracking and the Brain AI features that sit on top of them. ClickUp is a cloud service. There is no installed server product, and the “Software” in the Terms of Service is limited to downloadable clients that exist “solely to access the Service”.[1] The unit of purchase is the Workspace, and a plan applies to every member of that Workspace.[2]
The Terms of Service in force were “effective as of June 27, 2025” and apply to purchases made from 2025-06-24; earlier purchases stay under the previous Terms.[1] The Terms cover fees, renewal and the Satisfaction Guarantee. Additional terms cover ClickUp AI, the Integration Manager and the Developer Platform.[11][12] Almost all of the counting detail a licence manager needs sits in the ClickUp Help Center rather than in the contract, which is why the rows in the catalog cite help articles as well as legal pages.
Editions
ClickUp’s help articles name five plans: Free Forever, Unlimited, Business, Business Plus and Enterprise.[3] The public pricing page shows four of them. The Upgrade article states that Business Plus “is not included on our pricing page”, although its details appear when upgrading inside a Workspace.[14] The Downgrade article also names “Core”, described as equivalent to the Unlimited Plan “in our new plans”, and a “Max” plan for teams that rely heavily on AI.[14]

AI is sold separately. The pricing page lists a Brain AI add-on at USD 9 and an Everything AI add-on at USD 28 per user per month, plus AI Super Credits at USD 10 per 10,000 credits.[2] The Brain AI add-on and Everything AI add-on are covered in a separate article.
Metrics
ClickUp assigns one seat to every person in a Workspace: “One seat is assigned to each user in your Workspace, whether they require a fee or not.”[3] The fee depends on the role. Owners, admins, members, limited members and permission controlled guests are charged; view only guests and limited members view only (Chat collaborators) are not.[3][5]
The catalog defines these metrics:
- Paid seat: owner, admin, member and limited member roles.
- Permission controlled guest seat: a free allotment that grows as members are invited.
- View only guest and Free Forever guest: unlimited and free.
- Limited member and Limited member view only (Chat collaborator).
- Brain AI add-on seat and AI Credit.
- Automation Action, AI Notetaker hour, API request per minute per token and MCP call per rolling 24 hours. API rate limits are per token and vary by plan.[10]
Two of these are quantity limits rather than people. Feature “uses” are cumulative trial allowances that never reset, and Workspace storage is capped at 60MB on Free Forever.[2]
Counting / floors
Several counting rules shape the licence position:
- Whole-Workspace plans. ClickUp’s FAQ says that “To upgrade ClickUp, you’ll need to upgrade your entire Workspace, which means all members in your Workspace.”[2] It is not possible for users to be on different plans in one Workspace.[3] See Upgrading applies to the whole Workspace and One plan per Workspace.
- Guests are external. People who use the organisation’s email domain or SSO cannot be added as guests, and permission-controlled guests who meet this test are converted to limited members, who pay the same as members.[4] See Organisation email or SSO users cannot be guests.
- Guest allotment. Unlimited gives 5 permission controlled guest seats to a one-member Workspace and adds 2 per additional member; Business, Business Plus and Enterprise give 10 and add 5.[3] Beyond the allotment a paid member seat is added automatically.
- Open seats. A removed member leaves an open seat until someone else fills it, and an unfilled seat is removed when the next billing cycle begins.[5]
- Cycles. Yearly and monthly licences cannot be mixed in one Workspace.[13]
Virtualization & partitioning
Not applicable. ClickUp is a hosted service with no virtualization or partitioning rules. The only environment multiplier is the Workspace itself: each Workspace needs its own upgrade, so an organisation with several Workspaces buys each plan separately unless the Workspaces are consolidated.[2] Consolidation is a one-way migration that requires the destination Workspace to be on the same or a higher plan.
Cloud / BYOL
ClickUp has no bring-your-own-licence mechanism. Its Terms of Service grant a “non-exclusive, non-transferable, revocable access right” to the Service, and a “limited, nonexclusive, nontransferable, revocable license” to downloadable Software solely to access it.[1] The Developer Terms add a limited API and SDK licence that does not allow resale: each end user of an App must hold a valid ClickUp licence or subscription.[12]
Programs
The catalog records these commercial programs:
- Free Forever plan: every new account starts with a free Workspace, and an account may create as many Workspaces as it wants.[3]
- Satisfaction Guarantee: a 30-day refund for first purchases and upgrades, excluded for sales-assisted purchases, renewals and purchases that followed a pilot.[1]
- Automatic renewal: annual plans renew for twelve months unless reductions or cancellations are notified thirty days ahead.[1]
- Feature usage limits and the Brain AI trial.
- Super Fair Billing policy and Overage protection for AI Credits.[7]
- Non-profit and educational pricing and ClickUp Assist.
AI usage
Brain AI is switched on in every Workspace as a trial. After the trial, paid plans can buy add-ons priced per Workspace member per month, and credit-based features draw on AI Credits.[6][8] The AI Additional Terms say that input and output are the customer’s Customer Data, bar use of ClickUp AI to build competing models, and require an active Business Associate Agreement for healthcare use.[11] AI Credits and the add-on seat model are described in ClickUp Brain AI and AI Credits.
Audits and compliance
The public Terms of Service contain no software audit or licence verification clause. They do reserve the right to ask for “further information and/or documentation about your account usage” to validate identity, and they permit suspension or termination if fees become past due.[1] Because ClickUp meters seats inside the service, the Workspace People page and the billing page are the practical record of entitlement. Only the Workspace owner or an admin can manage billing.[13] Negotiated Master Services Agreements, which the AI Additional Terms mention, are not public and may differ.
Out of scope
This article does not cover ClickUp’s privacy, security or data processing terms, the Enterprise Master Services Agreement, partner and reseller programs, or consultancy services. It excludes third-party integrations connected through the Integration Manager, which carry their own licences.[1] Pricing and limits are those published on 2026-10-08. The pricing page, the help articles and the plan names disagree in places, for example the 60MB Free Forever storage cap versus a 100 MB threshold in the Upgrade article, and those differences are recorded in the catalog evidence rather than resolved here.
