thinkcell licensing

This article is an overview of how thinkcell (think-cell Software GmbH) licenses its PowerPoint and Excel add-in packages and its AI service. It is not legal advice and does not replace the Order, the Software License Agreement or the AI Service Agreement.

thinkcell licensing is the set of terms under which think-cell Software GmbH of Berlin licenses its add-in for Microsoft PowerPoint and Excel, which adds charting, layout, slide-library and AI features to Office. The licensor is think-cell Software GmbH. Its affiliate think-cell Operations GmbH delivers the software through a customer portal and receives card payments.[1][15] The company was founded in 2002. It became a multi-product company in 2025, when it released thinkcell Suite.[14] Every commercial licence follows one model. The licence is leased for a fixed term, normally one year, and counted per individual user. A license key starts it and the key’s expiry date ends it.[2][1] thinkcell offers no perpetual licences, no concurrent-user licences and no server licences.[2] For the general models, see named user licensing and subscription and consumption licensing.

Two agreements govern the commercial relationship. The Software License Agreement (SLA, version 2026-03-01) covers the locally installed add-in.[1] The AI Service Agreement (version 2026-03-01) covers the AI service, thinkcell Assist. Its provider is a third company, think-cell Technologies GmbH.[6]

Editions

thinkcell sells four packages, each priced per user per month and billed annually.[2]

The per-user price falls with the number of users ordered, and the table stops at 50 users. Customers can move from AI Suite to AI Suite Plus at any time.[3][2] The software runs on Windows with Office 2013 to 2024 or the Microsoft 365 desktop apps. On Mac it needs Office 2019, 2021 or 2024 and macOS 11 or later.[16] Package detail, volume steps and the ordering routes are in thinkcell packages, pricing and ordering.

The User is a cumulative count, not a count of concurrent users. Anyone who has been granted access during the Term counts, whether or not they used the software that day.[1] The vendor’s FAQ puts it simply: “our licensing works per user and not per machine”.[2]

Counting / floors

Tolerance and Additional Orders. The SLA permits up to 5% more Users than the Order states. Beyond that, the Licensee must place an Additional Order through the portal or another channel.[1] Catalog: License Scope allows 5% above the ordered Users.

Replacements. A User replaced for at least three months, with no overlap in access, counts as one User together with the replacement. The SLA lists termination, transfer, parental leave and sickness as examples.[1] Shorter overlaps are not covered by this wording. Catalog: A replaced user counts once.

Affiliates. The Licensee may sublicense the software to its Affiliates. Their use counts against the same License Scope.[1] Catalog: Affiliates share one License Scope.

Transfers and home use. A licence may move to a new user or computer only now and then, not on a regular basis. The licensee does not need to tell thinkcell.[2] A licensed user may also run the licence on a home computer for corporate work.[2] Catalog: Licence transfer is allowed occasionally, not regularly; Home use for corporate work is included.

Floors. There is no minimum quantity: the price table starts at one user.[3] Fees for a Term that starts mid-month follow a half-month rule. If the Term starts in the first 15 days of a month, half of that month is charged. If it starts later, the first month is not charged.[1] Catalog: Pro-rata rule for the first calendar month.

Virtualization & partitioning

thinkcell has no processor, core or partitioning rules. Use on Citrix and other thin-client or application-streaming platforms is allowed, but each individual user must be licensed. thinkcell does not offer licences for concurrent users or whole servers.[2] The vendor says customers have run thinkcell on Microsoft Remote Desktop Services, App-V, Citrix XenApp and XenDesktop, and VMware ThinApp.[13] On a terminal server, the administrator must make sure only licensed users can reach thinkcell. Cloud / BYOL

The licensed software is on-premises. The SLA describes it as an add-in that runs only inside PowerPoint and Excel and needs no cloud or data centre. thinkcell therefore does not act as a data processor for it.[1] The AI features are different. thinkcell Assist is a hosted service under the AI Service Agreement, and the DPA for the AI service applies if personal data is entered.[6] The Trust Center says customers that use only Suite or Essentials need no DPA. Customers using Assist must accept the SLA, the AI Service Agreement and the DPA.[7] See thinkcell AI Service Agreement and Assist. There is no bring-your-own-licence rule because thinkcell sells no server or cloud editions.

Programs

  • Annual license lease. Since 2002, thinkcell has licensed its software as a one-year lease that covers use, updates and support. The vendor says a perpetual licence “would only be perpetual on paper”, because the add-in must keep up with changes to Office.[2]
  • Volume pricing. Per-user prices fall in steps from five users. Above 50 users, customers ask sales for a quote.[3][2]
  • Add users to an existing key. Added users are charged pro rata for the key’s remaining validity, so all users share one expiry date. The vendor calls this co-terming.[4]
  • Renewal. A renewal is an order for a new license key that replaces the old one. It works like a first order.[5]
  • Reseller ordering. Customers with purchase-order, vendor-registration, legal or tax requirements can order through a reseller in their country.[17]
  • Startup program. Eligible young companies get 90% off in the first year and 50% off in the second.[12]
  • Academic program and Academic/Nonprofit institutional licence. Students, teaching staff and university staff get free 12-month keys for educational, non-commercial use.[10] Universities and nonprofits can sign a free institutional agreement.[11]
  • Free trial. A Trial License ends automatically 30 days after it starts.[1]

Contract terms

Purpose and restrictions. The software may be used commercially only to design PowerPoint slides for the Licensee, and not for Users’ personal purposes.[1] The Licensee may not:

  • disclose the license key or let anyone other than the Users access the software;
  • circumvent the licence management system;
  • use the software to build a competing product, or to train or fine-tune AI models;
  • use the software to provide data processing or batch processing services to others.[1]

Catalog: Use only to design PowerPoint slides for the Licensee; The license key may not be shared outside the Users; No circumvention, service bureau or AI training use.

Term, expiry and payment. The Term starts when the key is delivered and ends when the key expires. Ordinary termination is excluded.[1] Invoices are due within ten days and are paid in advance for the whole Term.[1] When a licence expires, thinkcell is deactivated. Existing slides look the same, but thinkcell elements can then be edited only with standard PowerPoint tools.[2] At expiry the SLA also requires the Licensee to destroy all copies and keys, and to certify this on request.[1] The full clause-by-clause reading is in thinkcell Software License Agreement.

Audits and compliance

The SLA gives thinkcell three tools.

  1. GUID counting. Overusage is “determined by Provider by the use of Globally Unique Identifiers”. thinkcell may estimate the excess Users from the GUID count, and the Licensee has two weeks to prove a lower number.[1] The deployment guide explains that a random GUID is created when someone first uses thinkcell on a machine. It is sent with the license key when thinkcell contacts the vendor’s servers, for example to check for updates.[9]
  2. Overusage invoices. Use above the License Scope without an Additional Order is invoiced.[1]
  3. Audits. On request, the Licensee must let thinkcell or an auditor it accepts verify its use. The Licensee pays for the audit if it is out of compliance.[1]

Because GUIDs are created per machine while the licence counts individuals, a GUID total can be higher than the real number of Users. The SLA allows for this: the Licensee may rebut the estimate with evidence of the actual User count.[1] A licence manager should therefore keep a list of the individuals granted access, with dates, and use it to rebut a GUID-based estimate. Out of scope

  • Signed enterprise agreements and reseller contracts that override the online SLA. The SLA itself says the Order prevails over the Terms where they conflict.[1]
  • Prices in currencies other than EUR, and quotes above 50 users. The price table shows the buyer’s local currency and stops at “50+ users”.[3]
  • Earlier SLA versions. Only the version of 2026-03-01 was reviewed.
  • Litigation. No court case about thinkcell software licensing with a primary court record was identified.
