thinkcell Assist is the AI service built into thinkcell for PowerPoint and Excel. Through a chat side pane it builds and edits slides, analyzes Excel data, generates charts and translates text.[4] Its first release came in June 2026.[6] Assist is contracted separately from the add-in. Its provider is think-cell Technologies GmbH, and its terms are the AI Service Agreement, version March 01, 2026. That agreement offers the AI service “in addition to the software separately licensed under a Software License Agreement”.[1] According to the Trust Center, a customer using Assist must accept the SLA, the AI Service Agreement and the DPA for AI services. A customer using only Suite or Essentials needs no DPA.[3] Catalog: AI features need the AI Service Agreement and DPA as well as the SLA.
Under German law the AI Service Agreement is a service contract (Section 611 of the German Civil Code). It provides the AI service and third-party “Skills”.[1] Where the Order, the AI Terms and the DPA conflict, the DPA prevails, then the Order, then the AI Terms.[1]
Editions
The AI service is sold in two packages:[4]
- thinkcell AI Suite: everything in Suite plus all AI features, including advanced automation for 20 template updates a month.
- thinkcell AI Suite Plus: AI Suite plus “5x tokens for complex AI tasks”.
In the published EUR price table, AI Suite costs EUR 15.00 per user per month more than Suite at every quantity step, and AI Suite Plus EUR 60.00 more.[8] The Trust Center FAQ adds that Assist is an add-on to the Suite licence that “cannot be purchased yet by itself”.[3]
The agreement’s Schedule lists example Skills. In PowerPoint, Assist can translate slides and decks, transform text, and turn third-party data into charts. In Excel, it can transform data with formulas, recommend chart types and generate insights.[1] Report automation and MCP connections to internal data sources are included in both AI packages, but with limits. Automation has a limited usage allowance. MCP support is set up per customer.[4]

Counting / floors
AI Scope and overusage. The AI Users are counted like Software Users. Anyone granted access during the Term counts, with a 5% tolerance, and an Additional Order is needed to go beyond it.[1] Excess is “determined by AI Provider by the use of Globally Unique Identifiers”. thinkcell notifies the Client and may estimate an Overusage Fee from the GUID count. The Client then has two weeks to prove a lower number.[1] The Trust Center says usage is tracked by system IDs, not by user names.[3] Catalog: AI Scope allows 5% above the ordered AI Users.
Fair use. Separately from the User count, the Client “may not use the Services excessively”. Use is excessive if the usage volume exceeds three times the Normal Business Use. thinkcell sets that level once a year as average monthly usage, and tells the Client on request. Above it, thinkcell may stop the Service for that month.[1] The pricing page adds that AI usage limits “apply independent of number of users” and that customers are notified at 80% of their volume.[4] Catalog: AI use above three times Normal Business Use can be stopped; Report automation is included with a limited allowance.
Fees. Fees are set in the Order. The same half-month rule as the SLA applies to Terms that begin mid-month. Invoices are payable within 30 days, not the ten days of the SLA, and are paid in advance for the Term.[1][5]
Virtualization & partitioning
The agreement contains no virtualization terms. The Trust Center says the environment requirements for Assist are the same as for thinkcell itself.[3] Administrators can make MCP servers available to Assist per machine, not per license key. This lets them limit sensitive data sources to the users who need them.[7]
Cloud / BYOL
Assist is a hosted service that uses third-party AI providers. Its availability is limited to the jurisdictions those sub-processors support.[1] The Trust Center says customers cannot currently connect their own AI services, such as an Azure-hosted model. It also says PowerPoint processing is EU-hosted, while Excel Assist currently uses US-based servers.[3] The Services are meant to be used without personal data. If personal data is entered anyway, think-cell Technologies acts as processor under the DPA for AI service.[1][2]
Programs
Free Trial. thinkcell may offer a free trial of the Services. It starts on delivery of the Key and ends automatically after 30 days, and either side may end it earlier. During the trial the fee and term clauses do not apply, and liability is limited to intent and gross negligence.[1] Catalog: Free trial (Trial License).
Resellers. A reseller can be the Client and must pass the AI Terms on to its End Customer. The DPA then applies directly between the End Customer, as controller, and think-cell Technologies, as processor.[1]
Use rights and restrictions
- AI Key. thinkcell enables the AI frontend with an access key, the “AI Key”. The Client may not modify or circumvent it, and must keep it secure.[1]
- Internal use. “Client and its Users shall use the Services for internal purposes only.”[1]
- Prohibited uses. The Services may not be used for licensed personalised advice (legal, tax or medical), for unlawful content, or to probe for vulnerabilities. They may not be used in, or as a component of, a high-risk AI system under the EU AI Act.[1]
- AI labels. The Client may not remove indications that Output was generated by AI. It must take measures to support the AI literacy of its Users.[1]
- Responsibility. The Client is responsible for breaches by its Users as if they were parties to the agreement.[1]

Term, audit and other terms
The AI Agreement runs from delivery of the Key until the Key expires. Ordinary termination is excluded. thinkcell may terminate without notice if the Client breaches the right-to-use restrictions or does not pay after the grace period. At the end, all AI Keys must be destroyed.[1]
thinkcell may audit use against the AI Scope. The Client bears the costs if the review shows non-compliance.[1] Liability for slight negligence is capped at five times the annual fee or EUR 50,000 per case, whichever is lower, and EUR 100,000 in aggregate.[1] As in the SLA, thinkcell can change the terms. Changes are deemed accepted unless the Client objects within four weeks, and the exclusive venue is Berlin-Mitte.[1] The Trust Center says a US-law version of the AI contracts is in preparation.[3] Catalog: AI audit and 30-day invoices.
