RingCentral licensing

This article is an overview of how RingCentral sells its RingEX cloud phone, messaging and video service, RingCX contact center, Events and AI add-ons. RingCentral licensing is the set of terms under which RingCentral, Inc. sells cloud business communications: the RingEX phone, messaging and video platform, the RingCX contact center, RingCentral Events and a growing range of AI add-ons. Every product is a subscription. A customer signs an Order that names the services, prices and Start Date, and the Order sits under RingCentral’s Online Terms of Service, a Service Attachment for each product family, and a set of use policies.[1] There is no perpetual licence and the Online Terms contain no software audit clause. The compliance questions are about counting: which users or agents are licensed, which pooled allowances are consumed and which free extensions have started to behave like paid ones.

Contract stack

The Terms of Service are a binding agreement between RingCentral, Inc. and the legal entity named in the Order, and the services are intended solely for business use.[1] They list the services governed by separate Service Attachments: RingEX (which also covers Avaya Cloud Office, Rainbow Office and Unify Office by RingCentral), RingCentral Contact Center, Engage Digital, Engage Voice and Professional Services.[1] RingCX, which replaced the Engage Omni name, has its own attachment, and Events has product specific terms.[4][7] Add-ons are described in a single Add-On Service Descriptions page, and AI features carry a separate set of artificial intelligence terms.[6]

On conflict, precedence runs from the Order Form, to the Service Attachments, to the main body of the Terms, then the use policies and the Data Processing Addendum.[1] See Order Form prevails over attachments and the Terms. Practitioners should therefore treat a negotiated Order Form as the authority on quantities, prices and minimums, and read the public documents as defaults. RingCentral publishes legal documents by region, so a customer outside the United States should check the regional index.[9]

Editions and products

The table summarises how each line is counted. The dated documents differ in age: the Online Terms of Service were last updated on 2022-02-23, while the pricing pages are live and carry no revision date.

The catalog lists each package as a SKU, for example RingEX Core, RingEX Advanced, RingCX Standard and RingCentral Events Pro.

Metrics

Three definitions in the Online Terms matter for every product. An End User is any individual to whom the customer makes the services available, which can include employees, consultants, clients, contractors and agents.[1] A Digital Line is a phone number assigned to an End User or a designated location such as a conference room, together with the associated voice service.[1] An Account groups services, Digital Lines and End Users and may span several billing accounts.[1] The catalog records End User and Digital Line as separate metrics because the first is a usage population and the second is a billing unit.

For RingEX the licensed unit is the user, with a RingEX licence giving full access to chat, video and phone.[10] Free user types exist and are explained in the RingEX article. For RingCX the unit is the Seat, defined as either a named licence or a concurrent licence.[4] For Events the unit is the organizer.[7] Pooled allowances such as Toll-free minutes (pooled per account), Business SMS allotment (pooled) and Calling Credits are not licences, but exceeding them produces overage charges.[2]

Counting and floors

RingCentral does not publish a minimum purchase for RingEX on its pricing page, but several floors apply once a contract exists.

Term, renewal and billing

Recurring services renew automatically for periods of the same length as the Initial Term unless either party gives notice at least 30 days before the end of the term.[1] Services added later run coterminously with the existing term.[1] Increases to recurring charges must be notified no later than 30 days before the term ends and apply from the next Renewal Term.[1] The practical consequence is a renewal calendar of 30-day notice dates, one per Order, which should be tracked alongside seat counts. The customer may cancel a purchase in writing within 30 days of it becoming effective and receive a pro-rata refund of prepaid unused fees; all purchases are final after 30 days.[8] See 30-day cancellation right.

The public plans page offers savings of up to 33% for paying annually, and the RingCX page up to 15%.[3][5] The free RingEX trial is for new subscribers only and is limited to five users and two desktop phones.[3] See RingEX free trial.

Use restrictions

The Terms prohibit reselling the services, and the Acceptable Use Policy repeats that the customer may not sell, sublicense or offer the service on a service-bureau or time-sharing basis.[1][8] This matters for managed service providers and for subsidiaries sharing one account. The Software licence is limited, personal, revocable and non-transferable, and the customer may not reverse engineer the software or use it for benchmarking.[1] RingEX is for regular business use between individuals and not for high-volume commercial messaging or call center calling, and auto-dialing and trunking are prohibited on it.[8] See RingEX may not be used for auto-dialing or trunking and The Services may not be resold.

Programs

Several programs affect cost and exit.

  • Phone rental. Desk phones can be rented with RingEX terms of at least 24 months, and the customer can buy a rented device after 12 months at a declining percentage of list price.[11] See Phone Lease Program and Rental Agreement.
  • Global RingEX and BYOC. Multi-country deployments are sold only together with Home Country services.[2] See Global RingEX.
  • Customer Engagement Bundle. A seat-priced bundle that adds call queue, SMS and AI features to RingEX.[6] See Customer Engagement Bundle.
  • Auto-Purchase of Calling Credits. Credits are bought automatically when combined usage exceeds the balance.[2] See Calling Credit Auto-Purchase.

Out of scope

This article does not cover regional contracts such as the Avaya Cloud Office, Rainbow Office or Unify Office partner-branded services beyond noting that the RingEX Service Attachment covers them.[2] It does not cover the RingCentral developer platform terms, taxes and regulatory fees, or negotiated enterprise agreements.

Compliance checklist

  1. Inventory every Order and its Start Date, Initial Term and renewal notice date.
  2. Reconcile licensed users to Digital Lines, virtual or limited extensions and free Video Pro or Mobile users.
  3. Track pooled toll-free minutes, SMS, Calling Credits and AI minutes against allotments.
  4. Compare RingCX contract Seats to peak concurrent or named agents and to on-demand Seat use.
  5. Confirm that no user, subsidiary or third party is being supplied the service in a way the resale clause prohibits.
