The Asana Subscriber Terms are the standard contract between Asana, Inc. and paying customers. Each Order Form is “a stand-alone agreement, separate from any other Order Form”, that incorporates the terms. Order Forms include online orders and orders for trials.[1] The version last updated on 2026-09-01 “apply to new Order Forms (or renewals of existing Order Forms) effective on or after September 16, 2026”. Existing customers move to it “upon the renewal date of your next Order Form”, and the terms do not apply to customers with “a separate written agreement with Asana on this subject matter”.[1] Earlier versions are archived on asana.com.
Three other documents complete the picture. The Product-Specific Terms govern AI, add-ons and special services, and “form part of the Agreement”.[1][2] The User Terms of Service bind individual users. For Managed Users on a paid plan, only their introduction, scope and acceptable use sections apply.[3] The Data Processing Addendum covers personal data. If documents conflict, the main body of the Subscriber Terms prevails, “except that any Order Forms, Product-Specific Terms, Data Processing Addendum, or any other exhibit, attachment, or addendum will control over the Agreement for its specific subject matter”.[1]
Editions
The Subscriber Terms do not name tiers. They define Services as Asana’s software as a service offerings, “including any add-on products, features and additions”, as specified in an Order Form.[1] Tier, seat count and add-ons are set in the Order Form or chosen at self-serve checkout; see Asana plans, seats and billing. Beta, trial, pilot and sandbox versions are “Non-Production Versions of the Services”. They are provided “as is” without availability or security commitments.[1]
Metrics
Access grant (§2.2)
“Asana grants Customer a non-exclusive, non-sublicensable, non-transferable (except as specifically permitted in Section 11.8) right to access and use (and to grant access and use of the Services to its End Users) the Services during the applicable Subscription Term, solely for Customer’s and its Affiliates’ internal business purposes, and subject to an applicable Order Form.”[1] An End User is “any individual who is authorized by Customer to use the Services under Customer’s account”, including employees, consultants, contractors and agents of the customer or its affiliates (§1.4). Affiliates may also buy their own subscriptions by signing their own Order Forms (§2.3).[1] See End User (seat). Service restrictions (§2.4)
Section 2.4 lists eight restrictions. Three matter most for counting:
- (b) no renting, sublicensing, reselling or time-sharing, “including allowing its employees or employees of its Affiliates to access the Services as guests instead of acquiring End User Subscriptions for such employees”;
- (e) no seat sharing: the customer may not “allow End User seats to be shared or used by more than one individual End User (except that End User seats may be reassigned to new End Users replacing individuals who no longer use the Services for any purpose)”;
- (h) no “Abusive Use”, meaning use of “the Services or Asana AI in a manner that is excessive, abusive, or inconsistent with normal and intended use”.[1]
Asana may ask the customer to suspend an End User who breaches the Agreement or engages in Abusive Use, and may suspend that user itself if the customer does not.[1] The Guests FAQ applies §2.4 to guests and calls it the “Acceptable Use Terms”.[5] Catalog proof: Employees may not be given guest access instead of seats; Seats may not be shared but may be reassigned; Excessive or abusive use of the Services or Asana AI is prohibited.
Counting / floors
Payment (§4.1)
Undisputed amounts are due within 30 days of the invoice date. Disputed amounts must be raised by the due date. “Amounts due are payable in the currency set forth in the applicable invoice and are non-cancelable and non-refundable unless otherwise provided in this Agreement.” Asana may suspend an account that is still overdue ten business days after notice, and unpaid amounts may carry interest of up to 1.5% per month.[1] The pricing FAQ states for self-serve plans: “We do not offer refunds.”[4] Catalog proof: Fees are non-cancelable and non-refundable.
Subscriptions, increments and true-forward (§4.2)
Fees are based on annual periods unless the Order Form says otherwise. “Subscriptions are sold in set increments based on the number of End Users and other units of measurement and subscription size.” The customer may add End Users at any time by written notice, and email counts as written notice. The key compliance clause follows: “Asana reserves the right to calculate the total number of End Users and other applicable subscription capacity units on a periodic basis”. If the count exceeds the purchased capacity, Asana may “invoice Customer for the excessive increments of End Users and other capacity units on a pro rata basis for the remaining period in Customer’s then-current subscription”.[1] The Help Center describes the self-serve version as an automatic upgrade to the next seat bucket.[6] Catalog proof: Subscriptions are sold in set End User increments; Excess End Users are invoiced pro rata for the rest of the term.
Reductions and downgrades (§4.2)
To reduce paid End Users or downgrade to a lower plan, the customer “must provide Asana with written notice (in-app notification or email acceptable) at least thirty (30) days prior to the end of the then-current Term”. Asana then applies the change on the Renewal Date.[1] Seats added during the term therefore stay billed until renewal. Catalog proof: Seat reductions and downgrades only at renewal with 30 days' notice.
Auto-renewal (§4.4)
“Customer agrees that its Subscription(s) will automatically renew at the end of the then-current Subscription Term (the “Renewal Date”) for a renewal period equal to the prior Subscription Term, at Asana’s then-current rates.” Asana may charge automatically unless either party gives notice of non-renewal “at least thirty (30) days prior to the Renewal Date”.[1] The terms set no cap on renewal price increases. Catalog proof: Subscriptions auto-renew at then-current rates.
Channel partners (§2.8)
The Agreement applies to subscriptions bought through authorised distributors, resellers or digital marketplaces. The ordering document with the Channel Partner then counts as the Order Form, and §§4.1 to 4.4 do not apply where the partner bills. Asana and the Channel Partner both keep the right to count End Users and to invoice capacity above the purchase.[1] See Channel partner purchases.
Virtualization & partitioning
Not applicable to a hosted service. The Subscriber Terms contain no device or server metrics.[1]
Cloud / BYOL
Asana runs the service. Under §2.7, third-party services the customer connects, including AI agents and external Model Context Protocol (MCP) servers, are governed by their own terms and are the customer’s responsibility.[1] Data residency and Enterprise Key Management are ordered under the Product-Specific Terms.[2]
Programs
Term, termination and data (§5)
Either party may terminate on 30 days’ notice for an uncured material breach. Termination is immediate “in the event of a breach of Section 2.4 (Service Restrictions)”, or on insolvency.[1] When an Order Form ends, all subscriptions under it end and use must stop. If the customer terminates for Asana’s breach, it receives a prorated refund of prepaid, unused fees. Customer Data can be exported if Asana receives written notice “within thirty (30) days after the effective date of expiration or termination”. After that Asana may delete it.[1] Catalog proof: Breach of the service restrictions allows immediate termination; Customer Data export within 30 days after termination.
Warranty and liability (§3, §9)
Asana warrants that the Services “will materially conform with the Documentation”. If a non-conformity persists for more than 30 days after notice, the customer may terminate the Order Form and receive a refund of prepaid, unused fees. Each party’s liability is capped at the amount the customer paid in the 12 months before the claim. Payment obligations, indemnities and gross negligence, wilful misconduct or fraud are outside the cap.[1]
Assignment, law and changes (§11)
“Neither party may assign the Agreement, in whole or in part, without the prior written consent of the other.” Either party may assign to an affiliate or a successor in a merger, acquisition, reorganisation or sale of substantially all assets.[1] California law governs, and the courts of San Francisco have exclusive jurisdiction. Asana may revise the Agreement by posting a new version: “By continuing to access or use the Services after the posted effective date of modifications to this Agreement, Customer agrees to be bound by the revised version of the Agreement.”[1] For customers already on an Order Form, the current version states that it takes effect at their next renewal. Catalog proof: Assignment needs consent except to affiliates or successors; Asana may revise the online Subscriber Terms by posting.
Free and individual users
The User Terms of Service separate “Free Users”, who use “the free/basic version of the Service”, from “Managed Users”, who use a paid plan bought by a customer. Free users “have access to a more limited set of Service features and functionality than Managed Users”.[3] Users must not let others use their account.[3]
