The WinZip EULA is the Corel End User License Agreement as it applies to WinZip products. It consists of the Corel General Terms and the “Software Specific Terms: WinZip Products”, and the Specific Terms govern if the two conflict.[1][2] The EULA is a contract with Corel Corporation. “You” can be an individual end user, or an entity (a business, government agency, nonprofit or academic institution) that owns or controls the devices on which the software is used.[1] It covers WinZip Standard, WinZip Pro, WinZip Mac Edition, System Utilities Suite, Registry Optimizer, Driver Update, WinZip PDF Pro, WinZip Courier, WinZip Self Extractor and ZipShare.[2] If the licence certificate places a version under the Business User License Agreement (BULA), the BULA governs instead.[1] The overview is in WinZip licensing.
Editions
The EULA recognises three licence types. A Subscription License runs for a limited fixed term. A Perpetual License has no end date. An OEM License covers software pre-installed or sold with an original equipment manufacturer’s device.[1] The WinZip Specific Terms list the editions sold only as subscriptions: WinZip System Utilities Suite, Registry Optimizer, Driver Updater, WinZip Standard Suite, WinZip Pro Suite, WinZip Ultimate Suite, WinZip PDF Pro and ZipShare Pro.[2] Catalog: WinZip Suites, PDF Pro, System Utilities and ZipShare Pro are subscription-only.
The current online plans are Standard, Pro and Ultimate, billed annually.[5] After purchase, the buyer signs in to the WinZip Suite portal to download and install the included products.[9] Perpetual (“one-time”) licences for the PC are offered in Standard, Pro and Enterprise feature sets.[7] Catalog SKUs: Standard Suite, Pro Suite, Ultimate Suite.
Metrics
The single EULA metric is the Device. A Subscription or Perpetual License allows the licensee to download and install one original copy on up to three computing devices or electronic equipment (“Devices”) under its control or possession.[2] When a licence is bought directly, fees follow the licence metrics in the Specific Terms. The licence certificate or order confirmation states the licence type, the term, the versions licensed, the number of permitted devices and the licence key.[1]
The three-Device allowance belongs to one licence. It does not let an organisation spread one licence across three employees. The grant is limited to the licensee’s “private, personal, individual work-related and non-commercial purposes”.[2] A licence manager comparing installations with entitlements should therefore count licences per licensed person, then check that no person has more than three Devices. That reading is commentary on the cited terms. Catalog: EULA licence covers up to three Devices; EULA grant is limited to private, personal, individual work-related and non-commercial purposes.
Counting / floors
Re-installation. The software may not be re-installed on a further Device unless the original Device fails and the software is completely deleted from it. Where authorization codes are required, Corel may ask for proof of de-installation before approving a re-installation.[2] For a voluntary move to a new computer, WinZip’s knowledge base says to uninstall from the old computer first. Suite users then download from the Suite portal and sign in, and perpetual users reinstall the matching version and register with their recorded registration information.[3]
NFR and OEM copies. A not-for-resale (NFR) copy may not be used on a second Device.[2] Outside the European Economic Area (EEA), an OEM Version may be used only on the OEM device. A licensee using only an OEM Version gets no updates, upgrades or support, and its licence ends when the OEM product stops working. EEA users may de-bundle an OEM Version and use it on one other Device.[2] Catalog: NFR copies are limited to one Device; OEM versions are tied to the OEM device and get no updates or support.
The 100-licence ceiling. A licensee may hold up to a hundred Licenses. For an entity, the limit applies across the whole organisation. Above that, the entity must buy the equivalent edition or the business or enterprise edition under the BULA, where one exists.[2] Catalog: Entities may hold at most 100 EULA licences.
Mixed versions. An entity with Perpetual or OEM Licenses that wants to run different (upgraded or downgraded) versions must buy either a BULA subscription or a BULA perpetual licence with maintenance. Without that purchase it may run only the version tied to each licence.[2] More generally, a Perpetual License covers only the version for which it was obtained.[1] Upgrades are not free for perpetual licences, but they are included in a Suite subscription.[7] Catalog: Entities mixing versions need BULA subscription or perpetual plus maintenance; A perpetual licence covers only the licensed version.

Virtualization & partitioning
The EULA does not allow installation on a hardware partition, blade or terminal server, within an internal network or virtual private network, or on a remote or cloud server. These are together defined as a “Virtualization Environment”.[2] The software may not be accessed, operated or viewed from other computers over a network. A separate licence agreement with Corel is required for a Virtualization Environment, network connections or volume purchases.[2] In practice that separate agreement is the BULA, whose WinZip terms set out a virtualization right (see WinZip Enterprise and BULA licensing). Catalog: EULA excludes terminal servers, virtualization and network access.
Cloud / BYOL
The EULA has no cloud or bring-your-own-licence provision for the desktop products. Remote and cloud servers are inside the excluded Virtualization Environment.[2] ZipShare is the exception. It is a hosted software-as-a-service offering, and a free ZipShare licence or a ZipShare Pro subscription may be used from multiple devices at the same time once an account is registered.[2]
Programs
Subscriptions and renewal. A WinZip Subscription License runs for one year from payment and renews automatically for further one-year periods until the licensee cancels by email.[2] The General Terms add that the licensee is charged for the renewal unless it gives notice at least 30 days before Expiry. Corel may change renewal fees with 30 days’ notice, effective from the next renewal.[1] Catalog: EULA subscriptions run one year and renew automatically.
Evaluation. A trial version may be used only for evaluation or demonstration, not for commercial or for-profit work, for the stated Trial Period, or for 30 days if none is stated. Afterwards the user must stop using it or buy a licence.[1] WinZip’s knowledge base stresses that the evaluation download is free but WinZip is not free software.[4] Catalog: Evaluation copies are limited to 30 days and non-commercial evaluation.
Transition to subscription. If a licensee accepts Corel’s offer to convert a Perpetual License into a subscription, its perpetual rights end. It must de-install and destroy the perpetual copies and certify this in writing.[1] Catalog: Converting perpetual licences to subscription ends perpetual rights.
Returns. A credit or refund requires an Affidavit of De-Installation and Non-Use. The licensee certifies, on company letterhead if it is not an individual, that the product has been removed from all devices and will not be used again.[6] Catalog: Refunds and credits require a signed de-installation affidavit.
Transfer and resale
Outside the EEA, licences may not be transferred, sold, rented, leased, resold or loaned without Corel’s prior written consent.[1] For Perpetual and OEM Licenses obtained in the EEA by a user who usually resides there, this limit does not apply. The original copy may be resold if Corel or someone with its consent put it on the EEA market, if the seller makes every copy it ever had unusable, and if the buyer receives the information needed to determine proper use.[1] Outside the EEA, a licence must be bought from Corel’s authorized resellers, or from Corel’s store in the country where the software will be used. Otherwise the buyer has no rights under the EULA.[2] Catalog: EULA licences need consent to transfer, except EEA perpetual and OEM resale.
Compliance and audit
Corel may monitor usage remotely through a reporting function in the software in order to verify compliance. The licensee must facilitate this, including by keeping any required firewall ports open.[1] An entity licensed under the EULA must keep records of all deployment, installation and use. Corel may audit those records at its own expense, during the licence term and for two years afterwards, at most once a year unless unlicensed use is found.[1] The entity has 30 days to provide raw deployment data and purchase documentation. Shortfalls are invoiced with maintenance fees and interest of 1.0% a month, and Corel’s audit costs are added when unlicensed use exceeds 5%.[1] The BULA contains the same audit structure for business licences.[8] Catalog: Entity audits under the EULA; Software may report usage to Corel for compliance Verification.
The EULA’s audit clause, the 100-licence ceiling and the virtualization exclusion all have the same practical effect. An organisation that buys WinZip Suite plans by credit card is still bound by entity-level obligations. Once it exceeds 100 licences, or wants terminal-server use, it is expected to move to the BULA. This is an editorial summary of the cited clauses.
Changes to the terms
Corel may change the EULA at any time. For licensees who already hold licences, a change takes effect 30 days after it is posted, unless stated otherwise. Continued use counts as acceptance, and licensees are expected to check corel.com and winzip.com for changes.[1] Catalog: Terms changes take effect for existing licensees after 30 days.
