ThoughtSpot Cloud Subscription Agreement and Program Guide

This article is about the contracts that govern ThoughtSpot Cloud: the Cloud Subscription Agreement (version 29 April 2026), the Cloud Program Guide (effective 2026-08-03) and the smaller agreements for evaluation, customer-installed software, Mode, SeekWell and apps. It summarises the licence-relevant terms and is not legal advice.

ThoughtSpot Cloud Subscription Agreement is the master contract under which ThoughtSpot, Inc. provides ThoughtSpot Cloud. It forms a binding agreement when a customer signs an order form that references it, clicks to accept it in a ThoughtSpot web form, in-application form or authorized marketplace form, or accesses any part of ThoughtSpot Cloud.[1] The current version is dated 29 April 2026; the Legal Archives list the previous Cloud Subscription Agreement as valid until April 29, 2026, and the previous Cloud Program Guide as valid until August 3, 2026.[3] The agreement says that a signed subscription, evaluation or other master agreement already in place continues to govern, and that if the agreement is updated, “the terms of the updated agreement will apply as of the date of renewal unless otherwise agreed”.[1]

The agreement incorporates the numbered sections, every applicable order form and the Cloud Program Guide. In a conflict the order form (and any service description in it) comes first, then the main body, then the Program Guide, then any other incorporated document, unless a later document expressly says it supersedes specific terms.[1] Customer purchase order terms are rejected: purchase orders are “for Customer’s internal purposes only”, and invoices specify charges only.[1]

Editions

The agreement is edition-neutral. It refers to “limits on rows, credits, groups, integration or embedding, external use, or other limits” in the order form, and treats ThoughtSpot Embedded, AgentSpot and Team Edition products specially.[1] Edition limits are in ThoughtSpot editions and usage limits.

Metrics

The agreement defines one counting term, the Authorized User: an employee of the customer or a customer Affiliate, an employee of the customer’s third-party agents, advisors and contractors, or a third-party user permitted under the Embedded Solutions clause, who was given access credentials by the customer.[1] Credentials are personal: the customer may not “share or disclose user credentials other than to the individual to which the credential was assigned”.[1] The customer is “wholly liable” for non-compliance by anyone it lets access ThoughtSpot Cloud.[1] Rows, credits, groups and Orgs are not defined in the agreement but are limits “specified … in the applicable Order Form”; the definitions come from the documentation, described in the edition and consumption articles.

Counting / floors

Commitment and payment. Executed order forms are “non-cancellable and, except as otherwise provided in this Agreement, non-refundable”, prices are final, and each Subscription Term is “a non-divisible, continuous commitment, regardless of the invoice schedule”, priced on the whole term.[1] Invoices under a signed order form are payable in full within 30 days, with late interest of 1.5% per month or the legal maximum, whichever is lower; the customer cannot set off amounts payable.[1] Online orders are paid in full through a third-party processor before access is given.[1] Catalog proof: Order forms are non-cancellable and the Subscription Term is a continuous commitment.

Excess use. The same clause that governs payment says that if “Customer has exceeded its permitted use rights, ThoughtSpot will notify Customer and, within 30 days after the date of such notice, Customer will either: (a) reduce its use to match permissions; or (b) purchase subscription rights commensurate with its actual use.”[1] The agreement contains no clause titled audit and does not describe how ThoughtSpot determines use; the usage data comes from the platform itself. The Program Guide states that ThoughtSpot “may collect and use usage metrics, query logs, system logs, and other data derived from operation of ThoughtSpot Cloud” to operate, support, improve and develop its products and for benchmarking.[2] The customer-installed Application and Embedded Application agreements add an express right for ThoughtSpot to “verify” compliance with the customer’s reasonable cooperation.[5][6] Catalog proof: Use above the permitted rights must be reduced or bought within 30 days. Separately, the Program Guide gives the customer a security audit right over ThoughtSpot, limited to once per year, which is not a licence audit.[2]

Restrictions. Section 3.4 prohibits, among other things: selling, sublicensing or providing ThoughtSpot Cloud for time sharing, as a managed service provider or as an embedded combined solution unless embedding permissions are expressly purchased; reverse engineering and creating derivative works; sharing credentials; using AgentSpot for large-scale automated batch processing, mass data extraction or scraping; giving access to a ThoughtSpot competitor or doing competitive research; asserting patent claims against ThoughtSpot using the service; and publicly disseminating performance or security test results. A customer that believes it may be entitled to do any of these must give 30 days’ prior notice.[1]

Evaluation and non-production. Evaluation subscriptions without an order form last 30 days, may not be used in production except for AgentSpot, are provided as is, can be terminated at any time and cap ThoughtSpot’s liability at USD 500; non-production subscriptions may be used only for use case development, testing and user training.[1] The separate Cloud Evaluation Agreement sets a 30-day Evaluation Term unless ThoughtSpot offers a longer period in writing.[4]

Virtualization & partitioning

The agreement contains no virtualization, processor or partitioning rule, since access is hosted and measured by users, rows or credits. The nearest concept is the Embedded Solution clause, which extends Authorized Users to individuals given access to the customer’s embedded or integrated solution.[1] See ThoughtSpot Embedded licensing.

Cloud / BYOL

ThoughtSpot Cloud has no bring-your-own-licence mechanism. Several terms matter for hosted use.

  • Term and termination. Either party may terminate immediately on written notice if the other is the subject of an insolvency proceeding not dismissed within 60 days, or if the other materially breaches and has not cured within 30 days after notice. On termination access ends, and if termination is for the customer’s breach “all remaining amounts are accelerated and deemed due and payable”.[1]
  • Suspension. ThoughtSpot may suspend if a payment is 30 or more days overdue, for breach of the restrictions or administration clauses, to avoid material harm including integration overuse, or as the law requires.[1]
  • AgentSpot renewal. The customer selects a monthly or annual term; each renews automatically for one month or one year, and notice of non-renewal must be given at least 10 days (monthly) or 30 days (annual) before the period ends. Renewal pricing may change on notice before that cut-off.[1]
  • Team Edition. A Team Edition purchase has a monthly term that renews monthly until cancelled.[1]
  • Assignment. Consent is deemed given to assignment to an Affiliate or to an entity acquiring all or substantially all of the capital stock or related assets, as long as that entity is not a direct competitor of the other party.[1]
  • Resellers and marketplaces. The agreement with a reseller, marketplace or financing provider applies to payment only. The Program Guide applies despite contrary reseller terms, and ThoughtSpot may suspend support if it does not receive payment, directly or through a reseller.[1][2]
  • Governing law. California substantive law governs, with exclusive venue in San Francisco for federal matters and in Santa Clara County state courts otherwise; the prevailing party may recover reasonable attorneys’ fees.[1]

The Program Guide

The Cloud Program Guide applies to ThoughtSpot Cloud and is incorporated into the Cloud Subscription Agreement. It “does not apply to Team Editions, Essentials Editions, browser add-ons, or any evaluation, trial, or other unpaid access”.[2]

All rows of the table are from the Program Guide.[2] Support covers errors and does not include “implementation, configuration, customization, integration, or training services”, and is provided to the customer, not to third-party users.[2]

Section 9 of the Program Guide covers AI features. ThoughtSpot Cloud includes “Improving Features” that interact with users and administrative information. A customer unwilling to accept them may deactivate an Improving Feature or remove the access privilege, but “the options in clauses (a) and (b) are not available for any AI-Dependent Service”, which includes AgentSpot.[2] The customer is responsible for reviewing outputs, and the guide restricts high-risk uses such as fully automated decisions that affect individuals.[2]

Programs

  • Evaluation Subscription. 30 days, no production use except AgentSpot.[1]
  • Non-production subscription. Development, testing and training only.[1]
  • Service level and Service Level Credits and ThoughtSpot Cloud support. As in the table above.[2]
  • AgentSpot monthly or annual term. Auto-renewing with 10 or 30 days’ notice.[1]
  • Smaller agreements. The Mode Subscription Addendum applies to all purchases of ThoughtSpot Mode products and provides support by email and chat on weekdays between 5 a.m. and 6 p.m. Pacific Time.[7] The SeekWell agreement caps a Subscription Term at twelve months, ties access to limits such as users, runs per month, query time limits and connections, and gives ThoughtSpot no obligation to provide technical support or maintenance.[8] The Apps Terms of Use say an app is provided as is to access a ThoughtSpot service for which the user must already hold use rights under a separate agreement, and that the app is licensed and not sold.[9]
