ThoughtSpot Embedded licensing

This article is about ThoughtSpot Embedded, the product line for placing ThoughtSpot analytics inside another organization's application, and the contract terms that govern embedding, third-party users, Orgs and support. It also covers the older customer-installed Embedded Application agreement. It is not legal advice.

ThoughtSpot Embedded is the product line for companies that place ThoughtSpot search, AI and Liveboards inside their own application for their own customers. Until January 2024 it was named ThoughtSpot Everywhere; the Program Guide states that “as of January 2024, ‘ThoughtSpot Everywhere’ is now ThoughtSpot Embedded”.[6] The pricing page describes the line as dynamic embeddable AI, dashboards and visualizations with an API and SDK, and shows a Developer plan and an Enterprise plan.[2]

Embedding changes licensing in three ways. The people counted are no longer only employees: the customer’s own end customers can become Authorized Users. Embedding rights are a separate purchase, not a default part of an Analytics subscription. And the customer takes on liabilities and support duties towards those third parties. This article walks through each and then covers the older agreement for customer-installed embedding.

Editions

The edition documentation lists three Embedded editions.[3]

The pricing page presents the Developer plan as “Free for 1 year” with “Up to 10 Users” and “Up to 25M Rows of data”, and the Enterprise plan with “Flexible pricing models aligned with your use case & GTM requirements”. It does not show an Embedded Pro plan, so no public price exists for that edition.[2] The Developer plan is aimed at individuals and small developer teams embedding AI and analytics into apps, and the Enterprise plan at building or embedding agentic AI analytics for multi-tenant, large-scale applications.[2]

The security documentation shows differences between Embedded editions: Developer (multi-tenant) has the base controls (SOC Type 2 and ISO 27001, data isolation, encryption, row-level security), Pro adds system reporting and monitoring, SSO via SAML, OAuth and OIDC and a custom URL, and Enterprise adds advanced data encryption, private link to cloud data warehouses, URL whitelabeling and VPN.[4]

Embedding is also sold for internal use. The pricing page lists “Embedded for internal enterprise applications (API & SDK)” as an add-on to the Analytics plans, and the administration documentation says developer privileges and style customization require a licence for ThoughtSpot Embedded or the internal analytics add-on.[2][8]

Metrics

Embedded Solution user. The Cloud Subscription Agreement defines an Authorized User as an employee of the customer or an Affiliate, an employee of its agents, advisors and contractors, “or third-party users as permitted in Section 3.2 (Embedded Solutions)”.[1] Section 3.2 then provides that where the customer has bought in an order form a product permitting it to take a combined, embedded or integrated solution to market, “or otherwise offer ThoughtSpot Cloud for the benefit of third parties (e.g., a purchase of ThoughtSpot Embedded)”, the term Authorized Users “includes any individual provided access to the Embedded Solution”.[1] The practical reading is that the end users of the customer’s product are counted as users for the Embedded edition ceilings and the order form, not only the customer’s staff. How end users are counted against order form quantities (named, active or tiered) is a matter for the order form; the retrieved documents do not set it.

Row and Permission group. Rows follow the same definition as for Analytics and are summed across Connections, including Analyst Studio datasets and CSV uploads.[3] Groups are capped as in the table above.[3]

Org. Multi-tenancy with Orgs lets a cluster administrator create an Org per tenant account, each with its own users, groups and data. The feature requires the Enterprise or Embedded Enterprise edition, is enabled for all new Enterprise customers by default, and cannot be disabled once enabled.[7] The pricing page lists “Multi Tenant by Organization” among Enterprise capabilities and, for Embedded, “Predictable cost per user /customer”.[2]

Counting / floors

Embedding must be expressly purchased. The restrictions in section 3.4 prohibit providing ThoughtSpot Cloud “for time sharing, as a managed service provider, or as an integrated or embedded combined solution with any product, website, software, or solution, unless integration or embedding permissions are expressly purchased in the Order Form”.[1] A customer on an Analytics plan that exposes dashboards to its own customers, without embedding rights in the order form, would be outside the grant. Catalog proof: Embedding or reselling needs embedding permissions in the order form.

Limits in the order form. Access is “to the extent specified (including regarding limits on rows, credits, groups, integration or embedding, external use, or other limits) in the applicable Order Form”.[1] External use is therefore a named limit that may differ from internal use.

Indemnity. The customer must defend and indemnify ThoughtSpot against third-party claims arising from “third-party use of an Embedded Solution”.[1] Catalog proof: Customer indemnifies ThoughtSpot for third-party use of an Embedded Solution.

Support. The Program Guide provides support to the customer only, not to third-party authorized users unless an order form says otherwise. When a customer embeds ThoughtSpot, it must use commercially reasonable efforts to identify, isolate and remediate suspected errors before opening a support request with ThoughtSpot.[6] Support covers Embedded Enterprise around the clock with a P0 initial response target of within 1 hour, but excludes implementation, configuration, customization, integration and training services.[6]

Non-production. A subscription designated non-production in the order form may be used solely for use case development, testing, user training and similar purposes, which suits an embedding build-out but not a live client environment.[1]

Excess use. If ThoughtSpot determines that the customer has exceeded its use rights, the customer has 30 days after notice to reduce use or buy subscription rights matching actual use.[1] For a fast-growing embedded product this is the clause that turns end-user growth into a purchase.

Virtualization & partitioning

Embedded licensing is partitioned by Org rather than by processor or virtual machine. Each Org is “an independent container with its own set of users and data”, the Primary Org cannot be deleted, groups belong to a single Org, and only the Primary Org administrator can administer across Orgs.[7] The retrieved documents contain no virtualization rule.

Cloud / BYOL

ThoughtSpot Embedded on ThoughtSpot Cloud is a vendor-hosted service, so bring-your-own-licence does not apply. A separate agreement, the ThoughtSpot Embedded Application License Agreement for SaaS (version 25 August 2020), addresses a customer-installed variant in which the customer “hosts a software-as-a-service solution product and sells access to third-party customers” and installs the ThoughtSpot Application inside it.[5] Under that agreement:

  • The licence is to install, use and execute the Application “solely for Customer’s operation of the Customer Product”, to the extent specified in the order form including the number of copies and “rows of capacity or other licensing metric”.[5]
  • The customer must retain sole control over the Application “without resale, distribution, sublicense, or transfer of the Application to any third party”, and clients are served through the Customer Product under the customer’s own subscription agreement, with no terms directly between ThoughtSpot and the end customer.[5]
  • ThoughtSpot “may verify” compliance with the purchased limits with the customer’s reasonable cooperation. If use is found to exceed the grant, the customer has 30 days to reduce use or buy licences matching actual use.[5] This is the only verification right found in the ThoughtSpot agreements retrieved; the Cloud Subscription Agreement has no separate audit section.
  • Support goes to the customer only, not to any client, and the customer provides first-line support to its clients.[5]
  • A licence designated non-production must be limited to a non-production environment and inaccessible to Clients.[5]

The ThoughtSpot Application License Agreement (version 6 September 2022) is the general-purpose customer-installed licence; its Authorized Users are limited to the customer’s employees, Affiliates and third-party agents, advisors and contractors who are not ThoughtSpot competitors, and it does not provide for end clients.[9] The retrieved legal index shows the customer-installed agreements alongside the cloud agreements, but the documents do not say which products ThoughtSpot still sells under them.

Programs

  • Embedded Developer free year. Free for one year, up to 10 users and 25M rows.[2]
  • Embedded Application evaluation licence. Without an order form an Evaluation License lasts 30 days and is limited to five users and 250,000,000 rows, with no production, professional or for-profit use, provided as is, and ThoughtSpot liability capped at USD 500.[5]
  • Reseller and marketplace purchases. Under the Embedded Application agreement, ThoughtSpot may terminate for material breach if it does not receive payment for licences, whoever is responsible for paying.[5]

Out of scope

This article does not cover pricing negotiated in an order form, the contents of any particular customer’s Embedded order, or how a customer should allocate ThoughtSpot costs to its own end customers. It does not cover the AI add-ons (Spotter, AgentSpot, MCP Server), which are in ThoughtSpot AgentSpot, Spotter and Analyst Studio licensing, and it does not cover SDK or API source licences, which the Cloud Subscription Agreement says it does not supersede or apply to when separately licensed.[1]
