DocuSign IAM and CLM licensing

Docusign IAM (Intelligent Agreement Management) is Docusign’s agreement platform. The IAM Service Schedule describes it as the platform “for end-to-end IAM Agreement creation, send, and management services”. It consists of Docusign eSignature, Docusign Maestro (workflow management, marketed as Workflow Builder) and Docusign Navigator (search and storage, marketed as Agreement Manager).[1][3] Docusign CLM is the contract lifecycle management service, “consisting of contract lifecycle management software applications and platform solutions provided over the internet”.[4] Both are sold as prepaid subscriptions under the Master Services Agreement (MSA). IAM and CLM plans that include eSignature are also subject to the eSignature Service Schedule.[1][5] IAM licensing combines a user count with Feature Counts. CLM is licensed either per Seat or per document.

Editions

IAM plans. Docusign publishes US prices for three IAM Core plans bought online and sells IAM for Enterprise by quotation.[2]

IAM Starter is “Only available on the web”.[3] IAM Standard includes eSignature Standard features and IAM Professional includes eSignature Business Pro features. IAM for Enterprise adds AI-Assisted Review, signing groups, document visibility, multiple brands and organization management.[2] Docusign also sells department applications, IAM for Sales and IAM for CX. Its pricing FAQ says the IAM Core application has Standard, Professional and Enterprise plans.[2][3]

CLM editions. CLM editions are sold on Order Forms without a public price list. The CLM Service Schedule says a subscription “may be based on Seat Allowance (defined below) and/or Document Count (defined below), depending on the CLM edition Customer has purchased”.[4] CLM+ customers are also bound by the Docusign Insight and Analyzer schedule for those components.[4]

Metrics

The IAM Service Schedule uses “Entitlement” for whatever unit the Order Form sells: “This may be reflected on the Order Form as Seats, Users, IAM Agreements and/or in other units as Docusign may establish in the future”. Seats and Users mean the same as Authorized User in the MSA.[1] On top of the user count, a “Feature” is a function “priced and counted with specificity within Docusign IAM Plans”. The “Feature Count” is the allowance provisioned for the Term.[1]

An IAM Agreement is “a single electronic file (in any supported file format type) stored in, generated by, or imported into the Docusign Service”. Several files can travel in one Envelope, but “each individual file within an Envelope will be counted as one IAM Agreement”.[1] A three-document envelope is therefore one Envelope for eSignature and three IAM Agreements for Agreement Manager. Catalog: Each file in an Envelope is a separate IAM Agreement.

Counting / floors

Users. “The number of Entitlements in use is determined by the total number of registered and active Users or Seats in Customer’s Account with access to Docusign IAM at any time during the Term.”[1] Users may be deactivated and replaced without charge as long as the active total does not exceed the Entitlements purchased.[1] Extra Users or Seats are charged pro rata for the rest of the Order Term at the then-current list price, or the Order Form amount.[1] Catalog: IAM Entitlements are counted as registered and active users.

Feature Counts. Exceeding a Feature Count incurs “a per Feature overage fee for each unit in excess of the permitted Feature Count”.[1] The plan allowances page is incorporated by the IAM Schedule as the “Docusign IAM Plan(s)”. The version that applies is the one “effective on the date of execution of the Order Form”.[1] Its main allowances are:[3]

  • Automation Sends: 100 per user per year, pooled at account level. Monthly web plans get 10 per user per month. Bulk Send counts here, not as web application envelopes. Details are in DocuSign envelope allowances and API plans.
  • Workflow Builder: a Workflow Builder Run is counted each time a published workflow is triggered by a sender, end user or API call.
  • Agreement Manager documents: an IAM Agreement counts when it is ingested into Agreement Manager. On upgrade from eSignature, completed envelopes already in the account are ingested automatically and count against the allowance.
  • Documents Processed: an Agreement Manager document fully analysed for Custom Extractions configured by the Authorized User counts. The table lists 1,500 per user per year.
  • Per-use features: Document Generation, Premium Data Verification, ID Verification or KBA, and SMS or phone authentication each count per use, for example each time a recipient starts ID Verification by selecting an ID method.

Catalog: IAM Feature Count overage; IAM allowances are pooled and available for the whole term.

Agreement Manager history. The allowance has changed several times, keyed to the Order Start Date.[3]

The online FAQ confirms that “The 5000 documents per user is a one-time allotment and will not reset upon renewal”.[2] Customers upgrading from eSignature should plan for their existing completed envelopes to use part of that allotment. Catalog: No limit on ongoing Agreement Manager agreements from 2025-11-21; Historical document allotment does not reset at renewal.

CLM Seats. CLM’s Seat Allowance works as in eSignature, but extra Seats are charged pro rata and the charges “would be immediately due and payable at the time the additional Authorized User(s) was added”.[4] CLM lets customers send documents for external review to people who are not Authorized Users. The schedule forbids using that function to avoid buying a Seat for someone who “otherwise fits the definition of an Authorized User”.[4] Catalog: CLM external review must not replace a Seat.

CLM Document Count. Document Count is the number of unique eDocuments held in all CLM instances at any one time. It also includes documents “exported or downloaded and then deleted from such instances during the applicable Term”.[4] Purging exported documents therefore does not lower the count within a Term. Documents above the permitted count incur a per-eDocument fee, and “Such overage charges would be invoiced monthly in arrears”.[4] Catalog: CLM Document Count includes exported and deleted documents; CLM overages: seats due at once, documents monthly in arrears.

Virtualization & partitioning

Not applicable to these cloud services. IAM and CLM Government Products with FedRAMP or State and Local Government designations are hosted in Docusign’s FedRAMP Moderate authorized boundary. Connecting them to other products authorises export of Customer Data outside that boundary.[1][4] Catalog: Government Products.

Cloud / BYOL

There is no BYOL. AI functions are part of the licensed service. Under the AI Attachment, IAM and CLM customers with an MSA consent to Docusign’s AI training on Customer Data and AI Output, whereas eSignature alone under an MSA does not.[6] Customers may opt out “at any time, and on a go-forward basis” with the in-product toggle.[6] This is a data-use term rather than a licence metric. It matters when an eSignature customer upgrades to IAM, because the upgrade changes the AI terms that apply.

Programs

IAM web plans (Starter, Standard, Professional) are Web Subscription Plans with the online renewal and 30-day refund terms. Cancelling an “Annual | Billed monthly” plan after 30 days leaves the remaining annual balance payable.[2] IAM for Enterprise, IAM for Sales, IAM for CX and CLM are Enhanced plans bought on an Order Form under the MSA, which are non-cancellable for the Term.[5]

Audits and compliance

IAM is the only Docusign product schedule with an explicit entitlement audit. Docusign may audit “by: (i) using data available through the use of the Docusign Services to verify whether or not the conditions of the User or Seat use are being adhered to by the Customer; or (ii) by requesting information from Customer from time to time regarding Customer’s use of Entitlements”. The customer must answer in a commercially reasonable time, and the audit “will not include the use or access to Customer Data”.[1] Because usage is measured inside the service, the practical control is to keep registered and active IAM users at or below the Order Form quantity and to track Feature Counts during the term. Exit

IAM access ends immediately when the agreement terminates or expires, and “all Customer Data processed by Docusign IAM will be subject to prompt deletion”. Docusign has no obligation to return data.[1] CLM customers have 90 days after the Term to request Professional Services to retrieve documents, after which Docusign may delete the account.[4] Catalog: IAM data is deleted promptly at termination.

Out of scope

Docusign Insight and Analyzer, Docusign Iris and AI agents, partner applications in the App Center, and CLM list prices (not published) are not covered. IAM subscriptions started before 2025-09-15 are governed by the legacy schedule linked from the current IAM Service Schedule.[1]
