DocuSign eSignature licensing

Docusign eSignature is the electronic signature service of Docusign, Inc. The eSignature Service Schedule describes it as an on-demand service for “online display, certified delivery, acknowledgement, electronic signature, and storage services for eDocuments via the Internet”.[1] It is sold as a prepaid subscription. A subscription “may be based on Seat Allowance (defined below) and/or Envelope Allowance (defined below), as specified on the applicable Order Form(s)”.[1] eSignature therefore has two licence dimensions: the number of people who may send, and the number of envelopes they may send between them. Plans bought on docusign.com follow the online Sites and Services Terms. Plans bought from Docusign sales follow the Master Services Agreement (MSA) and the eSignature Service Schedule.[4][2]

Editions

The US price page lists three self-service plans and a sales-led tier. Prices are for the “Annual | Billed monthly” subscription type.[3]

Features such as access management with single sign-on, organization management, signing groups, document visibility and remote online notary appear only on Enhanced plans (“Contact sales”).[3] Docusign Payments is available only to customers who buy Business Pro or Enhanced plans.[3] Docusign Support refers to the custom enterprise tier as Enterprise Pro, intended for large or complex deployments with custom limits.[7] The sales-led allowances page also lists eSignature Unlimited Web-app sends subscriptions. These have unlimited web-app sends and 100 Automation Sends per user per year, but no other IAM capabilities.[8]

Real estate plans. A separate price list covers Real Estate Starter (USD 10 per month billed annually, single user, 5 envelope sends per month), Real Estate (USD 25 per user per month, 1 to 5 users, 100 envelopes per user per year) and a REALTORS plan for National Association of REALTORS members (USD 20 per user per month, “unlimited envelopes (subject to reasonable use policy)”).[6] Catalog: Real Estate Starter, Real Estate, REALTORS plan.

Add-ons. Standard and Business Pro subscribers can add “Send with SMS” from USD 0.36 per delivery and recipient identity verification from USD 2.40 per ID verification attempt.[3] Under the Service Schedule, optional features such as authentication measures or fax-back may be bought “on a subscription or per-use basis”.[1] Catalog: SMS delivery add-on, ID Verification add-on.

Metrics

eSignature uses two catalog metrics: the Authorized User (Seat) and the Envelope. The Service Schedule defines an Envelope as “an electronic record containing one or more eDocuments consisting of a single page or a group of pages of data uploaded to the System”.[1] Seat Allowance is “the maximum number of Authorized Users that Customer may have registered in its Docusign eSignature Account at a given time”. Order Forms may call Authorized Users Seats.[1] The MSA requires each Authorized User to be one natural person with a unique email address and user name.[2] Docusign Support summarises the same idea: “A seat is a user license.”[7]

Per-use add-ons are counted separately: SMS delivery per delivery and ID Verification attempt per attempt.[3]

Counting / floors

Seats. No two individuals may log in as the same Authorized User. The Account Administrator may unregister users and replace them with new individuals “without penalty, so long as Customer does not exceed the Seat Allowance”.[1] If the administrator adds more users than the Seat Allowance, the customer is charged one additional Seat per extra user for the remainder of the Order Term, pro rata, at the then-current list price unless the Order Form sets another amount. Each such Seat includes a pro-rata allocation of Envelopes.[1] Only account admins can see and manage subscription details and seats.[7] Catalog: Seats may be reassigned within the Seat Allowance; Extra eSignature users are charged pro rata at list price.

Envelopes per Seat. Unless the Order Form says otherwise, a seat plan’s Envelope Allowance for each 12-month period is the Seat Allowance multiplied by 100. The schedule’s example is a three-year subscription for 10 Seats, which gives 1,000 Envelopes per year. Extra Seats each add 100 Envelopes, and batches of Envelopes can also be bought.[1] Web plans state the same pattern: up to 100 Envelopes per user per year on annual Standard and Business Pro plans and up to 10 per user per month on monthly plans.[3] Catalog: Seat plans include 100 Envelopes per Seat per year; Web plan envelope allowances; Seats added on annual plans bring extra envelopes.

Pooling. “There is no individual limit on the number of Envelopes that may be sent by each Authorized User, so long as the total volume sent by all Authorized Users does not exceed the Envelope Allowance.”[1] A team with a few heavy senders and many light senders is therefore measured on the total. How individual envelopes are counted is covered in DocuSign envelope allowances and API plans.

User limits on web plans. Personal is single-user. Standard and Business Pro allow up to 50 users, and larger teams move to Enhanced plans.[3] Real Estate and REALTORS plans allow 1 to 5 users.[6]

Virtualization & partitioning

Not applicable: eSignature is a Docusign-hosted cloud service. Government Products are an exception for hosting location. eSignature products with a FedRAMP or State and Local Government designation are hosted in Docusign’s FedRAMP Moderate authorized boundary. Connecting them to other services authorises export of Customer Data outside it. Products with a DoD Impact Level 4 designation carry further connection conditions.[1]

Cloud / BYOL

No bring-your-own-licence model exists. Web plans are restricted in how they connect to other software: “Subscription Plans purchased on www.docusign.com may not be used in conjunction with Docusign APIs and are available for use with a limited number of integrations.”[5] A custom integration on a Standard or Business Pro web plan is therefore outside the plan’s use rights. It needs an API plan or an Enhanced plan instead. Catalog: Web plans may not be used with Docusign APIs.

Programs

Online Subscription Plans. Under the Sites and Services Terms, a Subscription Plan “will automatically renew for the same time period”. To stop renewal, the customer must cancel at least five business days before the end of the term or switch off auto-renewal in the console.[4] Promotional codes apply to the initial term only. Each renewal “will be charged at the original, non-discounted price”.[4] Docusign must give at least 30 days’ advance notice before changing fees.[4] The “Annual | Billed monthly” option is a full year of service paid in instalments. Cancelling within 30 days carries no penalty. After that, “you’ll be required to pay the remaining balance on your annual subscription, including any taxes or overage costs”.[3] The 30-day refund for annual plans bought on docusign.com “may only be used once per customer”.[3] Some countries add consumer cooling-off rights in the General Terms.[4] Catalog: Web Subscription Plans; Online Subscription Plans renew automatically; Promotional prices end at renewal; Annual plans billed monthly remain a full-year commitment; The 30-day refund can be used once per customer.

Enhanced plans under the MSA. Order Form subscriptions are invoiced annually in advance, are non-cancellable and non-refundable, and the Term is a non-divisible commitment.[2] Catalog: Enhanced plans.

Free account and trial. Docusign Support describes a free account with light sending, “commonly up to 3 envelopes total”, for one user. It also describes a free trial that “Lasts about 14 days with no credit card needed”, after which the account usually becomes a free account.[7] Catalog: Free account and free trial.

Data retention and exit

By default Docusign stores completed eDocuments for the Term or until the customer deletes them. During the Term, retrieval costs nothing extra.[1] After expiry the customer may ask, no later than two years after the Term, for Professional Services under a statement of work to retrieve completed eDocuments. After that period Docusign may delete the account and its documents.[1] On web plans, Docusign may delete uncompleted eDocuments when the envelope expires or the Subscription Term ends.[5] Catalog: eSignature documents retrievable for two years after the Term.
