Dashlane Business Terms and Conditions

This article is about the contract that governs Dashlane's business plans (the Business Terms and the Order), not the personal Terms of Service. Plan features and seat billing are in the related articles. It is not legal advice.

The Dashlane Business Terms and Conditions (the “Terms”) govern the use of Dashlane’s credential management and identity security platform by organizations. They apply when an organization signs an Order or accepts the Terms online, for example at online checkout or when installing or evaluating the Services.[1] The Terms were revised on 2026-04-15. They are separate from the personal Terms of Service, which state that they do not apply to Dashlane’s business offerings and that a person using an account provided by an employer is governed by the agreement between Dashlane and the employer.[3]

The Terms are short compared with an enterprise software agreement. They have eleven sections, and the licensing content sits mainly in Section 1 (definitions), Section 2 (grant, user management, restrictions, support), Section 3 (payment) and Section 10 (term and termination). They contain no licence-audit clause, no true-up mechanism and no price schedule; price and quantity come from the Order.[1]

Editions

The Terms do not name editions. They define the “Services” as the credential management and identity security platform that consists of the Apps, cloud-based components, and support, and they leave the package to the Order.[1] In practice the Order is either an online checkout (self-service Omnix Password Management) or a quote from Dashlane Sales (Omnix Credential Protection and Omnix Enterprise). The Help Center states that payment for a plan can be by credit card or by invoice, and that options for Credential Protection and Enterprise are discussed with a Sales representative.[6] The plan features are described in Dashlane Omnix plans.

An “Order” is the ordering document, including online checkout, specifying the Services licensed, the Fees, the Term and the number of authorized Users. If the Terms and an Order conflict, the Order controls.[1] Two Dashlane entities can be the contracting party: unless the Order says otherwise, Clients located in the Eurozone contract with Dashlane SAS in Paris, and all other Clients contract with Dashlane USA, Inc., a Delaware corporation.[1]

Metrics

The Terms count Users. A User is an employee, contractor or individual authorized to use the Services under the Client’s account, and the Order states how many Users are authorized.[1] See the catalog row for User. The Help Center calls the same unit a seat and shows the number bought on the Account Summary page of the Admin Console; see Dashlane seats, billing, renewal and offboarding.

The grant is limited, non-exclusive and non-transferable, applies to the Client and its Users during the Term, and extends to the Client’s Affiliates as long as the Client remains fully liable for their compliance and all payment obligations.[1] An Affiliate is an entity that controls, is controlled by, or is under common control with a party, where control means ownership of more than 50 percent of the voting interests.[1]

Counting and floors

Four rules from Section 2(b) and 2(c) matter when counting.

  • Re-allocation. The Client may re-allocate licences from one User to another through the Services, as long as the total number of Users does not exceed the limits in the Order.[1] A departing employee’s licence can therefore be given to a new hire without a new purchase.
  • Individual accounts. Each User must have their own account, and credentials to access the Services may not be shared.[1]
  • Responsibility for sharing. The Client is responsible for all activity under its Users’ accounts, including the sharing of Secured Data among Users.[1]
  • No sublicensing or service bureau use. The Client and Users may not sublicense, sell, lease (including on a service bureau basis), share, transfer, distribute or otherwise make the Services available to third parties except as the Terms permit. Dashlane may suspend access for a violation, and it notifies the Client before suspension unless it reasonably believes the violation is an immediate threat to the integrity or security of the Services.[1]

The Terms set no minimum number of Users and no reduction mechanism. Seat removal is handled outside the Terms: the Help Center says seats are removed by asking Support at least 30 days before the renewal date, and that cancellation requests inside 30 days of renewal are not accepted.[2] That 30-day window matches the notice of non-renewal in Section 10(a).[1]

Virtualization and partitioning

The Terms contain no device, processor, virtualization or partitioning rules. The only technical boundary concerns support: Dashlane supports the current and most recent prior major version of the operating system or browser, App versions that are not more than one year old, and use of the Apps in standalone configurations, excluding problems arising from third-party software or extensions that Dashlane does not explicitly support.[1] The Apps are defined as the downloadable software components installed on Client or User devices, including mobile applications and browser extensions, and they may not be modified, reverse engineered, decompiled or disassembled except as the law permits.[1]

Cloud and entitlement mechanics

All Dashlane business licences are subscriptions to a hosted service. The main commercial mechanics are these.

Term and renewal. The Agreement starts on the Effective Date and lasts one year, or the period on the Order. It then renews automatically for one-year Renewal Terms unless the Client gives written notice of non-renewal at least 30 days before expiry. Dashlane must notify the Client of any change to Fees for a Renewal Term at least 45 days before the Term ends.[1] The Help Center adds that Starter renews monthly while the other professional plans renew annually, so the Section 10 one-year default is the baseline for newer plans.[5]

Payment. Fees not paid at checkout are due 30 days after the invoice is received. They are non-refundable except where the Terms say otherwise, and Dashlane may suspend access if overdue Fees remain unpaid ten calendar days after a notice of non-payment.[1] In practice the Help Center describes a longer 30-day grace period followed by a limited state in which members cannot log in.[4] Fees are exclusive of taxes, which are shown on the invoice.[1]

Resellers. When the Client buys from a Reseller, the payment obligations and pricing are those in the Reseller agreement, and Dashlane is not responsible for Reseller statements that are inconsistent with the Terms or the Documentation. Dashlane may suspend access if the Reseller does not pay, after notice and a ten-day cure period in which the Client can pay Dashlane directly.[1]

Support and availability. Dashlane targets 99.9 percent monthly availability for the cloud elements, but the Terms call that a performance target and not a warranty, so a miss is not automatically a material breach.[1]

Data. The Client keeps all rights in Secured Data, which Dashlane may process only as required to provide the Services. Dashlane must notify the Client within 36 hours of an Incident affecting Secured Data or Client Personal Data.[1]

Liability and law. Each party’s aggregate liability is capped at the amounts paid and payable in the twelve months before the claim arose, with a higher cap for security incidents that result from Dashlane’s failure to comply with its security obligations. Governing law and venue are New York (New York County courts) for Dashlane USA, Inc., and French law with the Tribunal de Commerce in Paris for Dashlane SAS.[1]

Termination. Either party may terminate for a material breach not cured within 30 days of written notice. On termination or expiry all licences end immediately and the Client pays Fees incurred to that date; a pro-rata refund of prepaid Fees applies if the Client terminates for Dashlane’s uncured material breach.[1]

Changes to the Terms. Dashlane may modify the Terms at any time, but changes do not take effect until the next Renewal Term unless the law requires otherwise.[1]

Programs

  • Trial Periods. Dashlane may offer the Services free for a limited period. During a Trial Period the Services are provided as is, without warranty, indemnity or support obligations, and access ends automatically unless the Client subscribes.[1] The trial process is in Dashlane Omnix plans.
  • Beta Services. Experimental features can be offered as is, and information about them is Confidential Information of Dashlane.[1]
  • Reseller purchases. See above and the catalog program Reseller purchase.
  • Attribution. Dashlane may indicate that the Client is a customer on its website and in standard marketing materials, consistent with the Client’s style guidelines made available to Dashlane.[1]

Out of scope

This article does not cover the Data Processing Addendum, the Privacy Policy, Dashlane’s security certifications or its insurance commitments. It also does not interpret how the Order, a reseller agreement or a negotiated enterprise agreement may differ from the online Terms. Dashlane may modify the Terms, and a signed Order can supersede them in any respect on which it conflicts.
