Aptean’s Legal Center lists product-specific terms for GenomeQuest, Respond, EDI, Ship and Pay next to the general exhibits.[8] This article covers the Respond, EDI, Ship and Pay terms and the Logility Terms of Service, which are the places where Aptean defines its own licence units. The GenomeQuest Exhibit is outside the scope of this article.
Respond
The Aptean Respond Exhibit applies “to any Respond Software or Respond Subscription Services licensed or used by Customer”, and “if there is a conflict between the terms set forth in the Agreement and this Schedule, the terms set forth in this Schedule will control”.[1]
Metrics
A Case License (or Per Case License) entitles the customer to use the Respond roles, including Case Agent, Advanced Case Agent, Case Handler, Team Leader or Advanced Case Handler, Super User and Administrator, named or concurrent, “without limitation as to the number of Users, but on a per Case basis”. A Case is each case record created by a User in the Respond Software, containing one or more issues and identified by a unique reference number. Use for processing Cases is limited to a defined maximum number per annum. Once the maximum is reached the customer must buy a licence for additional Cases, unused Cases cannot be carried forward and there is no refund for unused Cases.[1] Catalog row: Case License; rule: Respond Case Licenses are capped per year with no carry-forward.
When Respond is hosted, a Case Agent Role is a Named or Concurrent User licence that exclusively accesses the Case Agent application. For a one-year Hosted Services term Case Agent Roles may be no more than 50% of the Named or Concurrent User licences granted each year, and for a term of two or more years no more than 60%.[2] Catalog row: Case Agent Role; rule: Case Agent Roles are capped at 50% or 60% of user licences.

Catalog proof: Respond storage is bought in 5 GB blocks at prevailing rates; Respond reinstatement fee applies after suspension; Respond server API integrations are delivered by Aptean Professional Services; metric Respond active data storage. The prevailing rates are stated “as at the date of signing” and may change.
Logility
The Logility Terms of Service cover managed Subscription Services under an Order Form. Their definitions create the following units.[3]
| Unit | Aptean wording (summary) | Catalog row |
|---|---|---|
| Standard User | Day-to-day operational planning, with ability to add, edit, view, update and delete all record types | Logility Standard User |
| Super User | Access to all functionality, including configuring views, creating plans and strategic analysis | Logility Super User |
| Collaborative User | Limited access to communicate, share, edit and review calculated or Trading Partner data | Logility Collaborative User |
| View User | Read-only review of data | Logility View User |

Standard, Super, Collaborative and View Users must each be an employee or contractor of the customer or a designated Business Unit, while a Trading Partner (a third-party supplier, contract manufacturer, service provider or customer) is a separate category defined by its need to update its own information.[3] Catalog proof: Logility user types must be employees or contractors of the Customer or Business Unit. The managed services include system administration, operational services (batch scripts) and database management with a daily offsite backup.[3] The operating parameters in the Order Form “represent the maximum number of transactional and other operational considerations to be processed”, and Aptean is not responsible for service issues from use above them.[3] Catalog proof: Logility operating parameters are maximums.
EDI
Under the Aptean EDI Terms of Service (version 5.0, effective 2026-07-27) fees “will be calculated according to the Licensor EDI Pricing found in Schedule 1” unless the Order Form says otherwise, and Aptean “reserves the right to increase the fees or update the fee structure found in Schedule 1 at any time”.[4] The customer may terminate on 90 days written notice, and all trading partners must be pre-approved by Aptean.[4]
| Fee | USD schedule | CAD schedule |
|---|---|---|
| Monthly Trading Partner Subscription | 100.00 per trading partner | 90 per trading partner |
| Communications Maintenance Fee | 40.00 per month | not listed in the CAD schedule |
| Cost per document | 1.00 for the first tier, down to 0.04 above 5,000 transactions | 1.30 down to 0.05 |
| Cost per line item | 0.10 down to 0.01 | 0.13 down to 0.01 |
Fees are charged on the transactions sent and received in a month, tier by tier. The Functional Acknowledgement (997) does not count as a document, and for document types 832, 846, 852, 940, 943, 944 and 945 every 10 line items count as one for billing.[4] The schedule states that there are no connector, map setup or VAN fees. Catalog rows: EDI Trading Partner subscription, EDI document and line item; SKU Aptean EDI Services. Catalog proof: EDI fees can be changed by Aptean at any time; EDI Trading Partners must be pre-approved; EDI Services end on 90 days written notice.
Ship
The Aptean Ship Terms of Service (version 1.0, effective 2023-02-27) govern a multi-carrier shipping service. Fees follow the monthly pricing in Schedule 1, and Aptean “reserves the right to increase the fees or update the fee structure” at any time.[5] Plans are chosen by parcel and freight volume. Every plan lists unlimited Users, and the Locations allowance rises with the plan.[5]
| Plan | Parcel volume | Freight volume | Locations | All Parcel carriers (USD per month) | All Parcel and LTL (USD per month) |
|---|---|---|---|---|---|
| Essentials | 1,500 | 50 | 5 | 268 | 368 |

| Enterprise Tier 3 | 125,000 | 8,000 | 50 | 1,498 | 2,098 |
| Enterprise Tier 4 | 200,000 | 15,000 | 50 | 1,898 | 2,498 |
A separate Limited table prices UPS, FedEx and USPS only, from USD 188 to USD 1,329 per month. HazMat and the rating API are not available on Essentials.[5] Catalog rows: Aptean Ship parcel and freight volume; SKUs Essentials, Business, Professional, Enterprise, Tiers 2 to 4. Catalog proof: Aptean Ship fees are set by monthly volume plan and may change.
Pay
The Aptean Pay Terms of Service describe a payment service delivered through a third-party processor. The merchant must register directly with Aptean as a “Merchant”, and the processor’s own terms are incorporated by reference.[6] The fees charged to merchants “are set forth in the Fee Disclosure found in your Account Information page on the Merchant Portal”, not in a public schedule.[6] Catalog proof: Aptean Pay merchant fees are set in a Fee Disclosure. Aptean’s product page describes Aptean Pay as SaaS-enabled and usable with both SaaS and on-premise versions of Aptean ERP.[7] The Pay terms are a payments contract, so they are not a software licence in the sense of the other products.
