The Aptean AI Products and Services Subscription Exhibit is the contract layer for Aptean’s AI offering. It defines “Aptean AI Products and Services” as AI-based software, platforms, features, systems, models, tools or functionality provided under the exhibit, including standalone products and embedded functionality, and says they include “Agent Central, Agents, and AppCentral”.[1] “Aptean AIaaS” is the cloud-based subscription that gives access to Agent Central and the AIaaS Agents for the Subscription Term.[1] Aptean’s own product page describes AIaaS as a managed service for designing, deploying and optimizing purpose-built AI agents that operate inside its AppCentral platform.[3] The exhibit is listed in English and in Danish, French, German, Italian, Norwegian, Spanish and Swedish versions in the Legal Center.[5]
Editions
The exhibit does not name editions or tiers. The Order Form “sets out the applicable subscription tier, fees, and any usage parameters (including the number of Agents)”.[1] Two constructs matter:
- Agents. An Agent is an AI-enabled software capability that performs tasks “autonomously or semi-autonomously” based on Customer Data or configurations. AIaaS Agents are the specific Agents ordered and made available according to the Blueprint.[1]
- Blueprint. The “Agent Blueprint” is attached to the Order Form. It must include at least a description of each Agent’s use case, decision scope and autonomous actions, human oversight requirements and escalation triggers, and whether the use case is a High-Risk Use Case. It can be changed in writing by mutual agreement, and the exhibit prevails over the Blueprint in a conflict.[1]
Metrics
The licensing unit is the Agent. The exhibit gives no price per Agent or per user, but names “usage-based charges (e.g. consumption limits or premium Agents) as specified in the Order Form” alongside subscriptions and committed amounts.[1] Catalog row: AIaaS Agent; rule: AI subscriptions can include usage-based charges; SKU Aptean AIaaS and Agent Central.
Each User must use unique credentials. A Login includes usernames, passwords, API keys and security tokens “assigned by or on behalf of Customer for each User or automated system”, and the customer is liable for all access through Logins.[1] Machine credentials therefore count as Logins for liability purposes.
Counting / floors
Billing. Unless the Order Form says otherwise, Aptean invoices annually in advance for the initial twelve-month period and each twelve-month renewal period.[1] The general MSA renewal, notice and payment terms also apply to an Order Form under the Agreement; see Aptean Master Solution Agreement and contract structure.
Change allowance. The customer “may request AIaaS Agent changes comprising up to one (1) hour of aggregate effort per calendar quarter at no charge”. Unused time expires at quarter end, and larger changes are billed at Aptean’s current professional services rates by change order or SOW.[1] Catalog proof: AIaaS Agent changes are limited to one hour per quarter at no charge.
Feasibility and add-on fees. Integration with customer data is “subject to a technical feasibility assessment during the Blueprinting phase”. If the assessment shows that an Agent needs a paid upgrade or custom middleware, or is unsupported by the customer’s systems, Aptean “reserves the right to charge additional fees or suspend the specific service”.[1]
Updates. Aptean may update or modify the services at no additional cost “provided these updates do not materially reduce overall functionality”, and the customer plans and runs user acceptance testing.[1]
Use restrictions
The exhibit has the most detailed use-case controls among the Aptean documents reviewed.
- Approved use cases only. The products may be used solely by authorised personnel “and only for the approved use cases set out in the applicable Blueprint, Licensor product documentation or as otherwise agreed contractually”. The customer must implement human oversight and may not rely solely on automated outputs where law restricts it.[1] Catalog proof: Aptean AI use is limited to approved use cases.
- Prohibited uses. No biometric identification or categorisation except where permitted by law and approved in writing, no automated decisions with legal or similarly significant effects on individuals without meaningful human review, no prohibited AI use cases under applicable law, and no High-Risk Use Case without approval.[1]
- High-Risk Use Cases. A High-Risk Use Case is any use classified or reasonably likely to be classified as high-risk under applicable law, “regardless of whether the AI system is fully automated or subject to human oversight”. The products are “not designed, developed, or authorised for High-Risk Use Cases by default”. Use needs a written request describing the decision context, affected individuals, data categories, level of automation and oversight, Aptean’s written approval, and a separate agreement under which Aptean builds a bespoke agent. Use outside that process “shall constitute a material breach”.[1] Aptean may require re-assessment, modification, suspension or termination of a use case if risk classifications change.[1] Catalog proof: High-Risk Use Cases need written approval and a separate agreement.
- Integration channels. Without Aptean’s prior written approval the customer may not connect directly to an Aptean MCP server, internal API endpoint or backend service outside published and approved integration channels, or deploy third-party AI agents, autonomous systems or orchestration frameworks to interact with the products outside the Blueprint.[1] Catalog proof: Direct connections to Aptean MCP servers or third-party AI agents need approval.
Customer Data, outputs and warranty
The customer grants Aptean a non-exclusive, worldwide, fully paid-up, royalty-free licence to host, process and use Customer Data and Outputs as needed to provide and support the products “and for purposes related to training, retraining, fine-tuning, or otherwise improving” them, to the extent permitted by applicable law, with prior written consent where the law requires it.[1] Catalog proof: Customer Data and Outputs may be used to improve the AI products. The customer owns Outputs generated from Customer Data, subject to Aptean’s rights in the products, and Aptean keeps all rights in models, algorithms and configurations.[1] The MSA’s separate right to use anonymized usage data also applies.[4]
The products are provided “as is” and “as available”. Outputs may be “probabilistic or non-deterministic”, and the customer is responsible for reviewing and validating them and for outcomes from reliance on them or from automated actions by Agents in its ERP or business systems. The customer also indemnifies Aptean against claims arising from its use of the products and Outputs.[1]
Service level
The exhibit says uptime commitments and remedies are “governed exclusively by the Service Availability Exhibit” and that no other availability commitment is implied.[1] That exhibit commits to at least 99.9% production availability measured monthly, from the date the service goes live, and calculates availability as total minutes minus Unplanned Outage minutes, divided by total minutes. Excluded Downtime covers scheduled and emergency maintenance, security actions, Internet Disruptions, Customer Error Incidents, customer data or systems, misuse, permitted suspension and force majeure. The “Service” is the AppCentral platform, and customers may request an availability report through Aptean Connect once per month.[2] The document sets no credit schedule. Catalog proof: AIaaS availability target is 99.9% per month.
Virtualization & partitioning, Cloud / BYOL
Neither concept applies. The service is hosted by Aptean on “its own and/or reputable third-party cloud infrastructure”, with security measures set out in a Security Exhibit at Aptean’s Trust Center.[1] The exhibit has no bring-your-own-model or customer-deployment provision.
Programs
The AI subscription is itself the programme: see AI Products and Services subscription. The exhibit does not describe trial, free-tier or partner programmes.
Out of scope
AI features embedded in Microsoft Dynamics 365 or other third-party platforms that underlie Aptean products, the Aptean Trust Center security exhibit, and Aptean’s separate data processing addendum are not analysed. See Aptean licensing for the wider contract frame.
