Tanium publishes two base licence agreements. The End User License Agreement (EULA) applies to subscriptions to Tanium on-premises software. The Subscription Agreement for Tanium Cloud applies to subscriptions to Tanium Cloud, formerly Tanium-as-a-Service.[3] Supplemental documents add terms for support offerings, hardware appliances and licence measurement.[3] Both agreements are accepted by downloading, installing or using the product and are split into Part 1 general terms and Part 2 country-specific terms.[1][2] The contracting party is “the Tanium entity listed or identified on the Quote”.[1]

Metrics
Neither agreement defines a licence metric. Both say the software or Service “is licensed as set forth in the applicable Schedule”.[1][2] The units and counting rules come from the License Usage Terms, which apply wherever the quote or schedule references them. Counting / floors
Licence grant. Both agreements grant a non-transferable, non-exclusive, non-sublicensable licence for the term. Use must be internal only and must follow the Documentation.[1][2] Only Users, meaning personnel the customer designates, may use and access the offerings.[1] Catalog: Licence is for internal use only and only per the Documentation.
Restrictions. The customer must not use the offerings for anyone else’s benefit, or assign, sublicense, rent, timeshare, loan, lease or otherwise transfer them.[2] It must not use them to contest Tanium IP, to compete with Tanium, or to benchmark or analyse Tanium products competitively.[1] The Cloud agreement also bars access through spiders, robots, crawlers or similar tools, other than Tanium-provided features.[2] Catalog: Benchmarking and competitive analysis are prohibited.
Affiliates and outsourcers. Affiliates and a Managing Party (a third party that manages the customer’s IT resources) may use the offerings. All use must be for the customer’s or affiliate’s internal business purposes, not for the Managing Party’s benefit, and the customer remains liable for their compliance.[1] Catalog: Affiliates and Managing Parties may use the offerings for the customer's internal purposes.
Virtualization & partitioning
The agreements contain no virtualization terms. Virtual devices and hypervisors are handled in the License Usage Terms.[7]
Cloud / BYOL
Tanium Cloud for US Government (TC-USG). TC-USG is offered only to Eligible Customers. These are federal, state, local and tribal government entities, educational institutions, and entities for which the customer determines, and Tanium agrees, that TC-USG helps meet US federal compliance requirements.[2] The customer may not put classified data, IRS Publication 1075 federal tax information, CJIS data, or data needing authorization above FedRAMP Moderate or DoD Impact Level 2 into TC-USG. Every user with administrator access must be a U.S. Person.[2] Catalog: TC-USG; TC-USG is limited to Eligible Customers with U.S. Person administrators.
Hardware. Tanium Appliances are bought under separate Hardware Terms. These cover the hardware only. The Licensed Software and its support stay under the licence agreement, and installing other software on the appliance without written authorization risks voiding Hardware Support Services.[6] Catalog: Tanium appliance purchases do not include software licences.
Programs
- Evaluation. Evaluation Software or Services are free and limited to internal lab development, demonstration, evaluation, training and testing. The Evaluation Period is the term in the welcome email or licence key notice, or 30 days, and Tanium may extend it in writing. Evaluations are provided as-is, without support, and Tanium’s liability is capped at USD 500.[1] Catalog: Evaluation use defaults to 30 days, as-is, capped at USD 500 liability.
- Preview Software. Beta, Pre-release, Private Preview and Pilot features fall under the evaluation terms. They should not be used in production.[1]
- Support. Standard Support Services are included with each licence. Customers may name up to two Technical Support Contacts.[1] Enterprise Supplemental Support provides an enterprise support resource. Days bought per week or per month expire at the end of each period and do not roll over.[4] Enhanced Technical Support assigns a resource to oversee Severity 3 cases.[4] HuntIQ Enhanced Support provides threat hunting resources for Tanium Threat Response under a THR Support Plan.[5] Catalog: Standard Support Services are included with each licence; ESR days bought per week or month expire and do not roll over.
Term, renewal and payment
A licence starts on the Effective Date: the earlier of the Schedule date or the date Tanium delivers Credentials. It runs for the Initial Term in the Schedule.[1] It renews automatically only when the Schedule expressly says so. The customer can stop renewal by written notice, and email counts, at least 30 days before a Renewal Term begins.[1][2] Unless a Schedule says otherwise, fees are billed annually in advance and due 30 days after the customer receives the invoice. Late payments accrue the lesser of 1 percent per month or the legal maximum.[1] When the customer orders through a Reseller, pricing, discounts, fees, payments and taxes are governed solely by the customer’s agreement with the Reseller.[1] Catalog: Automatic renewal applies only when the Schedule says so; Fees are billed annually in advance unless the Schedule says otherwise.
Either party may terminate for material breach not cured within 30 days.[1] On expiry or termination of an on-premises licence, the customer must promptly uninstall the software.[1] Catalog: On expiry or termination the on-premises software must be uninstalled.
Audits and compliance
The audit clause is the same in both agreements. During the term and for one year after, Tanium may audit the customer’s use no more than once in any 12-month period. It may request a system-generated deployment report, which the customer must provide within 30 days. Audits take place during normal business hours. The customer must complete remediation, including buying more licences, within 30 days after receiving the final audit report.[1][2] The clause survives termination.[1]
The clause does not say how excess use is priced and contains no cost-shifting provision. Because the evidence is the platform’s own deployment report, the Console count of managed endpoints is the figure an auditor is likely to start from.[1][7] Catalog: Tanium may audit once in any 12-month period, by deployment report.
Out of scope
- Liability, indemnity, confidentiality and data protection terms, except where they affect licence quantity.
- Part 2 country-specific modifications, such as the German terms on reverse engineering and default interest.
- Agreements for third-party products resold by Tanium.[3]
- The Acceptable Use Policy in detail. It governs conduct in Tanium Cloud rather than licence quantity.[8]
