Idera licensing

This article is an overview of how Idera, Inc. licenses its database tools (SQL Diagnostic Manager, ER/Studio, DB Optimizer and others) and its Sencha developer frameworks. Embarcadero products (RAD Studio, Delphi, C++Builder) are covered under Embarcadero RAD Studio licensing.

Idera licensing covers the database, data modeling and developer tools sold by Idera, Inc., a software group based in Austin, Texas. Idera publishes separate legal pages for each of its brands, including Embarcadero, Sencha, Aquafold, WhereScape, Webyog, Gurock (TestRail), Ranorex and others.[11] For the IDERA brand itself, which includes SQL Diagnostic Manager, SQL Defrag Manager, DB Optimizer and ER/Studio, it publishes four documents. These are a Master Software License Agreement (MSLA), a Master Software Subscription Agreement (MSSA), a Freeware Software License Agreement and Supplemental AI Terms.[1]

This article covers the IDERA database tools and Sencha. Embarcadero’s RAD Studio, Delphi and C++Builder are covered under the Embarcadero Technologies publisher in Embarcadero RAD Studio licensing.

Editions

The IDERA online store sells most database tools as annual subscriptions. Its prices are in US dollars and include one year of support and maintenance per licence.[5]

Metrics

The MSLA does not use one metric. It lists licence types, and the Order Form says which one each product uses.[2]

Counting / floors

Licence keys. Every Idera product needs a License Key to run. Idera may gather licence usage data, including key numbers, server IP addresses, user email addresses and domain counts, and the customer may not block it.[2] In SQL Diagnostic Manager, each licence key covers a set number of SQL Server instances, and the console will not add instances beyond the limit.[12] Catalog: SQL Diagnostic Manager stops adding instances at the licence limit.

Floors. The online store sells single licences. No minimum quantity is published.[5]

Virtualization & partitioning

Two metrics address virtualization directly. A per-server licence covers “one (1) physical or one (1) virtual server”.[2] A CLU covers up to four vCPUs allocated to a virtual machine, so a VM with seven vCPUs needs two CLUs.[2] Per-instance licences count SQL Server instances, whether those instances run on physical or virtual hosts. Catalog: CLU counts four cores per socket and four vCPUs per VM, Per-server licences cover one physical or one virtual server.

Cloud / BYOL

The MSLA licenses installation on hardware “owned or operated by or on behalf of Customer”, which can include hosted infrastructure. Third parties providing outsourcing services for the customer’s internal operations may also use the software, if they agree to the terms and the customer remains liable for them.[2]

Programs

  • Maintenance Services. Maintenance is optional for perpetual licences. It renews for 12 months unless cancelled 60 days before expiry, and it costs a 1.5 times penalty to reinstate after a lapse.[2]
  • Subscription licences. Maintenance is included. Licences renew for 12 months unless cancelled 30 days before expiry, and all rights end when the term ends.[3]
  • Freeware. Free tools are licensed for internal business use, one copy on one instance per licence.[4]
  • Evaluation. Trials run on a temporary licence key and must be uninstalled when the key expires.[2]

Sencha

Sencha Ext JS, GXT, Sencha Test and Rapid Ext JS are licensed by Sencha Inc., an Idera company, under the Sencha Software License Agreement, Version 3.26.[7] The unit is the Designated User: “a single distinct person for whom You have purchased a license”, employee or contractor. A Designated User can be replaced only after at least six months.[7] Sencha’s summary of use restrictions says that every developer, or anybody using the Software to design UI, must be licensed. It also says consultants cannot use one licence to build applications for several customers who will own them.[10] Commercial licences cannot be used to build development toolkits, application builders or website builders; that needs a Custom Use licence.[9]

The agreement offers perpetual Ext JS and GXT licences with annual Maintenance and Support, and an annual Single Developer Subscription License that must stay current to keep developing. Sencha Test is annual only.[7] The store prices Ext JS per developer per year. The Community Edition is free for users with revenue up to USD 10,000 a year.[8] An application started under the GPLv3 licence cannot later be converted to a commercial licence.[9] Sencha’s verification clause is unusually strict. For a material violation the licensee pays the audit costs and “two times any amounts owing that are attributable to the unauthorized use plus a legalization fee”, or Sencha may terminate the licences.[7] Catalog: Every Sencha developer must be a licensed Designated User; licences move at most every six months, Sencha audits: two times the amounts owed plus a legalization fee for material violations.

Audits and compliance

Section 13 of the MSLA combines telemetry with self-certification. On written request, the customer must deliver within ten business days a written report certifying the licences installed, used or accessed, the servers or computers involved and, where relevant, the locations and number of users. These rights survive termination by 18 months.[2] Unauthorized use is deemed a material breach. Domain count overrides need Idera’s prior written approval.[2] Catalog: Idera may gather licence usage data and require a certified usage report within 10 business days.

  • The Supplemental AI Terms.
  • Negotiated enterprise agreements and Idera’s standard true-up addendum, which is not published.
