Quest Software licensing

This article is about licensing Quest Software products (Toad, Foglight, SharePlex, Space Manager and others) under the Quest Product Guide and Software Transaction Agreement. It does not cover One Identity, SonicWall or erwin agreements. It is not legal advice; a signed agreement or Order overrides the documents quoted here.

Quest Software licensing is the set of rules under which Quest Software Inc. licenses its database, monitoring, replication and data-protection products, including Toad for Oracle, Toad for SQL Server, Toad Data Point, Foglight, SharePlex and Space Manager with Live Reorg. Every Quest product carries a License Type (for example by server, by mailbox, by managed user) that is named in the Order and defined in the Product Guide.[1][2] The Product Guide has three parts: License Types, Product Specific Terms and Other Terms. Only some products have Product Specific Terms.[1] The contract is the regional Software Transaction Agreement (STA). A signed agreement referenced in an Order supersedes the STA.[2][6] On-premises licences are perpetual unless the Order says otherwise. SaaS licences run for the SaaS Term.[2]

Editions

Quest does not publish one edition matrix for its whole portfolio. The Order product description sets the product, its License Type and, for SharePlex, the system type (Oracle, SQL Server, Kafka and so on) and the licence model type.[1]

  • Toad for Oracle. The Quest eStore sells seven AI Enabled subscription editions: Base, Professional, Pro DB Admin, Xpert Plus, Dev Plus, DBA Plus and DBA Plus RAC Exadata. The listing says “Annual subscription | Sold per seat”. Higher editions add modules such as SQL Optimizer, Code Tester, Benchmark Factory (100 or 500 virtual users), Spotlight on Oracle and Toad Data Modeler.[5] The eStore is operated for Quest by the reseller Cleverbridge GmbH. The STA defines shop.quest.com as Provider’s online ordering system.[2][5]
  • Toad Business Intelligence Suite. Each suite licence includes 10 Named User licences for Toad Decision Point Pro, 10 Named User licences for Toad Data Point Pro, one Toad BI OEM Component Quest Data licence and one Server licence for Toad Intelligence Central.[1]
  • SharePlex. Sold by replication role: Single Source and/or Target, Single Target, Target Stream, Target Cluster or Target Namespace.[1]
  • Foglight. Sold by Managed Physical CPU, Monitored Instance, Named Instance, APM Agent, Interface (Network Management System) and other monitoring License Types.[1]
  • Non-Production licences are a separate licence class, limited to internal development and test.[1]

The seven Toad for Oracle offerings are catalogued as SKU rows with the EUR unit price the eStore showed on the retrieval date. Quest publishes no part numbers for them.[5]

Metrics

The Product Guide defines a long alphabetical list of License Types, most tied to one product family. The catalog holds the 16 that govern Toad, Foglight, SharePlex and general server licensing. For the definitions, follow the rows. Do not restate them here.[1]

Counting / floors

Seat (Product Guide dated 2026-06-03). A licence is required for (a) each User who can access or interact with the Software on a shared device or in a virtualized or cloud environment and (b) every single-user device where the Software is installed. No User needs more than one licence. Licences of departed staff, or of users whose access has been permanently terminated and documented, may be re-allocated.[1] Rule: Seat: license every User with access in shared, virtualized or cloud environments and every single-user device.

Core and Factored Core (2026-06-03). The licence quantity for each device must be the total number of Cores on that device. A Factored Core is a Core multiplied by the Core Processing Licensing Factor in the Oracle Core Factor Table as of the installation date.[1] This is Oracle’s table, used as a reference inside Quest’s terms (see Oracle Database). Rule: Core and Factored Core: license all Cores on each device.

SharePlex (2026-06-03). Every replication source and every replication target needs a licence. An intermediate server that is neither source nor target needs no licence of its own. A Single Source and/or Target licence must cover at least the Cores, CPU Sockets or vCPUs that power the source or target. It belongs to exactly one source or target, so a 100 vCPU licence cannot be split across five 20 vCPU sources.[1] Rules: SharePlex: every replication source and target requires a licence; intermediate servers need none, SharePlex Single Source and/or Target: virtualized, IaaS and DBaaS systems must license by vCPU; no splitting.

Space Manager with Live Reorg (2026-06-03). Licensed per Instance. Each Order line is one Instance, capped at the Core, CPU Socket or vCPU quantity on that line. Licences cannot be shared or moved to other Instances, except to a replacement Instance of the same database type and size.[1] Rule: Space Manager with Live Reorg: per Instance, capped at the Core / Socket / vCPU quantity on the Order line.

Toad BI Suite (2026-06-03). One suite licence gives 10 + 10 Named Users and one Server.[1] Rule: Toad Business Intelligence Suite: 10 + 10 Named Users and one Server licence per suite licence.

Foglight (2026-06-03). Additional Software delivered with Foglight may only monitor the objects that the licensed Software monitors. The bundled MySQL Pro Database is for Foglight only.[1] Rule: Foglight Additional Software only monitors what the licensed Software monitors.

Maintenance floor (STA effective 2023-06-15). Maintenance must be ordered for all copies of each licensed Product. It cannot be bought for a subset of that Product’s licences.[2] Rule: Maintenance must cover all copies of each licensed Product.

Which Product Guide applies (2026-06-03). All of a customer’s licences for a given product, whatever their licence date, follow the Product Terms in effect on the date of the most recent purchase of that product.[1] The STA has the same rule for itself.[2] Rule: The Product Guide in effect at the most recent purchase governs all licences for that Software.

Audit (2023-06-15). Quest gives at least 10 days’ written notice. Overuse is paid at the then-current list price, plus interest and past Maintenance fees. If Overuse is more than 5% of entitlements, the customer also pays the reasonable cost of the audit.[2] Rule: License Verification: 10 days notice; Overuse at list price plus back maintenance; audit cost above 5%. Virtualization & partitioning

Quest has no general sub-capacity policy. Each License Type defines its own virtual counting:

The Support Guide’s virtualization section covers support only. Quest may ask for a problem to be reproduced in a native environment, and it gives no performance guarantee in virtual environments.[4] It does not change licence counting. See virtualization and partitioning.

Cloud / BYOL

Quest publishes no named hyperscaler BYOL programme. Cloud rules sit in the License Type definitions:

The country-of-delivery clause matters when licences are deployed into a cloud region in another country. The STA gives no exception for cloud regions.[2]

Programs

  • Maintenance Services (Maintenance Services). The first Maintenance Period is 12 months from delivery. For non-perpetual licences, the Maintenance Period equals the licence term. Fees are due annually in advance. Maintenance on perpetual licences renews automatically unless either party cancels with 60 days’ notice. It includes new releases at no extra licence fee.[2] Quest normally supports the current (n) and prior (n-1) versions. Continuing Support gives one year of limited support after end of life. With lapsed support, customers cannot get technical help.[4] See software maintenance and support.
  • SaaS Software (SaaS Software (SaaS Term)). Licensed for the SaaS Term in the Order. On-premises components delivered with a SaaS product share that term.[2]
  • MSP License (MSP License). The only STA route to managed services for third parties. A perpetual MSP License can be assigned to a Client only with Quest’s prior written consent.[2]
  • Toad for Oracle annual subscription (Toad for Oracle annual subscription). Sold per seat, renews automatically, and needs an internet connection at registration and every 30 days after that. Offline and volume subscriptions are sold through Quest sales.[5]
  • Evaluation License. Up to 30 days, for non-production use only, one per release, with no warranty or Maintenance.[2] Rule: Evaluation License: up to 30 days, non-production, one per release.

Licences cannot be assigned, including by merger or asset sale, without Quest’s written consent.[2] Rule: No assignment or transfer of Licences without Quest consent, including by merger. US public-sector customers buy under a separate Quest Software Public Sector STA.[3]

Out of scope

  • One Identity products (Identity Manager, Active Roles, Safeguard, OneLogin). Their License Types, such as IDM User, ARS Enabled Accounts and the OL types, appear in the same Product Guide but are not catalogued here.[1]
  • SonicWall products, which have been governed by SonicWall Inc. documents since 1 June 2017.[1]
  • erwin, KACE and vWorkspace product terms, even though they appear in the Product Guide.
  • List prices other than the Toad for Oracle eStore snapshot. Toad for SQL Server, Foglight and SharePlex prices were not retrieved from a Quest price page.
  • Regional STA variants other than the United States text.[6]
  • Reseller, partner or SAM-tool interpretations.
