Citrix End User Agreement

This article is about the Cloud Software Group End User Agreement (Version 2.5) and the Citrix Business Unit Terms as they apply to licence entitlement, use restrictions, deployment reports, termination and audit. The Citrix End User Agreement is the Cloud Software Group End User Agreement (EUA), Version 2.5, the single agreement under which the Citrix business unit licenses its on-premises Software, Cloud Services, Hardware, Maintenance, Consulting Services and Education Services.[1] It is read together with the Cloud Software Group Business Unit Terms, whose Citrix section points to the product specific terms on citrix.com, and with the customer’s Order.[2] The EUA does not define the licence meters themselves (User/device, Concurrent, User, Flex Credit and others); those come from the product terms and are covered in Citrix licensing. This page covers the contract clauses that decide what a deployment may do and how the vendor checks it.

Version 2.5 carries a 2026 copyright line but no effective date.[1] Rules below are dated by retrieval (2026-09-30).

Editions

The EUA applies to all Citrix products; it has no editions. Its definitions set the licence forms that an Order can grant:[1]

Catalog: EUA 1.21: Perpetual means indefinite, or 99 years where a perpetual licence is invalid.

Metrics

The EUA counts entitlement in Number of Units and leaves the unit type to the product specific terms.[1] The Citrix Business Unit Terms define Unit Type as the purchased entitlement “by which Company measures, prices, and offers the Products” as set out on the product terms page, and define User for current packages.[2][3] The metric rows are listed in Citrix licensing.

Counting / floors

Licence grant (as of 2026-09-30). Section 2.1 grants a limited, non-transferable, non-sublicensable, non-exclusive, worldwide licence to install, run, access and use the Number of Units of Software during the Term “solely for internal business purposes”; section 2.2 grants Cloud Services on the same basis.[1] Catalog: EUA 2.1: Software licensed for internal business purposes, Number of Units, during the Term.

Authorized Users (as of 2026-09-30). Only Authorized Users may install, run, access or use the Products (§2.7(iii)). Authorized Users are the customer’s employees, agents, contractors, consultants or other third parties permitted under the product specific terms, who have agreed in writing to terms at least as protective as the EUA (§1.4).[1] Catalog: EUA 2.7: only Authorized Users bound in writing may use the Products.

Other limitations on use (as of 2026-09-30). Section 2.7 also forbids making more copies than required (except archival copies), using unlicensed versions or Products not listed in an Order, sublicensing or reselling, using an embedded or bundled component on a stand-alone basis, and competitive benchmarking unless the law permits it.[1] Catalog: EUA 2.7: no stand-alone use of embedded or bundled components.

Deployment Report (as of 2026-09-30). On written request (email acceptable) the customer must certify in writing the Number of Units deployed. If the parties agree a further Subscription Term, the Units in the report are its basis, and the vendor has no obligation to offer a further Term if the report is not provided.[1] Catalog: EUA 2.9: Deployment Report on request; required for renewal offers.

Mergers and divestitures (as of 2026-09-30). During the Subscription Term the right to deploy “shall not extend to any Extraordinary Corporate Event”, defined as a divestiture, acquisition, merger or combination with an entity that was not previously part of the customer. Users, divisions or entities added or divested may not use the Products until a written amendment adds them.[1] Catalog: EUA 2.10: acquired or divested entities not licensed until a written amendment.

Multi-year purchases (as of 2026-09-30). A multi-year Subscription is bought for the full value in the Order and is non-cancellable during the Term. Direct purchases are payable net 30 days, and all purchases are final with no refund or set-off except as the EUA provides.[1] The Term in a Quote for a new Subscription is an estimate; actual dates appear in the citrix.com Manage Licenses tool.[2] Catalog: EUA 4.2: multi-year Subscriptions are non-cancellable for the full value, Quote Term is an estimate; actual dates in the Manage Licenses tool.

Virtualization & partitioning

The EUA has no virtualization or partitioning clause. How hosts, sockets or sessions count is set by the product specific terms and product documentation.[3] See Citrix licensing.

Cloud / BYOL

Commercial sharing (as of 2026-09-30). The Citrix Business Unit Terms override the EUA and Cloud Services Terms only where the Order, product terms or Use Level permit: in that case Citrix products “may be commercially shared with third parties, used for the purposes of providing processing services, or to support the Customer proprietary services offerings”.[2] Without such permission the internal business purposes limit in §2.1 applies. Trials in public cloud (as of 2026-09-30). A Trial may be used only for internal demonstration, test or evaluation for the Term in the Order, as is and without Maintenance; data is lost unless the customer buys a Subscription or exports it. Trial Products, and Alpha, Beta, Tech Preview or Labs offerings, may be deployed on AWS, Microsoft Azure or similar environments.[1] Catalog: EUA 14.1: Trial use for internal demonstration, test or evaluation only.

Programs

The EUA itself is not a purchasing program. Maintenance is provided under the Business Unit Terms, where the Citrix section names it Customer Success Services and applies the All-in Rule.[1][2] See Citrix Customer Success Services and support and Customer Success Services (Maintenance).

Audits and compliance

Audit (as of 2026-09-30). During any Order and for one year after its termination, the vendor or its independent auditors may, at the vendor’s expense and on 10 days’ notice, audit compliance at reasonable times and report results to the vendor and its licensors. The customer must assist and make systems, personnel, records and information available at no cost, and failure to do so is a material breach. The customer must cure non-compliance promptly; if the audit shows material non-compliance, the customer reimburses the reasonable costs of the audit, including reasonable attorneys’ fees. The clause does not affect the vendor’s right to payment “for Products related to usage in excess of the Number of Units”.[1] Catalog: EUA 15.2: audit on 10 days’ notice, during the Order and one year after. Termination (as of 2026-09-30). Either party may terminate for an uncured material breach after 30 days; the vendor may terminate immediately for a material breach of sections 2 (product terms), 5 (intellectual property) or 13 (export).[1] On termination the customer stops all use and, on written request, certifies that it has de-installed and destroyed all Units deployed before termination; use of a Cloud Service past the termination date is invoiced.[1] Catalog: EUA 8.3: stop use on termination, certify de-installation, pay for Cloud Service use after termination.

Assignment (as of 2026-09-30). The customer may not assign the EUA without the vendor’s prior written consent. If a Business Unit is divested from Cloud Software Group, the agreement is deemed duplicated for the divested product.[1]

Order of precedence (as of 2026-09-30). Conflicts are resolved in the order (1) the Order, (2) the Business Unit Terms, (3) the EUA. Customer purchase order terms do not modify the agreement. The Business Unit Terms, Service Descriptions, Maintenance terms, Security Exhibit and DPA “may be updated by Company from time to time without notice”, and continued use accepts the then-current terms.[1] Catalog: EUA 15.4: Order over Business Unit Terms over EUA; supplementary terms may change without notice.

  • Licence meters and their counting rules (see Citrix licensing).
  • Cloud Services Terms, the Services Security Exhibit, the Data Processing Addendum and the DORA Addendum, which the EUA incorporates by reference.
  • Consulting Services Terms and Education Services.
  • Country specific terms (section 16) and the Hardware warranty.
  • The XenServer and other Cloud Software Group business unit sections of the Business Unit Terms.
