Bentley Enterprise 365 (E365) is Bentley Systems’ usage-based enterprise program. A subscriber accepted into it is granted rights to Use certain E365 Products “without limitation as to the number of Users”. Its Cloud Services Subscription (CSS) funds the usage of those products.[1] The E365 Program Agreement combines the E365 Program Terms with the same General Terms and Conditions, Support and Maintenance, Services, Cloud Offering, Cloud Services Subscription and Country-Specific Terms used by SELECT. The current version is marked “Last Modified: April 1, 2026”.[1] Bentley describes E365 as “a flexible, usage-based model with no contract end date”, billed quarterly for what is used, with admin alerts on consumption.[4]
A separate Enterprise 365 Public Sector (EPS-365) program gives public bodies the same unlimited-user right. Instead of quarterly usage charges it uses an annual fee set in an EPS-365 Order Form.[2]

Eligibility for E365 requires no overdue invoices, a current CSS and use of SES for licence administration.[1] EPS-365 requires the same except the CSS.[2] Catalog proof: E365 requires a current CSS and SES licence administration.

E365 Products are licensed on one of five bases, and the category of each product is given in the Enterprise 365 column of the Licensing Program Eligibility list.[1][3]

The examples column reflects the eligibility list of 2026-07-06.[3] Products marked “Ineligible” in the Enterprise 365 column cannot be used under E365. The “persona” wording in the eligibility notes and the “named user or unique machine” wording in the Program Terms describe the same count. A person or a machine that starts a Category A product on a given day is charged once for that day, and a Category B product once per quarter.
Counting / floors
Unlimited users, metered use. The licence grant covers Production Use during the Subscription Term without limitation on the number of Users.[1] There is no entitlement pool to exceed. Every day of Category A use and every quarterly user of a Category B product is a charge. Evaluation Licenses may be granted, but each unauthorized production use of one counts as an instance of Use of E365 Products.[1] Catalog proof: E365 licence has no limit on the number of Users; Production use of an E365 evaluation licence counts as billable usage.
Quarterly Floor. The E365 Order Form may set a minimum quarterly fee for each twelve-month Floor Period. If the quarter’s usage value at the Enterprise 365 Price List is lower, the Quarterly Floor is charged instead.[1] The floor assumes Category A, B, D and E usage plus the Category C products subscribed at the Start Date. Category C products added mid-period are billed quarterly from CSS and separately until the next Anniversary Date, then folded into the Estimated Fees.[1] Bentley may require a new floor to be negotiated when it adds acquired software that the subscriber uses, or when the subscriber acquires an entity that already has a Bentley program. If no agreement is reached by quarter end, Bentley may terminate. The subscriber-acquisition clause is new in the April 2026 version.[1][5] Catalog proof: E365 Quarterly Floor is charged when usage value is lower.
EPS-365 fee bands. The Annual EPS-365 Fee is based on the preceding twelve months’ usage of Category A, B, D and E products plus subscribed Category C products across the Subscriber Ecosystem. It is paid in advance and drawn down by a quarter each quarter.[2] Bentley reviews usage each Contract Year. If the usage value moves more than 10% from the previous year’s gross usage value, either party may propose a Fee Adjustment, limited to 20% of the current Annual Fee. If no adjustment is agreed within 90 days, either party may terminate at the end of the Contract Year.[2] Catalog proof: EPS-365 fee adjustments trigger at 10% usage change and are capped at 20%.
Funding: the Cloud Services Subscription
E365 usage is paid from a Cloud Services Subscription. The Initial CSS Payment is a good-faith estimate of the fees for Eligible CSS Services over twelve months, and the balance is drawn down as services are consumed.[6] Before the balance runs out the subscriber must replenish it with at least twelve months of estimated fees. Bentley issues a quarterly statement of consumption and remaining balance.[6] If a payment request is past due, Bentley may restrict or discontinue use of the funded services. After 30 days uncured it may treat the CSS as terminated. A positive balance is returned within 30 days of termination.[6] Eligible CSS Services are Term Licenses, CALs (including Visas and Passports), Cloud Offerings, the E365 Program and Recurring Services, so a single CSS can also fund SELECT overuse.[6] Catalog proof: CSS initial payment is a twelve-month estimate, replenished before depletion; Positive CSS balance returned within 30 days of termination.
Virtualization & partitioning
The General Terms apply unchanged. Use in a Virtualized Environment must be monitored through SES “such that each session started within the Virtualized Environment requires its own unique license”. The right ends with the Agreement.[1] Under E365 each such session is a unique machine or user for category counting. Catalog proof: Each session in a Virtualized Environment needs its own licence.
Cloud / BYOL
Bentley Cloud Offerings are E365 Products where the eligibility list gives them a category. The list places Reality Modeling Service in Category D and Reality Management Service in Category E.[1][3] Bentley’s comparison page adds that E365 includes Infrastructure Cloud access.[4] No bring-your-own-licence rule for public cloud hosting of desktop products is published.
Programs
- Affiliates. Affiliates listed on the Baseline Products and Affiliate List, or approved through an Affiliate Participation Letter, may use E365 Products funded from the subscriber’s Annual Commitment. Each affiliate’s own Bentley agreement, including any SELECT Program Agreement, terminates as a pre-condition of joining. The subscriber remains responsible for affiliates that have not signed a participation letter.[1] Catalog proof: Joining E365 terminates an affiliate's own SELECT agreement.
- EPS-365 Subscriber Ecosystem. Third parties such as consultants and contractors may be added under the subscriber’s entitlement with Bentley’s consent, subject to the Fee Adjustment process. The subscriber is responsible for all their Users.[2] Reorganizations, mergers and divestitures involving Bentley software must be notified within 30 days.[2] Catalog proof: EPS-365 reorganizations and divestitures must be notified within 30 days.
- Services Credits. Some Services Offerings are priced in Credits allocated from the Estimated Fees. Each Credit is valid for twelve months from the Start Date or an Anniversary Date.[1]
- Version currency (EPS-365). Participation is conditional on using the latest versions of EPS-365 Products. Subscribers not current at the Start Date must adopt them within 18 months.[2] Catalog proof: EPS-365 requires the latest product versions within 18 months.
- Governance (EPS-365). The parties aim to hold quarterly business reviews covering application version use and pricing transparency, and follow an escalation ladder named in the Order Form.[2]
Term and termination
E365 has no fixed end. It runs from the Start Date until either party terminates for convenience on 30 days’ written notice, although some products may carry a different notice period in their Offering Document.[1] Before the start, Bentley may extend existing subscriptions pro rata to the end of the calendar quarter. EPS-365 runs for the Subscription Term, with 90 days’ notice for convenience.[2] On any termination all rights under the Agreement end, use of SES must stop and perpetual licences revert to their own licence terms. Services delivery stops on a termination notice for convenience.[1] While the subscription is active, the Lifecycle Policy grants the same version and support rights as SELECT.[7] Catalog proof: E365 can be terminated for convenience on 30 days notice.
Audits and compliance
The General Terms records and audit clause applies. Subscribers keep records of licences, hardware and assigned Users. If Bentley suspects Usage Data is incomplete, inaccurate or indicates non-compliance, it may request a written report and then inspect on seven days’ notice.[1] In a usage-billed program, audit risk shifts from unlicensed copies to the accuracy of Usage Data.
