Workato Terms of Service and agreements

This article summarises the licensing-relevant clauses of Workato's online customer agreements (the Terms of Service, the Self-Service Addendum and the Embedded Edition Agreement). It is not legal advice; a negotiated agreement and the Order Form take precedence over the online versions.

Workato Terms of Service and agreements are the online contracts under which Workato, Inc. provides its platform. The Workato legal page lists the Terms of Service, the Embedded Edition Agreement, the Embedded Software Supplemental Terms, the Additional Product Terms and other agreements.[4] The Terms of Service govern the Workato Platform. They are accepted by an account holder who “executes an Order Form or opens an account or accesses the Workato Platform”, unless the parties have signed a written agreement that controls instead.[1] The version current on 2026-10-07 states that it was last updated on 2026-02-24.[1]

Two further documents adapt the Terms. The Self-Service Addendum covers Workato Free and Workato Pro bought online.[2] The Embedded Edition Agreement replaces the Terms for software companies that offer Workato to their own customers.[3] Where the Terms and an Order Form conflict, the Order Form prevails.[1]

Editions

The Terms do not name editions. They define a “Subscription” as the account holder’s subscription plan “as set forth in the applicable Order Form”, so the edition, credit volume and add-ons are all fixed by the Order Form.[1] Certain features are subject to Additional Product Terms published on the Workato website. Using those features means accepting those terms, and changes to them take effect 30 days after posting.[1]

The Self-Service Addendum distinguishes a Non-Paid Self-Service Edition (Workato Free) from a Paid Self-Service Edition (Workato Pro).[2] The free edition is for internal trial and evaluation only. It may not be used for production, and Workato may suspend or delete it at any time. Platform assets created in it are public by default and become community assets.[2] A self-service customer that wants Workato’s enterprise environment or a specific data center, Professional Services or a Support plan, or that wants to process PCI-DSS card data or HIPAA health information, must sign a separate written agreement. That agreement replaces the Addendum.[2]

Metrics

The Terms define the assets that consume usage. “Platform Assets” include recipes, connectors, apps, agents, Genies and Workbots. A “Recipe” is a set of commands that carries out actions across applications when a trigger event occurs.[1] The Terms do not define Tasks or credits: these quantities come from the Order Form and the documentation. The True Up clause refers to “product feature quantities”, which covers every purchased quantity on the Order Form.[1]

Use rights

During the Subscription Term, the platform is available to the account holder “solely for its internal business operations”.[1] Employees, agents and consultants of the account holder and its Affiliates may use it as Authorized Users where they are needed for those operations.[1] An Affiliate that wants to use the platform for its own separate operations must buy a separate Subscription through its own Order Form, which forms a separate contract with Workato.[1]

The restrictions in §4 matter for compliance. The account holder may not use the platform “in a way that circumvents any contractual usage limit”.[1] It may not use the platform for the benefit of third parties, “including as service bureau, time-sharing or managed Workato arrangement”. Benchmarking needs Workato’s prior written consent.[1] Responsibility for licences to the third-party applications that recipes connect to rests with the account holder.[1]

Fees and True Up

Fees are paid annually in advance unless the Order Form states otherwise. They are non-refundable and non-cancellable, and the account holder “shall not reduce the scope of the Subscription purchased” during a Subscription Term.[1] Invoices are due net 30 days. Late amounts may accrue interest at the lower of 1.5% per month or the legal maximum.[1]

The True Up clause (§5(e)) lets Workato compare actual product feature quantities used with the quantities purchased “at any time during the Subscription Term”, unless the Order Form says otherwise.[1] If usage exceeds what was bought, the account holder must purchase additional capacity. Workato issues a new Order Form that is coterminous with the existing one, payable on the normal terms.[1] Workato also collects Usage Data about platform operation and may use it for purposes that include “auditing compliance”.[1]

For self-service, the Addendum lets Workato respond to excess usage in two ways. It may require an upgrade or extra capacity and charge the card automatically, or it may “temporarily suspend” use of the platform or of the affected platform assets.[2] Self-service fees are paid in advance. Downgrades and cancellations take effect from the next billing cycle.[2]

Suspension

Workato may suspend access if a material breach is not cured within five days of written notice, which may be given by email. It may also suspend, with notice as soon as practicable, use that threatens the platform’s security, integrity, availability or stability. Payment obligations continue during a suspension.[1] For self-service the cure period is 24 hours.[2]

Term, renewal and termination

Unless the Order Form says otherwise, each Subscription Term “shall automatically renew for successive one (1) year periods at Workato’s then-current pricing”. Either party can prevent renewal with written notice at least 30 days before the term ends.[1] Updates to the Terms published on Workato’s website take effect at the account holder’s next renewal or new Order Form.[1] Either party may terminate for a material breach that is not cured within 30 days, or for insolvency. Unused pre-paid fees are refunded only when the account holder terminates for Workato’s breach or for force majeure.[1] After termination Workato deletes the remaining accounts and data within 90 days. Transaction data is deleted 30 days after processing unless the subscription allows the account holder to configure a different retention period.[1]

Self-service subscriptions also renew automatically at then-current pricing, but the customer may terminate at any time with effect from the end of the current term.[2] Unused Workato Pro credits expire at the end of each billing month.[5]

Virtualization & partitioning

The Terms contain no hardware or virtualisation rules: Workato is defined as a “multi-tenanted online platform available as an ongoing subscription service”.[1] The relevant boundary is the Account, defined as the account holder’s account “and associated workspace(s)”. Accounts hold platform assets, configurations and job history.[1]

Cloud / BYOL

The Embedded Edition Agreement licenses a limited version of the platform “solely to be used in connection with the Company Services”.[3] Each platform asset must use the company’s own service as an endpoint, and each company service needs its own workspace. The embedded edition may not be used for the company’s internal business operations without a separate agreement.[3] The company must bind its customers either to Workato’s Embedded Software Supplemental Terms or to equivalent flow-down clauses, and it is responsible for their compliance.[3] Inactive customer accounts must be deleted within 30 days. Otherwise “Company will be charged for any consumption in such inactive Accounts”.[3] Fees, True Up and one-year renewal follow the same wording as the Terms of Service.[3]

Programs

  • Non-Paid Products evaluation: trial, test, alpha, beta, pilot and other non-paid subscriptions may be used for internal evaluation until the earliest of 30 days after provisioning (unless extended), the start of a paid subscription, or termination by Workato for convenience. They are provided as is, and Workato’s liability is capped at USD 100.[1]
  • Workato Support plans: Exhibit A sets response targets by plan. Standard covers business hours with a four-business-hour Severity 1 response. Premier and Premium respond to Severity 1 within two business hours. Enterprise is 24x7x365 with a one-hour Severity 1 response.[1] Self-service Pro customers receive commercially reasonable support, and the availability commitments do not apply to the Self-Service Edition.[2]
  • Assignment: the agreement may not be assigned without consent, except to a successor or acquirer of all or substantially all of the business or assets that assumes the obligations in writing.[1]

Out of scope

This article does not cover the Data Processing Addendum, the security overview or the privacy policies, which the Terms incorporate by reference.[1] It also does not cover the Additional Product Terms, which were not available as static text when retrieved, or the Workato Academy and Marketplace developer agreements.[4] Disputes under the Terms are governed by California law and go to JAMS arbitration in Santa Clara County after 30 days of informal negotiation.[1]
