Boomi Master Services Agreement and terms

This article summarises the licensing-relevant clauses of Boomi's customer agreements (the Master Services Agreement, the partner EULA, the Product Specific Terms and the Service Descriptions). It is not legal advice; negotiated agreements and Orders take precedence over the online versions.

The Boomi Master Services Agreement (MSA) is the standard contract between Boomi, LP and customers who buy the Boomi Enterprise Platform directly. The current online version carries the footer “Boomi MSA. 01MAR2025”.[1] Customers who buy through a reseller accept a parallel End User License Agreement (EULA) of the same date. Both are supplemented by the Product Specific Terms (PST), the Service Description and, where bought, the Customer Care Service Description.[2][3][4][5] Boomi’s legal page says the agreement that applies is the one “set forth in your Boomi order Form, signed between you and Boomi”.[6]

Editions

The MSA does not distinguish editions. It licenses “the quantities of the Boomi Services identified in the applicable Order”.[1] Edition features and included connections are in the product documentation, which the MSA counts as Documentation, “including applicable content at help.boomi.com”.[1][7] The PST adds terms for named products: Boomi Flow, Boomi AI including Agentstudio, Boomi Discover, Data Integration, MFT and resold Third-Party Products.[3]

Metrics

The MSA itself names no metric. Quantities come from the Order and are counted under the Documentation.[1] The Service Description defines the Connection and the runtime cloud data volume allowance.[4] The PST points to annual capacity limits “indicated on the Product Table set forth in your Order” for Data Integration and MFT, and to the AI Platform tiers for Boomi AI.[3] The Platform APIs are subject to “rate and quota limits set per the account’s license”.[8]

Counting / floors

Licence grant and users

MSA §2.1 grants “a nonexclusive, nontransferable (except as otherwise set forth herein) and non-sublicensable license”. The licence is limited to the Order quantities, “solely to support the internal business operations of itself and its Affiliates”, for the term on the Order.[1] An Affiliate is an entity controlling, controlled by or under common control with the customer, “for so long as such control relationship exists”. Divested entities therefore lose coverage when control ends.[1]

Under §2.3, services vendors and contractors (“Third Party Users”) may use the services only to support the customer’s internal operations. The customer must ensure that each Third Party User cooperates “during any compliance review” and removes any installed Software when its work ends. The customer is liable for their acts.[1]

Usage analysis

MSA §4.2 is the compliance clause. “Customer is responsible for monitoring its consumption of the Boomi Services. Boomi may also conduct usage analysis at any time during the term of the Agreement.”[1] If use exceeds the consumption threshold in the Order, including use after an Order has expired or terminated, Boomi issues an Order for the difference. The excess is priced at “Boomi’s then-current rates” and is “due and payable immediately”.[1] The clause sets no notice period, frequency limit or cost-shifting threshold. Unpaid undisputed fees accrue interest at 1.5% per month, and non-payment may lead to suspension.[1]

Fees, billing and renewal

Fees are set by each Order. Price changes apply “upon the commencement of Customer’s next renewal term”. Invoices are due within 30 days, and a purchase order is required before Boomi must provide the services.[1] The Service Description bills subscriptions annually and up front from the Billing Start Date. It also allows a reconnection fee after suspension.[4]

Unless the Order says otherwise, MSA §6.1 renews each Order “for a successive three-year renewal term”. Either party can stop renewal with written notice “at least 90 days prior to the end of the then-current term”. Renewal fees are set at Boomi’s “then-current year over year percentage fee increase”.[1] A buyer with a one-year Order who misses the notice date can therefore be committed for three more years. An Order is also “the Customer’s irrevocable commitment to purchase and pay for the Boomi Services stated in the Order”.[1]

Termination

When an Order ends, all rights end. The customer must stop using the services and “remove all copies, installations and instances of any Software from any device on which the Software was installed”. The customer must also ensure that Third Party Users do the same.[1] For Boomi this includes customer-hosted runtimes. Either party may terminate for material breach after a 30-day cure period. Boomi may suspend service when required by law enforcement or in case of an imminent security risk.[1]

Virtualization & partitioning

The contracts contain no virtualization or hardware partitioning rules. Runtime counting is in the Licensing documentation, described in Boomi Integration editions and connection licensing. The MSA’s Conduct section bars probing or testing “the vulnerability of the Boomi Services” and interfering with other customers’ use.[1]

Cloud / BYOL

The Service Description says that if a Boomi-hosted runtime or the ViewData function is used, customer data is transferred to the platform in the United States under the safeguards of the MSA.[4] The MSA states that the services are not designed for ITAR and U.S. Munitions List data (“Excluded Data”).[1] Customer purchases “are for its own use, not for resale, export, re-export or transfer”.[1]

Programs

Evaluation and trials

MSA §2.2 gives an Evaluation Right for free trials and no-cost proofs of concept. It is “solely for Customer’s own non-production, internal evaluation purposes” and lasts 30 days from delivery of credentials unless the Order states otherwise.[1] There is no fee while use stays within scope. The service comes “AS IS”, without warranties or support, and Boomi may end it at any time.[1] The PST makes Boomi Discover available “for evaluation purposes” on the same as-is basis.[3]

Partner purchases

The EULA “contains required “flow-down” provisions” and applies to Boomi Services bought from an Authorized Partner. Payment terms are agreed with the partner, but Boomi “reserves the right to terminate or suspend service” if it is not paid on time.[2] Boomi is a third-party beneficiary entitled to enforce the EULA directly. Its licence grant and Third Party User clauses match the MSA.[2]

Resale, embedding and third-party products

The MSA Conduct section forbids reselling or giving third parties access to the service or its credentials.[1] The PST covers products “purchased for resale, whether on its own or as part of a broader solution”. In that case the customer must pass the applicable Product Specific Terms through in a written agreement with the end user.[3] Third-Party Products are supported by their makers under their own terms. These include Event Streams Enterprise powered by Solace, Atturra’s ACP managed runtime service, Aible, Apica, Loqate, Loren Data and OpenLegacy.[3]

Support

Standard support covers business hours and 15 cases a year, and “Overages are charged at then current list price”. Premier and Premier Plus give unlimited cases and faster responses.[4] Customers on the Customer Care offering get Basic Support (5 cases per contract year) or the Enhanced/Expert, Advocate and Side-by-Side tiers with technical account and architect services.[5]

Assignment and governing law

Under MSA §14.2 the customer may not assign or transfer the Agreement “whether licenses or any other rights”. This covers transfer by merger, stock or asset sale and reorganisation, and requires Boomi’s prior written consent. Unpermitted transfers are void.[1] Disputes are governed by Delaware law and courts. Orders placed in Europe, the Middle East or Africa go to Ireland, UK Orders to England and Wales, Australia and New Zealand to New South Wales, and other Asia Pacific countries to Singapore.[1]

Changes to the terms

Boomi may revise the PST by posting a new version, with reasonable notice of material changes. “Your continued use of the Service and Websites after any update to these Terms constitutes your acceptance of such changes.”[3] An amended SLA applies either immediately or, if the customer objects in writing within 30 days, from the next renewal.[4]

Out of scope

This article does not cover the Professional Services Addendum, the Data Processing Agreement, the Security Schedule or the EU Data Act Addendum. These are listed on Boomi’s legal page.[6] It also does not cover negotiated enterprise agreements, which may differ from the online MSA.
