Mistral AI commercial terms, accounts and data covers the contract that governs organizations using Mistral AI products such as Mistral AI Studio and Vibe on Mistral AI’s own infrastructure. The Commercial Terms of Service, effective 2026-09-25, apply together with the Usage Policy and the Additional Product Terms, and are accepted by clicking through at sign-up, by signing an Order Form that references them, or by using the products on the customer’s behalf[1]. Individual consumers use separate consumer terms[1]. Pricing, plans and open-weight model licenses are covered in Mistral AI licensing. Order of precedence
Where documents conflict, the Commercial Terms rank them in this order: the Order Form, the Additional Terms, the Commercial Terms, then Mistral AI’s policies and other documentation[1]. Pricing is the published pricing page unless the parties agree otherwise, including in an Order Form[1].
Accounts, seats and affiliates
Use on Mistral AI Infrastructure requires a Customer Account with accurate billing information and a valid payment method[2]. Under it, the customer may create End User Accounts “subject to applicable limitations (e.g., a maximum number of seat licenses)”. End User Accounts “may not be shared, sold, licensed, or otherwise made available outside of Customer’s entity or organization”, but may be created for End Users of the customer’s Affiliates. Credentials must be kept confidential, and unauthorized or fraudulent access must be reported promptly[2]. Catalog rule: End User Accounts: seat limits, not shared outside the organization.
An Affiliate that wants its own workspace, separate from the Customer Account, “must separately accept these Terms or enter into a separate Order Form with Mistral AI”[1]. Catalog rule: Affiliates on a separate workspace need their own acceptance or Order Form.

Commentary. The seat count in the plan or Order Form is the entitlement to reconcile against active End User Accounts. Accounts created for affiliate staff count against the same limits.
The customer is solely responsible for activity under its Customer Account, including End User Accounts, and for End Users’ actions[1].
License and use restrictions
Mistral AI grants a limited, non-exclusive, non-transferable license that may not be sublicensed except to End Users[1]. Section 2.2 forbids, among other things[1]:
- reverse engineering or trying to discover the products’ underlying components, “e.g., algorithms, weights, or systems”, including by using Output;
- bypassing security or moderation mechanisms, or vulnerability and penetration testing;
- buying, selling or transferring API keys or any Mistral AI account to or from a third party;
- integrating or combining Vibe with the customer’s own products offered to third parties, or giving third parties access, without prior written authorization.
The customer must enforce substantially equivalent restrictions on its End Users[1]. Catalog rule: Commercial Terms: no reverse engineering, key resale or Vibe embedding. Image Outputs may not be used to develop or train a competing image generation product, to the extent the law allows the restriction[1].
Media Customers may not use the verified news feature, such as the AFP news feature, for editorial use without contacting Mistral AI. Unauthorized use leads to immediate suspension of the account[2].
Beta products and Labs or Preview models
Beta Products are provided “for Customer’s internal evaluation and testing purposes only”, may not be distributed or made available to third parties, are provided as is, and can be withdrawn at any time[1]. Catalog rule: Beta Products: internal evaluation and testing only.
Labs or Preview Models are experimental, preview or pre-release models, including those with the prefix “labs” in AI Studio. They are available only to commercial customers, for professional use. Using them means Mistral AI may train on the Customer Data and Outputs they generate, and opt-out choices made for other products, including zero data retention, do not apply to them[1]. Catalog rule: Labs or Preview Models: data may be used for training and opt-outs do not apply.
Customer data, outputs and training
The customer keeps ownership of Customer Data and owns Output, to the extent the law allows. Model weights and parameters are not Output[1]. Catalog rule: Commercial Terms: customer owns Output.
Mistral AI may use Customer Data and Outputs to provide, maintain and optimize the products, a purpose that “excludes model training”[1]. Section 4.2 lists when training is allowed[1]:

Commentary. Whether training applies depends on each product’s default setting and on what End Users have done, so the opt-in or opt-out setting of each workspace is worth recording with the contract.
Separately, Mistral AI creates aggregated or anonymized Usage Data (usage events, performance and billing metrics, Feedback), which it owns and which is not Customer Data[2].
Fees and payment
Unless an Order Form says otherwise, fees are due within 30 days of invoice; for a Customer Account, fees are charged to the payment method monthly. “All amounts paid by Customer are non-refundable, non-cancellable, and non-creditable.” Fees exclude taxes, and invoice disputes must be raised within 15 days of issue, with undisputed amounts paid[1]. Term, termination and updates
The terms start at first use or acceptance and last for the Order Form term, if any, or until terminated[1]. With no Order Form in effect, the customer may stop and terminate at any time, without a refund of prepaid fees. Mistral AI may suspend or terminate immediately for breach, non-payment, legal compliance or serious risk of harm[1]. On termination the right to use ends at once, and Customer Data and Outputs may no longer be exportable, so exports must be done before the account is closed[1].
Mistral AI may update the terms, Additional Terms and Usage Policy. Material updates take effect 30 days after notice by email or account notification; non-material updates, and those made for legal compliance or a material security risk, take effect when posted. A customer that disagrees may only stop using the products and terminate before the update takes effect, and continued use is acceptance[1]. Catalog rule: Material updates to the Commercial Terms take effect 30 days after notice.
The customer may not assign the terms or subcontract its obligations without Mistral AI’s prior written consent[1]. Governing law depends on where the customer is headquartered: California for the Americas, Singapore for Asia-Pacific, and France elsewhere[1].
EU Data Act switching and deletion
The Additional Terms for switching and deletion apply to customers in the European Union subject to the EU Data Act, for products on Mistral AI Infrastructure, under agreements or Order Forms entered into on or after 2025-09-12. They do not apply when the agreement is terminated for the customer’s breach, unless stated otherwise[2].

Exportable data is the customer’s input and output data and related metadata, and excludes Mistral AI’s products and intellectual property[2]. The agreement ends for the products named in the request when the switch completes or when the deletion notice period ends. A customer that chose a fixed-term annual or multi-annual agreement instead of a monthly one pays the fees for the rest of the term as an Early Termination Fee, unless it validly terminates for a breach by Mistral AI[2].
