Gen Digital Norton and LifeLock License and Services Agreement

This article is about the Gen Digital License and Services Agreement (LSA) that governs Norton, LifeLock and other Gen-branded software and services, together with the Norton Terms of Sale. It is not about the Avast, AVG, CCleaner or Avira agreements, which are covered separately.

The Gen Digital License and Services Agreement (LSA) is the contract under which Gen Digital licenses Norton, LifeLock and other Gen-branded software and services to its customers. Gen states that by clicking an acceptance button, installing or using the software and services, the customer agrees to the terms, and that a customer who bought through a partner or reseller may have additional terms.[1] “Gen Digital” in the document means the Gen brand or entity that provides the software and services in the customer’s region, and “you” means the customer or the business the person is authorised to represent.[1] The software and services are licensed by Gen Digital Inc.[1] The companion Terms of Sale govern the purchase itself.[2]

What the licence grants

Gen describes the licence as one for a limited purpose that remains subject to the terms, with ownership of all rights staying with Gen.[1] The licence belongs to the subscriber and cannot be transferred to anyone else.[1] It lasts for as long as the subscriber continues to pay applicable fees for the subscription or until the subscription ends, for the length of time chosen at purchase, and on the number of devices and for the number of users chosen at purchase, provided the devices and operating systems meet system requirements.[1] Where the customer did not choose a length, the default is one year, and where the customer did not choose devices or users, the licence is for one device and one user.[1] Catalog: Device and user entitlement, rules licence is personal, default one device, default one year.

Consumer and small business products

Consumer products can only be used for consumer, household and non-commercial purposes. For small business products the same rules apply, with the difference that only people employed by the small business may use the software and services, only for internal business operations, and that small business offerings are licensed only for businesses with fifty or fewer employees.[1] Using consumer products for business purposes is one of the listed prohibited acts.[1] The Terms of Sale repeat that products are for personal, non-commercial use by the purchaser and household members during the subscription term, that any purchase for commercial use or resale is unauthorised, and that offerings are valid for use in the region where they were purchased.[2] Catalog rules: small business limit, no consumer product for business, commercial purchases, region.

Family members and unlimited device plans

Some products let a subscriber register family members or employees or their devices; Gen requires compliance with the law, and a subscriber who uses tracking features must have the legitimate right and authority to monitor children or others.[1] Plans with unlimited device protection cover only household devices that the subscriber owns for personal, non-commercial use.[1] Catalog: unlimited device plans.

Prohibited acts and device limits

The LSA lists acts that can lead to cancellation, among them reverse engineering, modification, selling, lending or renting the software, transferring or sub-licensing it, using a pirated version, getting around technical protection measures and exceeding content storage or bandwidth limits.[1] Licence-relevant items are: installing the software on more devices than permitted (including by failing to delete it from a device before the device is sold or transferred), and continuing to use the software after the right to use it has expired or been terminated.[1] The Terms of Sale prohibit unbundling a product into components and separating a licence key from an offering for transfer to a third party.[2] Catalog rules: more devices than permitted, licence keys.

Payment, renewal and price changes

When a customer buys from Gen and shares payment information, the customer authorises Gen or its authorised partner to charge the payment method for the purchase and for subscription renewals, and, where several payment methods are stored, to charge alternatives if the primary method fails.[1] Gen may use updated card details from the issuer and retry failed payments.[1]

Paid subscriptions renew automatically at the end of the term unless the customer has opted out. Gen emails in advance and may charge up to 35 days before the subscription is due to end, at the price at the time of renewal, which might differ from the original price.[1] If a product has been renamed, upgraded or replaced, Gen says it will provide the new offering at no more than its renewal price at the time of renewal, provided it has reasonably comparable features.[1] Gen may change prices at any time after any introductory period, citing improvements, new features and market factors such as taxes, inflation and currency changes.[1] The Terms of Sale add that most offerings renew each year or each month, that annual renewals are preceded by an email notice and that monthly subscriptions without an annual commitment may not receive an email each month.[2] Catalog: automatic renewal, rules 35-day charge, renewal price, price changes, Terms of Sale renewal.

Where a subscription was bought from an authorised reseller and that reseller loses authorisation, the subscription transfers to Gen, which processes future transactions directly.[1] Catalog: reseller authorisation.

Cancellation and ending the agreement

A subscriber can cancel any time before the expiration date, though a full refund may not apply under the Cancellation and Refund Policy; without a full refund, the subscriber can keep using the software until the end of the paid period.[1] The agreement ends when the right to access the software and services expires or is ended, after which the customer must permanently delete the software and services from devices.[1] Gen may suspend or end use if the subscriber violates the agreement and may close the account.[1] Catalog: cancelling.

Updates, discontinuation and changes to the terms

Gen releases updates and may stop supporting older versions; customers agree to background installation of updates.[1] Gen may discontinue software, services or features, and in some circumstances the subscriber will then be unable to renew.[1] Terms may change: a subscriber who renews accepts the most recent version, which replaces older ones, while the “Changes to the agreement” clause states that continued use means agreement to changes.[1] Catalog: terms change on renewal.

Free software and services

Gen sometimes offers free software and services, such as an additional feature of a paid subscription, a pre-release, beta software or a courtesy service. The LSA terms apply to them unless Gen says otherwise, and they may be used for as long as Gen provides them.[1] Catalog: free software and courtesy services, rule free software.

Addendum 1: LifeLock identity theft protection and Identity Advisor

Addendum 1 applies to LifeLock-branded identity theft protection (ITP) services and sets service-specific terms.[1] Points with a licensing or entitlement effect include:

  • LifeLock Identity Advisor includes only a subset of ITP services (dark web monitoring, data breach notifications and member services help) and does not include identity theft insurance.[1]
  • ITP services may be accessed or used by or on behalf of parents, in-laws, a spouse or domestic partner and minor children, including those who do not live with the subscriber, and the person enrolling them is responsible for the accuracy of the information.[1]
  • Coverage under a LifeLock Junior or Senior programme belongs to the junior or senior customer, so a parent or guardian acting on their behalf is not covered by that subscription.[1]
  • Some features are offered as “No Fee Services”, for example for monitors of Senior accounts, which do not require subscribing to the underlying service.[1]
  • Cancellation is by telephone or through the member portal, and Canadian customers cancel through the party they purchased from.[1]

Disputes and governing law

US customers other than Norton for AARP members agree to resolve claims through binding arbitration or small claims court, under the Federal Arbitration Act, waiving jury trial and class actions, after sending a written Notice of Claim to the Gen General Counsel.[1] Governing law depends on region, and the LSA lists California, Brazil and Quebec for the Americas.[1] Catalog: arbitration and class action waiver.
