Gen Digital licensing

This article is an overview of how Gen Digital licenses its consumer cyber safety brands (Norton, Avast, AVG, Avira, CCleaner and LifeLock) and their small business editions. It is not legal advice and does not replace the agreement shown at purchase or installation.

Gen Digital licensing is the set of subscription terms under which Gen Digital sells its consumer security, privacy, identity protection and system optimisation products. Gen describes itself as a global company with a family of consumer brands including Norton, Avast, LifeLock and MoneyLion.[1] For a software asset manager the practical questions are narrow: how many devices and users a subscription covers, whether a business may use it, what happens at renewal, and which agreement applies to which brand. The products covered here are sold as subscriptions, and no customer licence audit clause appears in the agreements reviewed.

Norton’s legal index lists the LSA, Terms of Sale, Renewal Price List and Cancellation and Refund Policy as separate documents, and separates service terms for device security, online privacy and identity theft protection.[4] The Avast, AVG and CCleaner agreements share the same structure and clause numbering, and name the other brands in the definition of consumer solutions.[5][7] Details are in the Norton and LifeLock agreement, the Avast, AVG and CCleaner EULA, Avira licensing and business and small business editions.

Use rights: consumer and business

The two main agreements draw the same line. The LSA states that consumer products can be used only for consumer, household and non-commercial purposes, and that small business offerings are licensed only for businesses with fifty or fewer employees, for internal business operations and by people employed by the business.[2] The Avast, AVG and CCleaner EULA divides products into Business Solutions, used by the customer and its affiliates for internal business purposes, and Consumer Solutions, which include the free products and may not be used by businesses, government entities, non-profits or educational institutions.[5] Norton’s Terms of Sale add that any purchase for commercial use or for resale is unauthorised.[3] Catalog rules: small business limit, no consumer use for business, consumer Solutions, Business Solutions.

A common compliance gap follows: free consumer products (Avast Free Antivirus, AVG Free Antivirus, CCleaner Free) installed on corporate machines fall outside the consumer licence.[5] A software inventory should therefore flag consumer-brand products on managed endpoints.

Counting devices and users

The LSA lets a subscriber use the licence on the number of devices and for the number of users chosen at purchase, and defaults to one device and one user.[2] Plans with unlimited device protection cover only household devices the subscriber owns for personal use.[2] Installing on more devices than permitted, including by failing to delete the software before selling or giving away a device, is a listed prohibited act.[2] The EULA applies the same logic through the Permitted Number of Devices, forbids using an activation code on more devices than specified and allows installation on file servers or virtual machines on a single local area network only up to the Permitted Number of Devices.[5] Catalog rules: defaults, unlimited plans, extra devices, network use, activation codes.

Transfer and resale

Licences are personal. The LSA says the licence belongs to the subscriber and cannot be transferred, and the Terms of Sale prohibit separating a licence key from an offering and transferring it to a third party.[2][3] If a reseller loses authorisation to sell Gen products, the subscription transfers to Gen.[2] Catalog rules: licence is personal, licence keys, reseller authorisation.

Renewal and pricing

Paid subscriptions renew automatically unless the customer has opted out. Under the LSA, Gen emails in advance and may charge up to 35 days before the subscription ends, at the price at the time of renewal, which may differ from the original price, and Gen may change prices at any time after an introductory period.[2] The Avast, AVG and CCleaner EULA also allows payment attempts up to 35 days in advance, with retries up to 15 days after the renewal date, and lets the customer cancel a renewal within 30 days after the renewal date for a full refund of the renewal payment.[5] Catalog: automatic renewal, EULA renewal terms, rules renewal price, price changes, 30-day renewal cancellation.

Programs and variations

  • Free offerings. The LSA applies to free software and courtesy services and they may be used for as long as Gen provides them; under the EULA free products run in 30-day subscription periods that Gen may extend.[2][5] Avira subscriptions that end turn into a free service.[8] Catalog: free software and courtesy services.
  • Managed service providers. The EULA grants limited MSP licences for Avast Business services and CCleaner Business Edition, and Avast Business offers Flexible Billing at a daily price per service.[5][10] Catalog: MSP licences, Flexible Billing.
  • Rebranding. Gen states that changing a product name or logo does not alter the subscription, which matters when a product is renamed between brands.[5]

Compliance posture

The agreements retrieved contain no customer audit clause. Enforcement is by technical measures (for Avira, enforcement technology that may limit installs and uninstalls) and by the right to suspend or end the use of a subscriber who breaches the terms.[8][2] Business customers who deploy through partner portals are governed by separate partner and reseller terms that were not reviewed.
