The Deltek Contracts framework is the set of web-published terms that govern Deltek software and services. The Deltek Contracts page states that the contract starts with an Order Form, received from a sales representative, that describes the products purchased and links to the page listing the terms. The General Terms apply to all contracts, the SaaS Terms apply to Deltek software as a service, and the Software License Terms apply to Deltek solutions installed on site; together with the Order Form they are the entire agreement.[1] The overview is in Deltek licensing.

The General Terms also incorporate Maintenance and Support Terms and Professional Services Terms where they apply.[2] By accepting an Order Form for an expansion or addition of existing products that references the General Terms, the Customer agrees that existing products of the same type become subject to those terms.[2]
Metrics
The SaaS Terms count Authorized Users, defined as individuals the Customer authorizes to access and use the Services, who must be Employees of the Customer, Employees of an Affiliate, Subcontractors, or third-party personnel contracted to operate the Services for the Customer.[3] A Named User is anyone the Customer authorizes by issuing an access code, and is also an Authorized User.[3] Employee has a per-product definition: for Costpoint it is any full-time, part-time or seasonal employee in the employee master file; for Vision, Vantagepoint and Maconomy it is a natural person engaged under a contract of employment or similar engagement and recorded in the employee table; for Project Information Management and PPM it is any active or inactive employee of the Customer or an Affiliate.[3] A SaaS Instance is one production environment with associated non-production environments as defined by the SaaS Subscription.[3]
The Software License Terms add Concurrent User (“the maximum number of users who may be logged on to the Software at the same time”), Licensed Location (the physical location of the server-installed portion on equipment the Customer owns, leases or controls), Instance (a running copy of the Software) and Web Portal Authorized User, covering personnel who use portal applications such as Costpoint Supplier Portal, PM Compass and Acumen Touchstone only to submit, verify and report data.[4] See Web Portal Authorized User.
Counting and floors
SaaS users
Each Authorized User receives a user ID and password that may not be shared or used by more than one person, although an ID can be reassigned to a new Authorized User replacing a former one. The number of Authorized Users is limited to the number on the Order Form, and the Customer may not permit use by anyone else.[3] Customers can add Authorized Users during a Subscription Period; the added users share the current period end and are prorated, “except where the Subscription Fee is a flat fee or the Order Form indicates otherwise”, and the Customer agrees to notify Deltek of increases. The number “cannot be reduced during any Subscription Period.”[3] Deltek users accessing the Services to provide support do not count.[3]
The SaaS Terms prohibit sharing access with persons who are not Authorized Users, “including, without limitation, any consultant or customer of Customer”, and prohibit use of the Services on a service bureau or time-sharing basis.[3] If use degrades the Services, Deltek may take measures including immediate suspension, and processing capacity upgrades may be offered at an additional charge.[3] If an audit reveals a material breach, the Customer remits the Subscription fees due at Deltek’s then-current prices.[3]
Installed software users
Under the Software License Terms the Customer may not use the Software for more than its current number of licensed users and may permit use only by Employees or users, third-party personnel contracted to operate the Software, the disaster recovery vendor, an Affiliate or a Web Portal Authorized User.[4] Named User licences require unique usernames and passwords. Licences designated “read-only” permit access to data only, with no modification or addition.[4] Upon installation of an update in production, the licence for the earlier release terminates and the licence applies to the update.[4]
Employee Licenses
An Employee License lets all of the Customer’s Employees use the Software without User Limits, covering the Employee level on the Order Form (the “Existing Employees”). If Employees exceed 110% of the Existing Employees the licence is subject to expansion at Deltek’s then-current prices; the then-current count becomes the new baseline, and the Customer provides a verified statement of its Employee count on request.[4] See Employee License expansion threshold.
Virtualization and non-production
One Instance of the server portion is installed at the Licensed Location. The Licensed Location can be changed with Deltek’s prior written consent and relocation fees, and both locations may operate for no more than 90 days.[4] The Customer may use one non-production Instance for internal testing, development and training for the same number of licensed users, and may keep disaster recovery and archival copies that are not used for production. Support for non-production instances is limited to set up.[4] Additional non-production licences can be purchased.[4] The Software License Terms contain no hypervisor, partitioning or processor rules.
Cloud and subscription terms
SaaS use is for the Customer’s internal use, meaning purposes that do not directly produce revenue for the Customer, and the Customer receives no object or source code.[3] Each Service renews for twelve months unless either party gives notice of non-renewal at least thirty days before the end of a Subscription Period; if the Customer renews early, the renewal starts the day after the previous period ends, and restoring a terminated or suspended Service can incur the then-current setup fee.[3] Add-ons and expansions are agreed in writing and co-terminated with the anniversary of the current Subscription Period.[3] Assignment of SaaS requires the assignee to provide evidence of the transaction and to convert, true up, expand or transfer the assigned licences at Deltek’s then-current fees.[3]
On termination or expiration, the Customer may request, within thirty days, one copy of Customer Data in Deltek’s then-current industry standard extract format; additional copies cost extra, and after the period Deltek deletes the data, although it may keep backups for up to twelve more months.[3] Cloud products that include ODBC also incorporate Progress Software Corporation terms and a Progress acceptable use policy.[3]
Cloud Customer Success Plans and the Uptime SLA
Deltek sells support for cloud solutions as Cloud Customer Success Plans. The Professional Plan offers web support during business hours (8x5), unlimited cases and eight authorized support contacts, with a Sev1 response time of 3 hours, a 99.5% uptime SLA, a disaster recovery recovery time objective of 24 hours, a recovery point objective of 4 hours and 30-day data retention. The Premier Plan adds web, chat and phone intake with 24x5 business coverage and 24x7 critical coverage, twelve authorized support contacts and a Sev1 response time of 2 hours. The Signature Plan adds 24x7 support, a Technical Account Manager and quarterly system status reports.[6]
The SaaS Terms tie the Uptime SLA to the plan: Professional and Premier are 99.5%, Signature is 99.7%, and “If Customer does not subscribe to one of the Success Plan offerings listed below, the Uptime SLAs do not apply.” The SLAs do not apply to Replicon.[3] The Uptime SLA measures Availability in a calendar month as ((total minutes minus Downtime) x 100) / total minutes. Downtime excludes planned and noticed urgent maintenance, Customer Misuse, failure of Extensions, Customizations or Customer-supplied items, and failure of networks outside Deltek’s control. Credits range from 10% for availability from 98% up to the committed level, to 50% below 95%, as a percentage of the product’s monthly subscription fee; the Customer must submit a case within five days after the end of the month; credits are the sole remedy; and non-production environments are excluded.[5]
Programs
Term Licenses
A Term License is a licence for a fixed period identified in the Order Form. Maintenance is included in the Annual Term License Fee and ceases if the Term License expires without renewal. The licence renews for twelve-month periods unless notice is given at least thirty days before the start of the renewal term. For multi-year Term Licenses, the first invoice covers twelve months or the portion that aligns with other term products. Expansions share the existing term; add-ons are prorated; and the fee does not increase during a twelve-month term other than for added Named Users.[4]
Maintenance and support
During paid maintenance, installed-software customers receive updates, Defect Correction, support per the plan on the Order Form and a subscription to Deltek’s online support network. Corrections appear only in the most recent release, and Deltek supports prior releases for no more than six months after the most recent release.[4] Maintenance renews for twelve months unless notice is given thirty days before the end; the fee is based on the product mix at purchase and later add-ons (“bundled maintenance”), is subject to annual price adjustments, and cannot be reduced or cancelled on any portion of a product. Reinstatement of terminated maintenance is at Deltek’s discretion at then-current terms and fees.[4] See Software maintenance and support.
Commercial terms
Payments for products and Professional Services are due within fifteen days after the invoice date; renewal fees are at Deltek’s then-current rates; payments are non-refundable except as the Agreement provides; invoice disputes must be raised within fifteen days; and late interest is 1.5% per month (18% per annum). Deltek may suspend performance ten days after written notice for undisputed non-payment.[2] Termination does not release the Customer from paying for the full term.[2] The Customer may assign all products to a successor by merger or acquisition of substantially all assets without Deltek’s consent if the account is current, the assignee is not a direct competitor of Deltek and the assignee accepts the then-current terms; other assignments are at Deltek’s discretion.[2] Amendments to the web terms apply on posting when required by law or for additions to the products, and otherwise at the Customer’s next contract event such as an expansion Order Form or renewal.[2]
Audit and compliance
For installed software, the Customer keeps accurate records of the number and location of copies made and distributed and of user numbers, license types and locations. Deltek may enter premises on reasonable advance notice to examine books, records, the disaster recovery plan and computers. Audits are at Deltek’s expense unless a material breach is found, and results may be provided to Deltek’s licensors.[4] The Customer also reports Employees, User IDs, Concurrent Users and Named Users within thirty days after each anniversary of the Effective Date, and any customer with a commitment to license all employees also reports total employees covered by the commitment.[4] After termination or non-renewal, a corporate officer certifies within thirty days that use has ceased and copies were destroyed.[4] The SaaS audit right is based on records of Authorized Users and user type.[3] Practitioner background is in Software license audit.
Out of scope
This article does not cover Deltek’s Professional Services Terms in detail, its privacy policy, the Maintenance and Support Terms as separate documents, or regional variants for EMEA and Asia-Pacific customers, which the General Terms define separately.[2] Prices are not public. Orders placed through a Deltek partner may follow the partner’s invoicing terms, since the payment section applies only between Deltek and the Customer.[2]
