The AnyDesk Terms & Conditions are the standard contract between AnyDesk Software GmbH and its customers. They are “a modular agreement” made of Part A, the General Terms and Conditions for business customers, and Part B, the Supplementary Terms for the free product AnyDesk Software “Free”.[1] A customer accepts them by “downloading, installing, or using the ANYDESK Software”, or by agreeing to them explicitly. The current version was last updated on 2025-10-10. It applies to new customers from that date and to existing free users from 2025-12-15. Existing paying customers stay on the previous terms until their licence renewal date.[1] The previous version, dated 2022-09-01, is still published in AnyDesk’s archive.[2]
A contract is formed in one of four ways: an order in the AnyDesk webshop, acceptance of a binding offer (valid for 14 days if no period is stated), a mutually executed licensing and sales agreement, or, for free use and trials, registration or download. The Service Level Agreement, the Data Processing Agreement, the DORA Supplementary Terms and the Service Descriptions form the “Relevant Documentation”. The customer’s own purchasing terms do not apply unless AnyDesk agrees in writing.[1]
Editions
The Terms do not name plans. Section 3.4 says that AnyDesk “offers various license models tailored for different business needs which can be found at https://anydesk.com/en/pricing”, and section 6.1 makes the pricing page, or an annex to an order, the Service Description of each licence model.[1] In 2026 the models are Solo, Standard, Advanced and Ultimate.[6] Part B governs the free version, which is open only to consumers; see AnyDesk free version and commercial use.
Metrics
Licence grant (§3.1)
AnyDesk grants “a non-exclusive, non-transferable and nonsublicensable right to access and use ANYDESK Software”. The licence is generally worldwide unless export controls apply or the order limits the territory. The licence right “is limited to install, execute with the contractually agreed number of users and/or end devices and/or concurrent connections”.[1] These are the User, Registered device and Concurrent connection metrics. Catalog proof: Licence is non-exclusive, non-transferable and limited to contracted quantities.
The 2022-09-01 terms used the same three units with different labels. Section 6.2 granted the right to run the client software “with the contractually agreed number of users (named users)”, on “a contractually specified number of end devices (devices)” and/or with the agreed number of simultaneous connections.[2] The Named user (legacy licences) row records that wording.
Use restrictions (§5)
The customer must not “sell, license, rent, transfer or otherwise commercially exploit or make available the ANYDESK Software to third parties”. It also must not circumvent technical protection measures or use the software to develop a competing product. Unauthorised use “constitutes a copyright infringement”. Decompilation is allowed only as far as strictly necessary for interoperability, and error correction by the customer only under the conditions of §5.5.[1] Catalog proof: No resale, rental or transfer of the software to third parties.
Counting / floors
Activation and start of use (§3.2, §3.3)
Use rights start when AnyDesk delivers a licence key and end when the contract expires or is terminated. The customer should activate the key within 14 days through my.anydesk or the activation link. “If the activation of the license key is not completed within this timeframe, ANYDESK reserves the right to restrict or block access to ANYDESK Services.”[1] Catalog proof: Use rights end with the contract term; Licence key should be activated within 14 days.
Upgrades and no downgrades (§3.5, §3.6)
“Customer may upgrade to a higher-volume license model at any time.” The upgrade continues the current Subscription Period. The old licence is charged pro rata up to the upgrade, and the new one pro rata to the end of the period. The reverse is excluded: “Customer may not reduce the license model during a Subscription Period. Payment is owed regardless of the Customer’s reduced use of any purchased ANYDESK Services.”[1] The 2022 terms had the same rule. Under §8.5, end devices and named users “cannot be reduced during the current contract term”.[2] Catalog proof: Upgrades are charged pro rata within the current period; No downgrade during a Subscription Period.
Single user licence (2022 terms §3.6)
The 2022 terms state that “The Customer is entitled to purchase the single user license once.” A customer whose needs exceed it must buy a higher-volume package, and excess use found in an audit is charged at the current price list.[2] The 2025 terms have no equivalent clause. The pricing page presents Solo as a “Professional plan for a single business user”.[6] Catalog proof: Single user licence may be bought only once (2022 terms).
Fees and invoicing (§4)
Unless agreed otherwise, fees come from the price list on the pricing page at the time the contract is concluded, excluding taxes. AnyDesk invoices “upfront for each Subscription Period”, and invoices are due immediately. Billing objections must be raised in writing within four weeks. After that, “the invoice is considered approved by the Customer”. If the customer defaults, AnyDesk may suspend the services after notice or terminate without notice once a cure period has passed.[1] The Help Center confirms that licences “are only available as annual subscriptions with yearly billing”.[5] Catalog proof: Billing objections within four weeks; Licences are annual subscriptions billed upfront.
Term, renewal and termination (§17)
“The initial contract term is twelve (12) months (“Initial Term”), unless otherwise agreed in writing.” The contract then renews for successive 12-month Renewal Terms unless either party terminates in writing at least 30 days before the end of the current term. Renewal also requires acceptance of the then-current Terms and SLA. “Ordinary termination rights shall be excluded during the respective Subscription Period.” Termination for cause remains possible.[1] The Help Center repeats the 30-day rule: “You must cancel at least 30 days before your license expiration date to avoid auto-renewal”. After cancellation the licence stays active to the end of the billing period, and then the account “moves to the free plan”.[4] The Help Center dates the 30-day notice requirement to 2022-09-01.[5] Cancellations are made by turning off automatic renewal in my.anydesk.[7] Catalog proof: Twelve-month term renews unless cancelled 30 days before the end; No ordinary termination during a Subscription Period.
When the contract ends, “the license granted will terminate immediately and Customer must stop using the ANYDESK Software, delete ANYDESK Software from all computers, and refrain from any further use”.[1] An expired licence can be reactivated in my.anydesk, keeping session history, address book entries and data.[8]
Price changes (§18)
AnyDesk may announce a fee increase at least 30 days before the end of a Subscription Period. “If Customer does not object within this 30-day period, the fee increase shall become effective at the beginning of the Renewal Term.” If the customer objects, the contract ends at the end of the period. Section 18.3 also allows price adjustments during a Subscription Period “at its reasonable discretion based on changes in key cost factors”. Such adjustments are limited to net cost changes, and prices must also fall when net costs fall.[1] Catalog proof: Renewal price increases take effect unless the customer objects; Prices may be adjusted during the term for cost changes.
Licence overuse and audit (§9)
Section 9 is titled “License Overuse and Audit” and has four parts.
- Usage analysis. “ANYDESK may analyze Customer’s usage data of the AnyDesk Software to verify compliance with the purchased license and assess potential overuse.” AnyDesk may also analyse usage patterns for product safety, performance, and promotional and sales purposes.
- Information request. “Customer shall provide necessary information, allow inspection of relevant documents and records, and enable audits of the hardware and software environment by ANYDESK or an authorized auditing company, acceptable to the Customer.”
- On-site audits. Audits may take place on the customer’s premises during business hours, by AnyDesk or by third parties bound by confidentiality. “Audits will not occur more than once a year unless concrete indications justify additional audits.”
- Findings. If purchased licences are exceeded by more than 5%, or any other non-compliance is found, the customer bears the cost of the inspection and pays “the license fee difference for the excess use” at the then-current price list. The customer must stop the excess use unless it buys a higher-volume licence package. The same applies to unauthorised use by third parties for which the customer is responsible.[1]
The 2022 terms contained a similar License Audit clause in §7, with the same 5% threshold.[2] The usage analysis clause means that the count AnyDesk sees, such as sessions, clients linked to the licence and managed devices, can be the starting point of a compliance discussion before any formal audit. Catalog proof: AnyDesk may analyse usage data to verify licence compliance; Customer must enable audits of hardware and software environment; On-site audits at most once a year; Overuse above 5% shifts audit cost and triggers back-licensing at list price. Virtualization & partitioning
The Terms contain no virtualization, partitioning or hardware-capacity rule. Section 6.3 requires the customer’s hardware and software to meet the published system requirements.[1]
Cloud / BYOL
Section 6.2 makes AnyDesk responsible for availability only where an outage is caused by its own network, servers or software. The Service Level Agreement for Solo, Standard and Advanced sets an “annual expected Service Level” of 99.5% during regular business hours. It excludes maintenance, short interruptions of ten minutes or less per day, and free, beta and trial use.[3] Under §16 a customer may switch to a competing provider or to an on-premises solution. Moving to AnyDesk on-premises requires AnyDesk’s Software License and Supplementary Services Agreement for “On-Premise”.[1] The 2022 terms had a Part C, Supplementary Terms “on-premises”, under which AnyDesk provided server software for installation on the customer’s servers “in accordance with the individual provisions of the written offer”.[2]
Programs
Trial Period (§2.4)
AnyDesk “may offer a 14 to 30 day trial period” before a paid contract. The customer can cancel before the end, and AnyDesk sends a reminder at least three days before expiry. “If no cancellation is made prior to the expiry of the Trial Period, the Customer will automatically enter into a paid Subscription Period.”[1] See Business Trial. Resellers (§2.5)
Customers may buy through an authorised reseller or distributor. The AnyDesk Terms then apply directly to the customer’s use, except for the payment terms, which are set by the reseller agreement. Special terms between reseller and customer do not bind AnyDesk unless it agrees.[1] See purchase through a reseller.
Provider switching (§16)
The switching clause gives a two-month notice period, a 30-day transitional period during which AnyDesk continues the service and helps with the switch, and a 30-day retrieval period. Exportable Data includes address books, session, client and trace logs, configuration data and client lists. Termination after switching does not release the customer from fees for the rest of the Subscription Period and gives no refund of advance payments.[1] See provider switching support.
Assignment and support
“The transfer of rights and obligations by Customer to third parties is permissible only with ANYDESK’s prior consent in writing.” AnyDesk itself may assign to affiliates or a successor.[1] Support differs by plan. “A Customer with an active and paid Solo subscription receives support exclusively through the Help Center”. Standard and Advanced customers use tickets and chat, and Advanced also gets phone support. Only the latest software version is supported.[3] AnyDesk may deactivate outdated versions with at least six weeks’ online notice.[1] Catalog proof: Transfer of the contract needs AnyDesk written consent; Solo support is Help Center only; Only the latest version is supported.
Governing law
The contract is governed exclusively by German law, excluding the UN Convention on Contracts for the International Sale of Goods. The exclusive place of jurisdiction is Stuttgart, and arbitration clauses are excluded.[1]
Out of scope
- The Data Processing Agreement, the DORA Supplementary Terms and the SLA for Ultimate, which concern data protection, financial-sector resilience and enterprise support rather than licence counting.
- Individually negotiated sales agreements, binding offers and the On-Premise Software License and Supplementary Services Agreement, which are not public.
- Earlier archived terms of 2014, 2021-02-22 and 2021-06-14, which the terms page lists as an archive.[1]
