Alteryx End User License Agreement

The Alteryx End User License Agreement (EULA) is the standard agreement under which Alteryx licenses its products, professional services, SDK and Syndicated Data. It is accepted by checking an acceptance box or by installing or using the purchased products.[1] The Agreement consists of the Order Form and the EULA. The EULA in turn includes the product-agnostic General Terms, any applicable Deployment Terms and any Product-Specific Terms.[1] Alteryx publishes these documents on its legal page with translations of the EULA. Public-sector customers have a separate agreement.[6] The EULA grants a term licence measured in Authorized Users or Cores. It allows Alteryx to request a compliance certification and to verify compliance, and it restricts use to the customer’s own internal business.[1]

Where documents conflict, the order is the Order Form, then the Product-Specific Terms, then the Deployment Terms, and then the General Terms. A customer’s purchase orders and vendor-registration forms have no legal effect.[1] The customer’s own purchase order is expressly not an Order Form.[1] Catalog: Order of precedence: Order Form, Product-Specific Terms, Deployment Terms, General Terms.

Editions

The EULA does not list editions. It applies to every “Purchased Product”. The term covers products for which fees are paid, products bundled with another product, and products Alteryx provides free of charge.[1] Edition packaging is described in Alteryx One editions and user roles licensing.

Metrics

The grant is conditioned on “the number of Authorized Users and/or permitted number of Cores (as applicable)”.[1] Authorized Users are personnel identified to Alteryx, for example by a valid email address, for whom licence fees are paid.[1] Cores are defined in the License Metrics document as physical processors.[2] Catalog rows: Authorized User, Core.

Counting / floors

The total number of Authorized Users must not exceed the User-Based Licenses purchased. Licences may be reassigned over time but not shared.[1] Each User-Based License covers one Authorized User on one personal computer. Each Core-Based License covers one server, with Cores up to the number in the Order Form.[2] Counting detail is in Alteryx Designer and Server license keys and activation.

Use restrictions

Section 3.3 lists uses that are not permitted unless the Agreement expressly allows them.[1] The provisions most relevant to licence scope are:

  • No service bureau or hosted use. The products and Results may not be used “in a computer service business, data processing service, third-party outsourcing service, in support of client-based consulting services”. They also may not be used on a subscription, service bureau or time-sharing basis, “as part of a hosted service, or on behalf of any third-party”.[1] Catalog: Use is limited to internal business purposes; no service bureau or hosted use.
  • No virtualization of user-based licences. Customers may not place the products on a network service or “virtualize a user-based license unless set forth specifically in an Order Form or otherwise authorized by Alteryx in writing”.[1] Catalog: A user-based license may not be virtualized without written permission.
  • No circumvention. Customers may not bypass initialization systems, encryption or “any use limits or technological access control measures”.[1]
  • No shared credentials. License keys and credentials may not be disclosed to anyone except an Authorized User, and customers must make sure that multiple Authorized Users do not use identical credentials.[1] Catalog: Credentials and license keys may not be shared with non-Authorized Users.
  • No benchmarks or competing products. Customers may not publicly disseminate performance or benchmarking data, or use the products to build a competing product.[1]

Affiliates and contractors. Affiliates may use the products only if the Order Form expressly allows it, and the customer and affiliates are jointly and severally liable.[1] A contractor may operate the products only on the customer’s behalf and for its internal purposes. The contractor must use credentials the customer provides and products the customer has bought. No contractor “may utilize a Purchased Product for its own commercial purposes”.[1] Catalog: Affiliates may use the products only if the Order Form allows; Contractors may use the products only on the customer's behalf and credentials.

On-premises and cloud exhibits. The On-Premise Terms allow a reasonable number of backup copies, but only as cold backups. They also prohibit using the on-premises products with non-Alteryx technology to perform or schedule automated, bulk or batched actions.[3] The Cloud and AI Terms restrict use in mainland China and Russia and prohibit certain uses of the AI features. Alteryx commits not to use Customer Content to train large language models.[3] Catalog: On-premises backup copies must be cold backups; On-premises products may not be driven by third-party tools for automated or batch runs.

Syndicated Data and SDK. Syndicated Data may be used only through the Purchased Product it came with. Personnel who are not Authorized Users of that product may not access it, it may not be exported on a stand-alone basis, and it may not be used with generative AI technology.[4] The SDK licence allows Custom Developments to be distributed “solely within Customer’s organization”, not to third parties.[5] Catalog: Syndicated Data may be used only through the product by its Authorized Users; SDK Custom Developments may be distributed only internally.

Compliance verification

Section 3.7 has two parts. On Alteryx’s reasonable request, the customer “shall certify in a signed writing” that its use complies with the Agreement. Alteryx may also, “at its expense and no more than once every 12 months”, appoint its own staff, an independent third party or both to verify that the customer’s use, installation or deployment complies.[1] The clause sets no notice period, no confidentiality terms for the auditor, and no fee for any shortfall found. Section 11.3 excludes “any liability arising out of Your use of the Purchased Products beyond the scope of any license” from the limitation of liability.[1] Alteryx may also suspend access if the customer violates “any applicable usage limitations”, until the violation is cured.[1] The EULA also lets Alteryx collect usage data, including to “ensure compliance with our agreements”.[1] Data Providers of Syndicated Data may separately request certification of compliant use.[4] Catalog: Alteryx may verify compliance once every 12 months; Alteryx may suspend access for exceeding usage limitations. Payment, term and termination

Payment terms are net 30. “Order Forms are non-cancelable and all fees are non-refundable” except as expressly stated, and committed fees become due on termination.[1] Non-payment follows a set sequence. Alteryx first sends a Failure-to-Pay Notice. It may suspend access if payment is not made within 10 business days, and it may terminate the Order Form 30 days after suspension, at which point the fees for the full License Term become due.[1] Each licence lasts for the License Term in the Order Form or, for reseller purchases, in the Purchasing Documentation.[1] Either party may terminate for a material breach not cured within 30 days. Alteryx may terminate immediately for a breach of the use restrictions in section 3.3.[1] On expiry or termination the customer must remove and destroy all copies of the products, Third-Party Tools and Syndicated Data. It may keep its Results, and must certify the removal if Alteryx asks.[1] Catalog: Order Forms are non-cancelable and fees non-refundable; Non-payment leads to suspension and termination with all fees due; On expiry or termination all copies must be removed and destroyed.

Transfer, resellers and governing law

The customer may not assign the Agreement, including by operation of law, without Alteryx’s prior written consent, “which shall not be unreasonably withheld or delayed”.[1] For reseller purchases, payment and delivery are agreed with the reseller, but the EULA governs the licence rights. A reseller cannot alter the EULA or grant licence rights, and non-payment to the reseller is grounds for Alteryx to terminate.[1] Customers in North or South America contract with Alteryx, Inc. under California law, with disputes heard in Orange County. Other customers contract with Alteryx UK Ltd. under the laws of England and Wales, with disputes heard in London.[1] Alteryx’s liability is capped at the licence fees paid or payable in the 12 months before the claim.[1] Catalog: The Agreement cannot be assigned without Alteryx consent; Licensing entity and governing law depend on the customer's location; Reseller purchase.

Virtualization & partitioning

See the virtualization restriction above. The EULA has no partitioning rules for Server Cores beyond the License Metrics definition of a physical processor.[2]

Cloud / BYOL

Not applicable as a bring-your-own-licence right. Cloud-Based Products are governed by Exhibit B of the Deployment Terms.[3]

Programs

Trial Licenses and Non-Commercial Licenses are defined in the License Metrics document. Trial Licenses run for 30 days on one computer by default, and Non-Commercial Licenses are one-year licences for education and nonprofits.[2] Catalog: Trial License; Non-Commercial License.
