The Zapier Terms of Service and the Zapier Enterprise Agreement are the two master contracts for Zapier’s cloud automation service. Both are published on Zapier’s legal page, together with the Acceptable Use Policy, the Data Processing Addendum and related policies.[3] The Terms of Service govern every account that has not signed an Order Form under the Enterprise Agreement. The Enterprise Agreement governs customers “who have expressly agreed to this Agreement through signing a Zapier Order Form linking to or referencing this Agreement”.[1][2] Catalog proof: Zapier Enterprise Agreement.

The Enterprise Agreement lasts only as long as the customer stays on the plan named in the Order Form. If the customer “downgrades its Zapier Account to any plan other than the one identified on the Zapier Order Form Customer signed, this Agreement will no longer apply”, and the Terms of Service then govern.[2] Catalog proof: Downgrading off the Order Form plan switches to the Terms of Service.
Metrics
Neither contract defines a licence metric. Both refer to the Documentation and to “user and usage limits applicable to your Zapier Account”. The units themselves, such as tasks and users, are set by the plan and the Help Center.[1] The Enterprise Agreement says the customer “may permit users to use the Service on its behalf through its Zapier Account”, and that the customer is responsible for provisioning and managing those Users.[2] Fees are defined by “the applicable package as included in our pricing notice included in the Service or on Zapier’s website or, if applicable, as set forth in a Zapier order form”.[1]
Counting / floors
Grant and use restrictions
The grant is an access right, not a software licence. Zapier “will make the Service available during the applicable Subscription Term, solely for your own internal business purposes and in accordance with the Documentation”. A separate “limited, non-exclusive, non-transferrable, and revocable license” covers installing SDK Components.[1] The customer must not “sell, sublicense, distribute, transfer, or rent the Service”, “grant non-users access to the Service or use the Service to provide a hosted or managed service to others”, use it to build a competing product, or use its AI components to develop foundation models.[1] The Enterprise Agreement repeats these restrictions in section 5(b).[2] The Acceptable Use Policy is incorporated into the Terms.[1][8] Catalog proof: Service is for internal business purposes only; No resale, hosted service or access for non-users.
Fees and refunds
Under the Terms of Service, fees paid are non-refundable and payment obligations are non-cancelable, except where the Terms or the law say otherwise. A service provided during a free trial is “AS-IS”.[1] Zapier’s refund policy goes further: “Once a charge is processed, it is considered final and will not be refunded”. This covers plans, upgrades, renewals and add-ons, and charges after a trial.[4] The purchase “is not contingent on the delivery of any future functionality or features”.[1] Catalog proof: All sales are final.
If a payment fails, Zapier retries it up to three times, every 72 hours, while Zaps keep running. If the last retry fails, “Your account will be downgraded to a Free plan”.[5] Under the Enterprise Agreement, an account 30 or more days overdue is a Suspension Event.[2] Catalog proof: Failed payments end in a downgrade to Free.
Virtualization & partitioning
Not applicable. The contracts license access to a hosted service. Zapier “operates or controls the operation of the Service from a cloud service located in the United States”.[1]
Cloud / BYOL
Not applicable. Third-party services connected through Zapier are governed by their own terms. A customer that grants a third-party service access to its Zapier account is responsible for what that service does.[1]
Programs
Term, renewal and cancellation
The Subscription Term starts at registration and equals the billing cycle the customer selected, or the term on an order form.[1] The Terms state in capitals that unless the customer downgrades or cancels before the renewal date, the subscription “WILL AUTOMATICALLY RENEW FOR ANOTHER SUBSCRIPTION TERM ON THE SAME PLAN (OR IF NO LONGER AVAILABLE, A SUCCESSOR PLAN)”, at then-current fees.[1] A cancelled or expired paid plan converts to the Free plan at the end of the term. An email, chat or phone request, or revoking a payment method, is not a cancellation.[1] Self-serve customers keep access until the end of the billing cycle.[7] Downgrades also take effect at the end of the cycle.[6] Catalog proof: Subscriptions auto-renew on the same plan; Cancelled paid plans convert to the Free plan.
Under the Enterprise Agreement, either party may stop auto-renewal “by providing at least fifteen (15) days’ prior written notice”. Notices go to Zapier’s receivables address.[2] Catalog proof: Enterprise Agreement renewal requires 15 days notice to stop.
Termination and refunds of prepaid fees
Under the Terms of Service, Zapier may terminate or suspend an account “at any time and for any reason upon notice”. If it does so without cause, it refunds “a prorated portion of your monthly prepayment”.[1] The Enterprise Agreement allows termination for an uncured material breach after 30 days. If the customer terminates for Zapier’s breach, Zapier refunds prepaid, unused fees.[2]
EU Data Act
Both contracts add an exit right for customers subject to Regulation (EU) 2023/2854. Under the Terms of Service, the customer “must pay any outstanding Fees covering the remainder of the Subscription Term as an early termination fee”. The Enterprise Agreement requires 60 days’ prior written notice and applies the same fee.[1][2] Catalog proof: EU Data Act early termination requires paying the remaining term.
Warranties and data use
Paying subscribers under the Terms of Service get a warranty that the Service will be provided “substantially as described in the Documentation”. Deficiencies must be reported within 10 days.[1] The Enterprise Agreement gives a Performance Warranty that Zapier “will not materially decrease the overall functionality of the Service during a Subscription Term”. If Zapier fails to correct a breach within 30 days, either party may terminate the affected Order Form, with a refund of prepaid, unused fees.[2]
On data use, the Terms of Service let Zapier derive de-identified data sets from Customer Content, including for model training, unless the customer opts out. Company and Enterprise plan accounts “are automatically opted out”.[1] The Enterprise Agreement states that Zapier and its subprocessors “will not model train using Customer Content”.[2] Catalog proof: Customer content is opted out of model training on Enterprise.
Audits and compliance
Neither contract has a classic licence audit clause. Compliance is enforced through the service itself. The customer must use the Service within the applicable “user and usage limits”. Zapier “reserve[s] the right, but do[es] not undertake the obligation, to monitor the Service, investigate, and take appropriate action”, and may suspend access immediately if a customer’s actions could endanger the Service.[1] Zapier may designate an account inactive and delete it if nobody logs in and no Zap is active for 24 months.[1] The Enterprise Agreement lists breach of the usage rules among its Suspension Events.[2] In practice, consumption above the plan appears as pay-per-task charges rather than as an audit finding. Other terms
- Governing law. The Terms of Service are governed by Delaware law, with exclusive jurisdiction in Wilmington, Delaware, and include jury trial and class action waivers.[1]
- Assignment. Neither party may assign without consent, except on a merger, reorganization, acquisition or sale of substantially all assets. “your assignment to a Zapier competitor is null and void.”[1]
- Order of precedence. If the Terms conflict with terms shown on Zapier’s check-out page, the check-out page governs “with respect to any pricing, payment, or product-specific terms”. Terms in a customer’s purchase order or vendor registration portal are rejected.[1]
- Trials. The initial 14-day trial does not auto-upgrade. A Team trial with a card on file auto-upgrades unless the customer opts out.[9]
Out of scope
- The Data Processing Addendum, DORA Addendum, subprocessor list and data retention schedule, except where they are cited above.
- Prior versions of the Terms of Service (2025-11-01, 2026-04-07) and of the Enterprise Agreement.
