Ubiquiti licensing

This article is an overview of how Ubiquiti licenses UniFi software and services. Deeper articles cover the EULA and terms of service, paid UniFi subscriptions and license-free applications, and UniFi OS Server. It is not about Ubiquiti as a licensee of other vendors' software, which is covered in the case article on Synopsys v. Ubiquiti.

On This Page

Ubiquiti builds networking, camera, door access and telephony hardware sold under the UniFi name, and runs software on that hardware (UniFi OS and the UniFi Network, Protect, Access and Talk applications) plus cloud services such as UniFi Site Manager. Its licensing model differs from most enterprise software vendors: the core software is licensed to the owner of the Product it runs on, and Ubiquiti states that major applications carry no licence fee. Paid items are a small set of optional subscriptions, mostly for services Ubiquiti operates (telephone numbers, hosting, identity workspaces and support). A software asset manager therefore has two tasks: record the contract terms that bind the software, and identify the few subscriptions that create a recurring entitlement.

Contract documents

Ubiquiti publishes its legal terms on ui.com and uses several documents depending on what the customer is using.

Document What it governs Date on the page
End User License Agreement (EULA) Software embedded on any Ubiquiti Inc. product[1] 2020-08-07
Terms of Service Sites, web apps, mobile apps and subscription services, with schedules[2] 2024-05-31
Services General Terms and Conditions Paid Services: coverage periods, fees, authorized users[3] 2021-08-09
Schedule 3: UniFi OS Server Downloadable UniFi OS Server software[4] 2025-05-23
Limited Warranty Hardware products, excluding software[5] 2020-10-09

The EULA states that purchase of the Product (excluding the Software) is governed by the Limited Warranty, and that use of the websites, services and subscription services is governed by the Terms of Service.[1] See the EULA and Terms of Service article for the clause detail.

Licence grant

The EULA grants a worldwide, non-sublicensable, non-transferable, non-exclusive, revocable, limited licence to download and use the Software in object code form only, solely in connection with the Product the licensee owns or controls.[1] The licence is thus bound to a device relationship, not a user or instance count, and it is revocable. The EULA terminates automatically without notice if the licensee fails to comply with any term.[1] For cloud features the Terms of Service grant a separate limited licence to use the Services solely for the user’s personal use, to use, manage and monitor the user’s Products and collect data from them.[2] For paid Services, the Services General Terms authorize use during the Coverage Period by Authorized Users solely for the customer’s internal business operations.[3]

Applications without licence fees

Ubiquiti publishes statements that several applications have no licence fee.

  • UniFi Protect. The product page states that licensing is $0 whether running 4 or 4,000 cameras, with AI and recording processed on the local NVR and no cloud fees, subscriptions or paid AI add-ons.[8]
  • UniFi Access. The Door Access Overview page carries a “No Licensing Fees” heading.[9]
  • UniFi Site Manager. Ubiquiti’s April 2026 article describes enterprise IT with UniFi and the new Site Manager as completely license-free.[10] Site Manager is the platform at unifi.ui.com for managing deployments remotely.[14]
  • UniFi Identity (license-free plan). Users of UID Enterprise can downgrade to the license-free UniFi Identity, which requires at least a UniFi Console in the workspace.[7]

These are marketing and product-page statements, not contract terms. The contract position is the EULA and Terms of Service: the licence is revocable, terms can change at Ubiquiti’s discretion and continued use signals acceptance,[1] and Ubiquiti reserves the right to charge fees for current or new services, but only with the user’s prior agreement.[2]

Restrictions that matter for compliance

The EULA bars use of the Software on any device other than a Product owned or controlled by the licensee or its business organization; sale, lease, sublicensing or distribution of the Software without Ubiquiti’s written consent; and circumvention of software protection mechanisms, including any used to restrict or control the functionality of the Software.[1] Publishing the results of a performance or functional evaluation needs Ubiquiti’s prior written approval for each release.[1]

For paid Services, the customer may not resell the Services, and Ubiquiti may suspend them if it believes they are being resold alone or bundled into another good or service.[3] A UniFi OS Server deployment adds an audit right: Ubiquiti reserves the right to audit the licensee’s records to confirm compliance, on at least five days’ written notice.[4] See UniFi OS Server terms.

Transfer and resale of hardware

Software rights follow the Product. If a user transfers a Product to a new owner, the user’s right to use the Services for that Product terminates automatically and the new owner must register a separate Account.[2] The Limited Warranty runs two years from delivery for Products bought from Ubiquiti’s webstores and one year from shipment to the distributor for Products bought from an authorized distributor or reseller, and it does not cover software applications or programs.[5] The warranty term and the software and account rights are therefore separate matters.

Open source

The EULA states that third-party and open source software is subject to the applicable licences, which take precedence for that software, and that Ubiquiti gives no warranty or support for it.[1] The software downloads page states that release software components are licensed under the GNU General Public License as well as other open-source and free software licenses.[13] Where a component is open source, a practitioner should read that licence for redistribution duties, not the EULA.

Governing law

The EULA is governed by New York law and actions must be brought in a federal or state court in New York,[1] and the Services General Terms are governed by New York law with binding arbitration.[3] The Terms of Service contain an arbitration provision and class action waiver with an opt-out mechanism.[2]

Out of scope

This article does not cover the regional Ubiquiti store terms, privacy policy, or compliance information, which are separate pages in the legal index. It also does not cover non-UniFi product lines or any negotiated agreement that replaces the standard terms.
