Ubiquiti’s end-user terms are split across documents by what the customer is using. The EULA covers software embedded on Ubiquiti Products. The Terms of Service cover the websites, web apps, mobile apps and subscription services. The Services General Terms and Conditions cover paid Services. Schedules to the Terms of Service cover specific services. The Limited Warranty covers the hardware. The EULA says explicitly that the Product purchase (excluding the Software) is governed by the Limited Warranty and that the websites, services and subscription services are governed by the Terms of Service.[1]
Assent and changes
The EULA takes effect by using, downloading or installing the Software, and Ubiquiti may change it in its sole and absolute discretion as indicated by the date on the page; the licensee’s sole recourse is to stop using the Software, and continued use indicates acceptance.[1] The Terms of Service use the same mechanism.[2] A person accepting on behalf of an entity represents that they have authority to bind it, and the licensee is responsible for any Authorized User’s compliance.[1] Authorized Users include independent contractors and employees the licensee authorizes.[1]
Because the terms can change without a negotiated amendment, an asset record should note the date of the version reviewed. The pages carry dates in their headers (the EULA August 7, 2020; the Terms of Service May 31, 2024).[1][2]
EULA licence and restrictions
The licence is worldwide, non-sublicensable, non-transferable, non-exclusive, revocable and limited, to download and use the Software in object code only, solely in connection with the Product the licensee owns or controls.[1] The EULA lists prohibited conduct. The entries most relevant to licensing are:
- using the Software on any device other than a Product owned or controlled by the licensee or its business organization;
- selling, leasing, licensing, sublicensing or distributing the Software or Content without Ubiquiti’s prior written consent;
- reverse engineering, decompiling or circumventing any software protection mechanism, including one used to restrict or control the functionality of the Software;
- using the Software in violation of local law, including regulations on legal frequency channels, output power and Dynamic Frequency Selection requirements;
- releasing the results of a performance or functional evaluation to any third party without Ubiquiti’s prior written approval for each release; and
- creating a substantially similar software to the Software or any component of it.[1]
The wireless-regulation entry is unusual in a software licence: operating a radio outside the legal channel, power or DFS limits of the country of use is also a breach of the EULA.[1]
Updates
Ubiquiti may provide patches, bug fixes, updates and upgrades, including certain third-party software, which become part of the Software. The licensee consents to automatic installation without additional notice. Ubiquiti withholds the right to require installation of any update in order to access and use the Software.[1] The Terms of Service add that Ubiquiti reserves the right to modify or discontinue the Services without notice, and will give prior notice to the extent reasonably practical.[2]
Third-party and open source software
Third-party proprietary software and open source software included with the Software are together “External Software”. Use of External Software is subject to the licences from its provider, which take precedence over the EULA for that software. Ubiquiti provides no warranty, maintenance or support for External Software.[1] The EULA states that the Software may include software developed by the OpenSSL Project for use in the OpenSSL Toolkit.[1]
Term, termination and transfer
The EULA remains in force while the licensee uses the Software or until terminated. It terminates automatically, without notice, if the licensee fails to comply with any term; the licensee may terminate by written notice to Ubiquiti’s legal address. On termination the licences end and the licensee must stop all access to the Product, Software and documentation and destroy the Software.[1]
The Terms of Service add a transfer rule: if a user transfers a Product to a new owner, the user’s right to use the Services for that Product terminates automatically, and the new owner has no right under the original Account and must register a separate Account.[2] Ubiquiti may terminate or suspend access without notice if it determines, in its sole and absolute discretion, that the user has violated the Terms, and unauthorized use or copying of the software comprising the Services terminates the Terms automatically.[2]
Terms of Service licence and fees
The Terms of Service grant a worldwide, non-sublicensable, non-transferable, non-exclusive, revocable, limited licence to use the Services solely for the user’s personal use, to use, manage and monitor the user’s Products and collect and receive data from them.[2] Prohibitions include selling or distributing the Services, creating a substantially similar product or service, and jeopardizing account security. Ubiquiti reserves the right to charge fees for current or new services but will not charge for them unless it first obtains the user’s agreement to pay.[2]
Services General Terms and Conditions
Paid Services have their own master terms, last modified 2021-08-09. They define a “Coverage Period” as the period that begins when the customer first uses or subscribes to a Service and ends on its expiration or termination, and the “Provider” as Ubiquiti Labs, LLC or another entity Ubiquiti Inc. may designate.[3]
Authorization. Subject to payment and compliance, Ubiquiti authorizes the customer to access and use the Services during the Coverage Period, solely for the Permitted Use (use by an Authorized User solely in or for the customer’s internal business operations). The authorization is non-exclusive and non-transferable.[3]
Restrictions. The customer may not rent, lease, sublicense, assign or make available any Services or Provider Products to any person, including through a service bureau or software-as-a-service arrangement. The customer may not use the Services for competitive analysis or to develop a competing product, and may not send or store personal health data, credit card data or personal financial data in the Services.[3]
Suspension. Ubiquiti may suspend, terminate or deny access, including by a disabling device, in listed cases: legal demands, material breach or use beyond the scope of the rights granted, fraudulent activity, abusive behaviour toward Ubiquiti staff, harm to Ubiquiti’s or its partners’ services, reselling the Services, failure to pay, inaccurate credit information, and modification of the covered Product from its original specifications.[3]
Fees. Fees follow the Fee Schedule, provided separately or listed on Ubiquiti’s website. Ubiquiti may adjust the Fee Schedule in its sole discretion and will use commercially reasonable efforts to notify the customer in advance. All payments are final and non-refundable. Fees exclude taxes. Late payments accrue interest at the lower of 1.5 percent per month (calculated daily and compounded monthly) and the legal maximum, plus collection costs, and Ubiquiti may suspend the Services if non-payment continues for thirty days after written notice.[3]
Term and termination. The agreement continues until Ubiquiti no longer provides any Service. Ubiquiti may terminate the agreement or the Coverage Period of any Service at any time and for any reason on at least thirty days’ written notice, or immediately if it ceases to provide the Service.[3]
Exclusions. The Services do not apply to installation or removal of the covered product, modification for unintended use, third-party products, accident or misuse, or software that is not the latest release. Products damaged or non-operational before the Coverage Period are not eligible.[3]
Schedule 2: AI Tools
Schedule 2 (last modified 2024-05-30) applies to Services that use AI Tools. It tells users that outputs may be inaccurate and must not be used for legal or material decisions without human review. It defines the Retention Period as 30 days: after it, Inputs, Outputs and System Data are queued for removal unless retained to comply with law or held in automated backups. Ubiquiti collects System Data about devices, software, support requests and networks, and may use it to provide, develop and improve the Services. Third Party Processors deliver the Services and may interrupt or limit them.[4]
UniFi Professional Integrators terms
The UniFi Professional Integrators Program has its own terms (last updated 2024-12-13). Ubiquiti reserves the right to modify, suspend or terminate the Program unilaterally at its sole discretion at any time. The customer pays the fees in Ubiquiti’s schedule, which may change, all payments are final and non-refundable, and late payments carry a fee of one percent per month. The Services are provided only for the Products, and the authorized user list is the customer’s responsibility.[5]
Limited Warranty
Hardware is warranted free from defects in material and workmanship for two years from delivery when bought directly from Ubiquiti’s webstores, or one year from shipment to the distributor when bought from an authorized distributor or reseller. The sole remedy is replacement with a new or refurbished product. The warranty does not cover software applications or programs.[6]
Liability, law and disputes
The EULA limits Ubiquiti’s liability, if any is found, to one hundred dollars ($100) in aggregate, and requires the licensee to indemnify Ubiquiti for violations of the EULA.[1] The EULA is governed by New York law, and actions must be brought in a federal or state court in New York; Ubiquiti may seek injunctive relief in any court to protect its confidential information or intellectual property.[1] The Services General Terms are governed by New York law and disputes go to binding arbitration.[3] The Terms of Service contain an arbitration provision with a class action waiver; the user may opt out by written notice, and must give Ubiquiti written notice and 45 days to resolve a dispute before arbitration.[2]
Export controls apply: the EULA records that the Software is of US origin and puts responsibility for export law compliance on the licensee.[1] For US government users the Software is a commercial item and the EULA terms govern its use.[1]
