Tungsten Automation licensing covers how Tungsten Automation Corporation, formerly Kofax, Inc., licenses its intelligent automation, document capture and PDF software. The main products are Power PDF, TotalAgility, Tungsten RPA (formerly Kofax RPA), Tungsten Capture (formerly Kofax Capture) and ReadSoft Invoices.[1] Much of the product documentation still carries the Kofax name. The RPA 11.5.0 installation guide, for example, is titled “Kofax RPA Installation Guide”.[6]
One End User License Agreement governs most of the software. The Americas and Asia Pacific version retrieved for this article has the footer “April 2026 – 20260608”. The licence is “non-exclusive nontransferable”, for “internal use in object code form only”, and conditional on payment.[1] Its scope comes from the order. The licensee may use the Software “only for the purposes (production, evaluation, testing, demonstration, disaster recovery) and for the duration and extent whether perpetual or for a term, for which You have paid”, as shown in a Sales Order with Tungsten or an authorised reseller.[1] Catalog proof: Tungsten licences cover only the paid purposes, duration and extent shown on the Sales Order.
The EULA states that it supersedes earlier licence agreements from Tungsten and its predecessors in interest, unless a separate written licence agreement applies.[1]

Counting / floors
Sales Order limits. Use is subject to “term limitations, volume limitations or concurrent client module use limitations” in the Sales Order, to usage restrictions in the product documentation, and to the then-current licensing policies.[1] The customer must not use the Software “in excess of its licensed capacity”.[1] Catalog proof: Use is limited by Sales Order term, volume and concurrency limits and Tungsten licensing policies; Tungsten software may not be used beyond its licensed capacity.
Enforcement by license server. Most server products count usage technically. TotalAgility’s License Server consumes one concurrent licence per user session and decrements page volumes as documents are processed.[4][5] In RPA, Management Console acts as the license server for robots and Design Studio seats.[6] Tungsten Capture licences are activated with a serial number and product code, and purchased options run for only three days if activation fails.[7] Power PDF Business seats are assigned to named users in the hosted Cloud License Server.[8] ReadSoft Invoices 2025.1 works only with the on-premise Tungsten License Server.[9] Catalog proof: Each TotalAgility session consumes a concurrent licence, even for the same user; Tungsten Capture runs three days without activation; activation uses serial number and product code; ReadSoft Invoices 2025.1 works only with Tungsten License Server.
Affiliates. Group companies with more than 50% common control may use the Software as Authorized Affiliates, “only to the extent that You have purchased sufficient licenses”. The licensee remains liable for them and must keep records of their use for audit.[1] Catalog proof: Affiliates may use Tungsten software only within the licences the customer bought.
Virtualization & partitioning
Tungsten does not license by processor or core in the documents retrieved. Each product addresses virtual and shared environments in its own way.
- Tungsten RPA. Licensing “is independent of the target hardware environment and physical CPUs”. A robot licence “is not tied to a physical desktop or virtual machine”.[6]
- Tungsten Capture. “Station licenses apply to the session rather than the computer”, so modules running in different Terminal Services or Citrix sessions each need a station licence.[7]
- Power PDF. Only Power PDF Business supports “Citrix, Microsoft App-V and Windows Server network deployment”.[2]
Catalog proof: RPA licences are perpetual or annual and independent of hardware, CPUs and virtual machines; Capture modules in separate Terminal Services or Citrix sessions each need a station licence; Only Power PDF Business supports Windows Server, Citrix and App-V deployment.
Cloud / BYOL
RPA licences may be deployed on cloud or on-premise, virtual or physical infrastructure without counting CPUs.[6] The Power PDF Cloud License Server is hosted by Tungsten and replaces the on-premise License Server (KLS) for term-based Power PDF Business licences.[8] TotalAgility on Azure and in on-premise multi-tenant mode reactivates licences automatically. Its backup license server option exists only for single-tenant on-premise installations.[10]
Programs
- Term license renewal. After the initial term, a term licence “will renew and extend for additional consecutive three (3) years’ renewal terms” unless either party gives notice at least 30 days before the term ends. Reinstating a lapsed term licence costs the renewal fee plus 150% of the fees unpaid during the gap.[1] Fees for the whole term remain payable even if licences are surrendered.[1] Catalog proof: Tungsten term licences auto-renew for three-year terms unless notice is given 30 days before expiry; Reinstating a lapsed Tungsten term licence costs 150% of the unpaid gap fees; Term licence fees are owed for the entire term even if licences are surrendered.
- Software Maintenance and Support. Maintenance is governed by Tungsten’s Software Maintenance and Support Agreement, Software Lifecycle Policy and Product Release and Sunset Schedules, which are “available upon request”. It renews in three-year terms. Reinstating it after a lapse costs the current annual fee, the unpaid fees since expiry and one additional year.[1] Catalog proof: Reinstating Tungsten maintenance costs the current fee, the gap and one extra year.
- Authorized Affiliate use. Group companies may use the licensee’s licences, as described above.[1]
- Cloud License Server, 30-day money back guarantee and 15-day trial. These Power PDF programs are covered in the Power PDF article.
Audits and compliance
Section 11 of the EULA is a full audit clause. The Software “may include a telemetry feature” that reports usage to Tungsten. Without telemetry, Tungsten may access the servers running the Software to collect usage data. Once per calendar year, and once in the year after termination, Tungsten may request usage records, which the customer must supply within 30 days.[1] If the audit finds use above the licence, the customer pays within 30 days:
- licence and maintenance fees for the excess at list price,
- a compensation fee set by Tungsten,
- interest at 12% a year, and
- the audit costs, if use “exceeds 105% of the licensed use”.[1]
Non-payment allows immediate termination, and the customer bears its own costs of cooperating.[1] Licences cannot be assigned or transferred without consent, “including pursuant to Your merger or consolidation with another entity”.[1] On termination the customer must destroy all copies and give Tungsten reasonable evidence that it has done so.[1] For qualifying Sales Orders signed on or after 2025-09-01, an EU Data Act Addendum applies.[1] Catalog proof: Tungsten may collect usage by telemetry or server access and request records once a year; Audit overuse is charged at list price plus a fee, 12% interest and audit costs above 105%; Tungsten licences cannot be transferred, even in a merger, without consent; On termination Tungsten software must be removed and destruction evidenced; The EU Data Act Addendum applies to qualifying Sales Orders from 2025-09-01. For the general discipline see software license audit.
