Redgate EULAs, support and renewals

This article is about Redgate Software's Master Subscription EULA, Master Perpetual EULA, Master SaaS Subscription Agreement and Retired Software EULA, its Support policy and Support Packages: licence grants, evaluation, renewal, termination, retirement, audit and transfer. It is not legal advice.

Redgate Software licenses its tools under four standard agreements, all published on its “License agreements” page. They are the Master Subscription EULA for subscription software installed by the customer, the Master Perpetual EULA for perpetual licences, the Master SaaS Subscription Agreement for hosted services, and the Retired Software EULA for products withdrawn from the market.[8] Each is accepted by placing an order, or by downloading, installing or using the software. Each states that it and the Redgate quote “shall prevail over Your standard terms and conditions”.[1][2] The licensor is Red Gate Software Limited, company number 3857576, of Cambridge, England. The EULAs are governed by English law, and the courts of England and Wales have non-exclusive jurisdiction.[1] Catalog proof: Redgate publishes four EULAs: perpetual, subscription, SaaS and retired.

Metrics

The EULAs do not define licence metrics themselves. Metrics come from the Product Specific Terms, which “form part of and are incorporated into Your Redgate Master Subscription EULA”. They define Per User, Per Server, Per Capacity and Per Schema Software, and the Server, Service Account, Tier and True Up concepts.[7] The Perpetual EULA likewise grants its licence “subject to any applicable Product Specific Terms”.[2]

Counting / floors

The EULAs make the customer responsible for counting. Rights “are personal to You”. The customer “shall ensure that Your employees comply” and is responsible for their acts.[1] The Product Specific Terms make the customer responsible for picking the right capacity Tier or schema count at purchase, and for the annual True Up.[7] No minimum quantities are set in the EULAs.

Programs

Evaluation

A free trial is available for any software other than Freeware, “for the purposes of deciding whether or not the applicable Subscription Software meets Your requirements”. Its length “is confirmed on the relevant product page” and can be extended in writing. During evaluation the software is provided as-is and the warranty and indemnity do not apply. The trial ends when an order is placed. A customer that does not buy “shall destroy the Subscription Software and all copies” (Schedule 1).[1] Catalog proof: After an unsuccessful evaluation the software must be destroyed.

Subscription Period and renewal

A subscription starts on the Subscription Start Date, which is the earlier of the invoice date and the payment date. It runs for the Initial Subscription Period and then “shall be automatically renewed for either 12 months or 36 months”. Either party can stop renewal by written notice at least 30 days before the end of the period. The renewal length is 36 months if the last term was 36 months or more, and 12 months otherwise (§7.1).[1] Renewal Fees are as “detailed by Us from time to time” on the website, the Customer Portal or a quotation. The EULA does not cap renewal increases.[1] With Recurring Billing, renewals are charged automatically to the chosen card or direct debit (Schedule 3). The SaaS Agreement uses the same 12- or 36-month renewal mechanism (§9.1).[1][3] Catalog proof: Redgate subscriptions renew automatically for 12 or 36 months unless 30 days’ notice is given.

When a licence expires or ends, the customer “must cease use of the Subscription Software, and uninstall, destroy or put beyond use all copies” (§7.5).[1] Redgate’s support site says the same in plain terms: if a subscription is not renewed, “you will lose access to the product”.[6] Catalog proof: On expiry of a subscription the software must be uninstalled.

Perpetual licences and Support Packages

The perpetual licence starts on the License Start Date and continues “in perpetuity” unless terminated (§7.1). Support and upgrades come from a separate Support Package. The Package is provided for the Initial Support Term and then “automatically renewed for 12 months” unless either party gives 30 days’ written notice (§7.2). Support Fees fall due on the anniversary of the renewal date (§3.3).[2] “If You have not purchased a Support Package, You will not be entitled to any support including, updates, upgrades or new releases” (§5.4).[2] Redgate’s support site explains that if a perpetual licence is not renewed, “the license remains yours”, but the product “will be fixed at that version”.[6] Catalog proof: Without a Support Package perpetual licences get no updates or upgrades; Perpetual Support Packages renew automatically for 12 months.

Support policy

The Support policy applies to subscriptions and to perpetual licences with an active Support Package. Support is available Monday to Friday from 09:00 to 01:00 UK time. Target response times are 10 hours for P1 (critical), 14 hours for P2, 22 hours for P3 and 36 hours for P4. Support excludes Retired Software, third-party applications, performance tuning, capacity planning, database design and training. Customers are entitled to updates to the latest version, and the support term matches the subscription or support term.[5] Catalog proof: Redgate support excludes retired software and performance tuning.

Retired Software

Redgate may retire perpetual Licensed Software “on 30 days’ written notice”. The Support Package continues to the end of its current term. After that, use is governed by the Retired Software EULA (Perpetual EULA §§7.7-7.8). If the customer takes a replacement product, the retired licence ends and the Support Package moves to the replacement (§7.9).[2] Retired Subscription Software cannot be renewed after the current period ends (Subscription EULA §7.7).[1] Under the Retired Software EULA, the customer keeps a perpetual, personal, non-transferable licence, and the software is provided as-is.[4] Catalog proof: Retired perpetual software moves to the Retired Software EULA; Retired Subscription Software cannot be renewed.

Freeware and Preview Software

Freeware, Core Edition Software and Preview Software are provided “AS IS”. Redgate’s liability for them is limited to ten pounds (GBP 10). Preview Software may be time-limited and used only for evaluation.[1][2]

Use restrictions and transfer

Both EULAs prohibit renting, leasing, sub-licensing, selling, pledging or assigning the software or the agreement. They also prohibit using the software “to develop or license a product that is substantially similar to or competitive with Our software” (§§1.3, 1.5).[1][2] “You are not permitted to assign or transfer this Agreement or any rights granted to You to any third party without Our prior written consent” (§10.6).[1] The customer must notify Redgate when its company name, address or email domain changes (§10.12). Where software was bought through a Channel Partner, the partner’s payment and invoicing terms replace clause 3, but the rest of the EULA applies (§3.5).[1] Catalog proof: Redgate licences are personal and cannot be transferred without consent.

Redgate may revise the Subscription EULA “by updating this Agreement on Our website”. A customer that disagrees may terminate within 10 days of the revision without liability. Continued use counts as acceptance, and revisions do not apply retrospectively (§10.9).[1] Catalog proof: Customers may exit within 10 days of a revision to the Subscription EULA.

Audits and compliance

Clause 10.7 of both EULAs reads: “Where the business model and payment for any Subscription Software is dependent on Your level of use (e.g. number of people or servers), You agree that We shall be entitled to inspect Your records annually”. The purpose is to ensure the customer has “not exceeded the use that You have paid for”. The audit may be carried out by Redgate or its third-party agents during normal business hours.[1][2] The SaaS Agreement contains the same right (§12.7).[3] The clauses set no notice period, cost-shifting or remedy beyond the general termination right. Redgate may terminate if a breach is not remedied within 30 days, or if payment is not made within 10 days of a reminder (§7.2).[1] For capacity and schema products, the annual True Up acts as a self-audit, and Redgate may suspend the licence until it is received.[7] Catalog proof: Redgate may inspect records annually where pricing depends on use; Usage-priced perpetual licences may be inspected annually; Redgate SaaS usage may also be audited.

Redgate collects usage data, including user activity and performance results, and acts as controller of that data (§8).[1] The EULAs do not say that this data is used for licence compliance.

Out of scope

  • The Data Processing Addendum and Redgate Environment terms (Schedule 2) for cloud-backed features, apart from the licensing points above.[1]
  • Consumer cancellation rights and Australian Consumer Law provisions (§10.10).[1]
  • Professional services and Premium Support, which are listed separately on Redgate’s support site.[5]
