Egnyte licensing

This article is an overview of how Egnyte licenses its hosted content collaboration, governance and AI platform. Deeper articles cover the plans, user types, storage and access limits, add-ons and industry plans, and the contract terms. It is not about Egnyte's open-source components or its on-premises Smart Cache appliance beyond the licence it needs.

Egnyte licensing is the set of commercial terms under which Egnyte, Inc. sells its content collaboration and data governance platform. The company is a Delaware corporation based in Mountain View, California, and its Terms of Service describe the product as a hosted content services platform that lets a customer process and manage its Content.[1] The terms also state that each Egnyte Platform subscription includes per-unit features and functionality according to the plan purchased.[1] In practice that means a software asset manager is reconciling three quantities: how many named users hold which user type, how much storage and content access the plan allows, and which optional add-ons were ordered on top of the plan.

Egnyte is a software-as-a-service (SaaS) vendor. There is no perpetual licence and no server software to count. The only locally installed components, such as the Desktop App or a Smart Cache device, are described as ancillary tools for reaching the hosted service.[1] A licence position is therefore built from the Order Form, the public plan page and the Help Desk’s plan details, not from a discovery scan of installed software.

Editions

Egnyte’s public pricing page lists four main plans for organisations, with a fifth, Team, on a separate page. The Business plan is priced at $22 per user per month, Enterprise Lite at $39 and Elite at $48, each paid annually; Ultimate is sold by custom quote.[2] The page also states that a multi-year discount is available on all plans, and carries a banner that AI is included in every plan.[2] The Team plan is aimed at smaller teams of 1 to 10 users at $10 per user per month, paid annually.[3]

Help Desk articles still use older or parallel plan names. Pages on API limits and snapshots refer to Platform Business, Enterprise Lite, Enterprise, Essentials, Elite and Ultimate, and to legacy Connect, Office and Team plans.[4] The API table groups some of them in pairs, for example Enterprise Lite with Elite and Enterprise with Ultimate, but it does not say that one name replaces another.[4] Because plan names have shifted, the entitlement on the signed Order Form, and the Current Plan page inside the domain, are the reliable record. Metrics

Egnyte counts people, not devices. The Terms of Service define a User as an individual authorised by the customer to be either a Power User or a Standard User.[1] A Power User is an employee, consultant or individual contractor of the customer or of any affiliated entity, and an unaffiliated third party who needs Power User functionality can also be given a Power User subscription.[1] A Standard User, also called an External User, is anyone else, such as personnel of the customer’s suppliers or customers.[1] Employees and contractors of the customer, or of its affiliates, may not use a Standard User subscription.[1]

Two other metrics shape the bill. Plan storage is the allocation of online storage, and the Help Desk says the total includes files in the trash and file versions.[5] The Access Limit is a separate allowance on how much content can be accessed in a month, set at up to 100% of the monthly storage purchased.[6] The user types article and the storage and access article explain both in detail.

Counting / floors

The first floor is the Team plan range of 1 to 10 users.[3] The Terms of Service require that the customer keep at least one active Administrator, who is a Power User with administrative rights.[1] Billing follows the number of users allotted in the plan, not the number of licences in use, so deactivating a Power User frees a licence but does not reduce the amount billed.[7]

Growth is governed by an overconsumption clause. If the customer expands consumption, for example more storage, more User access or more features, it pays for the additional amount for the rest of the Subscription Term at the Order Form’s pricing for additional services, or at Egnyte’s then-current list pricing if none is stated, and the increase sets a new high-water mark.[1] Egnyte may monitor usage levels to check compliance and may ask, on reasonable notice, for information about User counts, classifications and usage.[1] This is the nearest thing Egnyte’s terms have to an audit clause, and it is a request for information rather than an on-site audit right.

Virtualization & partitioning

Because Egnyte is a hosted service, processor and virtualisation rules do not apply. The structural equivalent is the account, or domain. An Account is an account or domain created by or on behalf of the customer.[1] The pricing page lists how many account domains each plan includes, shown as one domain on Business and one primary plus five secondary on Enterprise Lite, Elite and Ultimate.[2] Where a customer runs several domains, Multiple Entity Management (MEM) lets all unique Power Users under the agreement reach any listed domain, excluding Archive and GxP domains.[6] Help Desk documentation states that MEM is available only on the Enterprise Lite, Enterprise, Elite and Ultimate plans.[8]

Cloud / BYOL

Egnyte hosts content in cloud infrastructure and offers options for where it sits. Its Public Cloud Connector lets an administrator choose a specific geolocation, bring an own Azure or AWS bucket, or select Egnyte-managed Azure storage in particular regions, provided the plan allows it.[9] The Terms of Service make the customer solely responsible for the availability, durability, security and cost of storage it secures independently.[1] A bring-your-own-model option for AI, in limited availability, is available to customers with Platform Plans and the AI add-on.[10] The storage article covers these in more detail.

Programs

Egnyte’s programmes are contractual rather than partner schemes. The main ones are:

  • Subscription Term and auto-renewal. The Order Form renews automatically unless either party gives at least 30 days’ written notice before the end of the term, and monthly subscriptions renew month by month.[1] Egnyte can raise prices at renewal, with at least 45 days’ notice for auto-renewing agreements.[1]
  • Trials. An account trial runs for 15 days,[7] add-ons can be trialled for 14 days from the Trial Add-Ons tab,[11] and higher-tier plans can be trialled from the Explore Plans page subject to eligibility rules.[12]
  • Service level and support. Egnyte targets 99.9% monthly availability and grants Service Credits of 10%, 25% or 50%,[13] but the SLA subsection does not apply to customers spending less than $12,000 a year in subscription fees.[1] Support comes in Standard, Premium and Platinum plans.[14]
  • Channel purchases. Additional purchases through a channel partner remain under the Agreement, and the customer stays jointly and severally liable for the fees if the partner does not pay.[1]

Add-ons

Optional capabilities are bought on top of a platform plan. The pricing page shows Project Hub and Specialized File Handler at $6 per user per month and Snapshot and Recovery at $10 per user per month, with other add-ons, including Document Portal, Document Room, eTMF, GxP Compliance and CMMC 2.0 Compliance, sold through a specialist.[2] Help Desk articles describe the PDF File Handler, which carries Egnyte Sign, as an additional add-on available on all Platform Plans.[15] The add-ons and industry plans article sets out what each contains.

Out of scope

This wiki section does not cover Egnyte’s data processing addendum in detail, its privacy terms, the website terms of use, or the third-party applications sold through the Egnyte app store. The Terms of Service say Egnyte is not responsible for third-party content and may act only as a limited billing agent for purchases made through its app store.[1] Prices on the public page are list prices for self-service buying and may differ from negotiated Order Form prices. The Terms of Service also treat the terms of the agreement, including pricing, as the parties’ Confidential Information, so contract prices should be taken from the customer’s own Order Form.[1]

Practical reading order for a licence manager

Start with the Order Form and the Current Plan page of each domain, because they record the plan, the number of included and additional users and any add-ons. Next, export the user list and compare user types against the definitions: Power User for employees, contractors and affiliates, Standard User only for external parties. Then compare storage in use, including trash and versions, with the plan allocation, and check whether the Access Limit or an Archive Domain download limit is in play. Finally, read the renewal clause, since notice periods and price increase rules run from the Subscription Term end date.[1]
