e2open licensing

This article is an overview of how e2open licenses its connected supply chain platform, networks and managed services. Deeper articles cover the Service Terms and Order Forms, service levels and upgrades, Carrier Marketplace subscriptions, INTTRA and Avantida transaction terms, and training, consulting and managed services. It is not legal advice.

e2open licensing is the set of contract terms under which e2open sells its cloud-based supply chain software, trading-partner network and related services to manufacturers, retailers, shippers, carriers and logistics providers. e2open describes itself as a connected supply chain software platform that links more than 500,000 manufacturing, logistics, channel and distribution partners in one multi-enterprise network.[1] The platform is organised into five suites of applications: Channel, Planning, Global Trade, Logistics and Supply.[2] Almost everything is delivered as a hosted subscription. The licensing questions for a software asset manager are therefore less about installations and more about who may log in, which Order Form quantity applies, how renewal and price changes work, and what the customer allows e2open to do with its data.

Ownership and contracting entity

e2open’s contracting parties changed in 2025. On 2025-05-25 E2open Parent Holdings, Inc. announced a definitive agreement to be acquired by WiseTech Global Limited for 3.30 US dollars per share in cash, an enterprise value of 2.1 billion US dollars.[1] WiseTech announced completion on 2025-08-03 and said it intended to continue support for customers of both companies, with a phased approach to integrating products.[3] The effect on contracts is visible in e2open’s own documents. The Service Level Guidance states that it is offered by the WiseTech Global Limited entity supplying the services under the customer’s service agreement, and the Data Processing Addendum and the INTTRA terms now sit on the wisetechglobal.com legal site.[4][5][6]

The Service Terms identify the supplier by role rather than by name. The “Vendor” is the entity named as Vendor on the Order Form, and the “Vendor Group” is E2open, LLC and any company it owns or controls.[7] A customer should therefore read the contracting entity on each Order Form. Earlier acquisitions also matter for legacy contracts. e2open completed its acquisition of BluJay Solutions on 2021-09-01, bringing a transportation management system and a global trade management platform, and acquired Logistyx Technologies, a parcel and e-commerce shipping platform, on 2022-03-03.[8][9] The Carrier Marketplace carries that history in its name: it was formerly known as BluJay’s Carrier Network, and its terms are made through BluJay Solutions, LLC.[10][11]

The contract families

e2open does not use one price list. Four families of terms appear in public documents, and they behave differently.

Family What it covers Where the price comes from
Subscription Services Terms and Conditions plus an Order Form Enterprise subscriptions to planning, channel, trade, logistics and supply applications, with related Professional Services Order Form; pricing is e2open Confidential Information[7]
Carrier Marketplace Terms Road carriers connecting to the e2open Transportation Management for Shippers solution Public price table by annual load tier[10][11]
INTTRA General Terms and Container Management terms Ocean booking and container services on the INTTRA and Avantida platforms Order Form or Price List; pay-per-use credits for Avantida[12][13]
Consulting and Training Terms Consulting, e2university courses and certifications Statement of Work and fees stated by e2open[14]

The Service Terms say that each Order Form becomes part of them, and that an Order Form lists quantities, duration, applicable use, fees, costs, scope, schedules and service level guidance.[7] The same document treats pricing as e2open’s Confidential Information, so enterprise prices are not published. The public figures that do exist belong to the carrier programme and are covered in the Carrier Marketplace article.

What is licensed and how it is counted

The Service Terms grant a non-exclusive, non-transferable, non sub-licensable worldwide right, for the term of an Order Form, for the customer’s Users to access and use the Services, Documentation and Vendor Materials for internal business purposes.[7] A User is an individual natural person or an approved automated system granted access through a unique user ID, and automated systems need e2open’s approval.[7] The Service Terms set no User count of their own, so entitlement is whatever the Order Form states. The Acceptable Use Policy and the Customer Security Policy add that automation software and bots need e2open’s permission, and that vulnerability testing needs prior written consent.[15][16]

Other products count different things. Carrier Marketplace levels are priced by annual load volume, counted as unique TMS load numbers across all of a carrier’s SCAC codes.[10][17] INTTRA terms refer to services priced by Shipping Units, Container Transaction Volume or Transaction, invoiced monthly in arrears, with the definitions taken from a Price List.[12] Avantida’s container service uses prepaid credits debited per completed service.[13] The catalog records these as separate metrics: User, Annual Load Volume, SCAC/VAT, Shipping Unit, Container Transaction Volume or Transaction and Credit (Pay Per Use).

Term, renewal and price movement

Order Forms are not cancelable for convenience unless agreed in writing. An Order Form with no term provision renews annually unless terminated in writing at least 45 days before expiry.[7] Invoices are payable within 30 days, late amounts may bear 1.5 percent monthly interest, and if an amount is 30 or more days overdue e2open may accelerate unpaid fees and suspend the service after at least ten days notice.[7] Carrier subscriptions run 12 months and renew unless cancelled 30 days before the anniversary, with fees paid annually in advance and increases possible before renewal.[11] INTTRA terms add an automatic 5 percent increase of recurring fees each 1 January unless the Order Form or another agreement says otherwise.[12]

Corporate events

Two clauses in the Service Terms affect licence positions after a transaction. Fees do not include additional volume that results from a merger or acquisition, and e2open may revise fees where use changes materially.[7] A customer may assign the Service Terms without consent to its group or to a surviving entity if it notifies e2open within 10 days, the assignee agrees in writing, use stays within the prior scope and the assignee is not a Competitor of e2open; e2open may revise fees on such an assignment.[7] Competitor is defined broadly as anyone offering similar subscription services, software or applications.[7]

Data rights as a licensing term

The data position differs by contract. Under the Service Terms, the customer keeps ownership of Transaction Data and Results, e2open owns the Services and Statistics, and the customer grants e2open an irrevocable right to incorporate de-identified, aggregated Statistics in its works without revealing the customer.[7] INTTRA’s terms go further: the customer grants e2open a perpetual, irrevocable, fully sublicensable licence to Transaction Data, including the right to sell it and derived works to authorities, ports and other third parties.[12] Carrier Marketplace terms let e2open build derived works such as scorecards from carrier data.[11] These are commercial terms to check in procurement, because they survive termination.

Practical checklist for licence managers

  1. List every Order Form and identify the contracting entity, term, renewal notice and quantities, because the public Service Terms do not set them.
  2. Confirm which uptime level and disaster recovery option each Order Form buys; the Standard level is included and Premier, Elite and inter-site recovery are separate lines.[4]
  3. For single-tenant deployments, track the release distance: the Service Terms tie e2open’s IP indemnity to staying within 12 releases, and the Service Level Guidance requires an upgrade at least every two years.[7][4]
  4. For carrier or INTTRA relationships, record the SCAC codes, annual loads, price list version and the 1 January escalator.
  5. Review affiliate use against the Customer Group definition, which covers the ultimate parent and companies it controls.[7]
  6. Keep the Order Form, the Service Terms version in force on the signature date and the dated web documents together, since e2open may change the web terms from time to time.[7]

Out of scope

This overview does not give e2open prices for enterprise applications, because none are public. It does not cover the Data Processing Addendum in detail, third-party carrier or marketplace terms, Bolero eBL terms referenced from the INTTRA terms, or any e2open product not named in the cited documents. Reseller or implementation-partner contracts are also outside the cited sources.[12][5]
