Sage 100, 200 and 300 licensing

Sage 100, Sage 200 and Sage 300 are Sage’s long-standing mid-market accounting and ERP lines, mostly deployed on premises or hosted by partners. Sage 100 and Sage 300 are sold in the United States and Canada under the common Sage End User License Agreement (EULA), with product-specific supplemental terms.[1][4] Sage 200 is sold in the UK and Ireland under the Sage 200 Consolidated Terms and Conditions.[5] The two documents count users differently, so they are covered in separate sections below.

The EULA posted for Sage 300 carries the page stamp 20260819. The Sage 100 file on the same legal page has the same text but an older stamp, 20230807. Both say the template was last updated in August 2023.[1][2]

Editions

Sage 100 and Sage 300. The EULA does not name editions. It governs “the Software set forth in Customer’s Order Form and any Service Plan Customer elects to purchase”. Its Supplemental License Terms, posted on Sage’s EULA pages, add product-specific conditions.[1] For Sage 100 and Sage 100cloud these supplemental terms cover third-party components such as Applianz.[3] If the EULA conflicts with an Order Form or the Supplemental License Terms, the main body of the EULA governs.[1]

Sage 200. Sage UK sells Sage 200 Standard, a cloud-based plan, and Sage 200 Professional.[7] The terms list the Modules a subscription may include: Bill of Materials, Business Intelligence, Commercials, Financials, Project Accounting, Sage 200 CRM, Excel Reporting, a Microsoft 365 connector and others. Microsoft SQL may be bought through a Sage Partner under additional terms.[5] Part A (subscription) applies to all new customers who bought Sage 200 after 2019-09-30. Version 9 or later customers not on subscription move to Part A at their next renewal. Versions 4 to 8 stay on Part B (fixed term) until they upgrade to version 9.[5]

Metrics

  • User (Sage End User License Agreement): “a named human authorized by Customer to use the Software, for whom Customer has purchased a license or subscription, and who has been supplied with user credentials for the Software”.[1]
  • Sage 200 User: a named individual with a subscription. Clause 6 limits use to the number of Users “(whether named or concurrent) as set out in the Documentation”.[5]

Counting / floors

Sage 100 and Sage 300 under the Sage EULA

Grant and term. Sage grants the customer and its Affiliates a limited, non-exclusive, non-transferable licence. With a perpetual licence shown on the Order Form, the Software may be used for the term of the Agreement. With a subscription it may be used for the period on the Order Form.[1] Catalog proof: Sage EULA licences are perpetual or subscription as shown on the Order Form.

User and seat limits. Use beyond “the number and types of users, seats, or licenses purchased” is a restriction breach.[2] Under section 4.3 (Unpaid Uses), such use “constitutes a material breach”. The customer must pay the extra licence or subscription fees “calculated in accordance with the applicable Sage retail price list in effect at the time payment is made”, and failing to pay within 30 days of invoice is a further material breach.[1] Over-deployment is therefore priced at retail list at the time of payment, not at the customer’s original discount. Catalog proof: Over-deployment under the Sage EULA is a material breach billed at retail price.

Fees. Fees are due on receipt of invoice and become non-refundable once Sage has “Enabled Use”, meaning it has made the software available for download or sent activation codes. Sage may raise fees for new purchases, subscription renewals and Service Plan renewals. Subscriptions and recurring payment plans are billed automatically, monthly or annually.[1]

Reductions and termination. A subscriber may terminate on 30 days written notice and receive a refund of unused prepaid fees. Afterwards the Software may revert to read-only mode and lose features that need a Service Plan. A customer without a subscription may terminate at any time but gets no refund. Reducing the number of users or turning off optional modules “is not a subscription termination” and earns no refund. If the customer breaches the Agreement, including by not paying, it terminates automatically.[1]

Audit. On reasonable prior written notice, and subject to the customer’s reasonable and documented information security policies, Sage may audit use to check compliance with the restrictions. Underpayments are invoiced under the Unpaid Uses clause.[1] Catalog proof: Sage may audit use under the Sage EULA on reasonable notice.

Assignment. The customer may not assign the EULA without Sage’s prior written consent. Sage may require the assignee to accept the Agreement in writing, meet transfer requirements and, where only part of the business is sold, may require that the seller keeps no copy.[1] Catalog proof: Sage EULA licences cannot be assigned without consent.

Sage 200

Users per Module and one Installation. The Services may be used for the customer’s internal purposes and, if the fees have been paid, those of its Group Companies. Use is limited to the number of Users, named or concurrent, set out in the Documentation, and “the number of Users may differ per Module”. All use must be on one Installation, meaning web applications that share one Configuration Database.[5] The Services may include technology that enforces the user count and checks the installation against Sage’s records.[5] Catalog proof: Sage 200 user counts may be named or concurrent and differ per module.

Changes. Users and Modules can be changed at any time through the Sage Partner, taking effect when the Partner processes the change in the Sage Provisioning Portal or Sage’s entitlement system. Additions are charged pro rata. Cancelling a Module or reducing Users gives no refund of prepaid fees, and Module subscriptions can only end so that they co-terminate with the main subscription.[5] Catalog proof: Sage 200 user or module reductions give no refund.

Activation. Activation may need the Customer Account Number and Serial Number, supplied by Sage (Sage 200 Standard) or the Sage Partner. Online Services show the Serial Number in the Sage Provisioning Portal.[5] Sage UK will not issue a new serial number for software bought through unauthorised channels, and treats its licences as non-transferable.[6] Catalog proof: Sage 200 is activated with a Customer Account Number and Serial Number.

Term. New customers subscribe for 12 months, and each 12 Month Subscription renews automatically. Sage no longer offers 36 Month Subscriptions, and existing ones also renew automatically.[5] For other subscriptions, notice from the Sage Partner (or a direct customer) ends the Agreement or a Module at the start of the following calendar month. Sage may end the Agreement on at least six calendar months notice.[5] Catalog proof: Sage 200 subscriptions are 12-month terms that renew automatically.

Virtualization & partitioning

The Sage EULA has no processor or virtualisation metric. It allows installation on systems owned by the customer or its Affiliates, or on a third party’s system if the customer is the only party with access. A reasonable number of backup copies for business continuity and disaster recovery is allowed, plus one copy for testing.[1] Catalog proof: Sage EULA allows backup copies and one test copy.

Sage 200 support in a virtualised Windows environment is at Sage’s discretion and at the customer’s risk. Sage may ask for problems to be reproduced on a standard, non-virtualised system and will not fix defects that relate to virtualisation. For on-premises Sage 200, a back-up copy of the Services needs a Disaster Recovery Licence, though customers are encouraged to back up their data.[5] Catalog proof: Sage 200 support in virtualised environments is at Sage discretion.

Cloud / BYOL

Sage 100cloud and Sage 300cloud are covered by the same EULA as the on-premises versions.[1][2] A hosting provider may run a customer’s licensed copy only if the customer is the sole party with access to it.[1] For Sage 200, a managed, outsourced or hosted service provider may install the customer’s copy, provided the customer does not install it too and the provider confirms in writing that it will comply with the Agreement. Online Services are deployed by the Sage Partner through the Sage Provisioning Portal.[5]

Programs

  • Service Plan: under the EULA, “a plan Customer purchases for the provision of Customer Support and/or Maintenance Software for a specified period”. Support is warranted only while the plan is in effect and paid.[1]
  • Sage 200 Test & Recovery Licence: a separate licence described in the Documentation.[5]

Sage 200 support is given by the Sage Partner, or by Sage for some Sage 200 Standard customers, and includes Updates and the free Upgrades Sage releases. Chargeable Upgrades are billed separately.[5]
