Precisely licensing

This article is an overview of how Precisely licenses its data integrity, mainframe and IBM i, location intelligence and data products. Precisely licenses software and data products from several heritages: mainframe and IBM i data movement and optimisation tools, data quality and address-verification software, location intelligence tools, and the cloud-based Data Integrity Suite. The product pages on Precisely’s support site still show earlier product names, for example Connect CDC (formerly MIMIX Share), Connect CDC (formerly SQData) and the Syncsort-branded Syncsort MFX and Syncsort Capacity Management.[11][12][13] Licensing is not uniform across them, but one master agreement, the Products and Services End User License Agreement, sits over most Orders and defines the metrics that Orders draw on.[1]

The licensor is Precisely Software Incorporated or its Affiliate identified on an Order. The agreement applies to an Order that references it, whether the Order is a signed document, an online acceptance or a Precisely quotation accepted by a purchase order that cites it; the version in force on the Order’s Effective Date governs, and new versions apply only to later Orders.[1]

Editions

Precisely does not publish editions in a price list. The relevant structure is the type of licence and the delivery model, both fixed by the Order.

Licence types. Subscription licences are for a limited duration and include Support. Term licences are for a limited duration and do not include Support, which must be purchased separately. Perpetual licences relate only to On-Premises Software, last indefinitely and do not include Support; a perpetual grant must be explicitly stated in the Order, and if no type is specified a term licence is presumed.[1] See Subscription, term and perpetual licences.

Delivery models. Software is either On-Premises Software, installed by the customer on its own systems, or Hosted Software, hosted by Precisely, including branded software-as-a-service offerings.[1] The Data Integrity Suite adds a hybrid type, for products with both aspects or a choice of where to install.[3] Data Products, such as postal, census, geographic and demographic data files, are licensed alongside the software and may carry their own terms.[1]

Metrics

Schedule 2 of the Products and Services EULA is the metric glossary, and Orders that use the defined terms import these meanings.[1]

Site (Installation Site) Installation location, generally the customer system’s address 
Transaction (Allotment unit) The quantity unit in an Order: records, users, cores, LPARs and others 

The Data Integrity Suite uses its own metrics, defined in the Foundation Service Description: Technical assets stored, Data volume replicated, Data volume processed, Address lookups, Records returned, Observed columns and Credit (Data Integrity Suite and Developer API).[3]

Counting / floors

Quantities come from the Order. Unless the Order says otherwise, fees are based on the products purchased and not actual usage, payment obligations are non-cancelable and fees non-refundable, and quantities purchased cannot be decreased during the subscription term.[1] For allotment-based products, the allotment may be used at any time in each twelve-month period of the Term and unused Transactions do not carry over to the next twelve months.[1] Use above the purchased allotment is paid at the Order’s rates or, if none, standard rates as invoiced.[1] See Excess use at Order or standard rates.

One floor is published for the Data Integrity Suite: Foundation includes 10,000 technical assets, plus any additional assets on the Order.[3]

Virtualization & partitioning

Where an Order specifies On-Premises Software, the agreement addresses virtual environments directly: if the software is installed in a virtual environment, the customer must license the entire number of the applicable licence metric within the environment that may be allocated or used, in whole or in any part, to access the software.[1] The 2021 EULA uses nearly the same wording and defines Processor Cores by reference to the computer or virtual environment.[2] In practice this is a capacity-based rule: a VM or LPAR that can draw on a host’s cores must be licensed for all cores it can use, not only those it normally uses. The Site clause adds that software may be installed only at the Site named in the Order and may not be moved to another location, including from on-premises to cloud, without prior written consent.[1] See Core (processor core), LPAR and Site (Installation Site).

Cloud / BYOL

Hosted Software is licensed as a subscription for the customer’s internal business operations, and Precisely may change its hosting provider provided the change has no material adverse effect.[1] Customers may not upload HIPAA data unless a business associate agreement is signed, or payment card data, to the hosted service.[1] A customer moving On-Premises Software to infrastructure it rents from a cloud provider is subject to the Site and Licensed Platform clauses, not a bring-your-own-licence programme; no such programme is described in the documents reviewed.

Programs

Audits and compliance

The current agreement allows Precisely or a designated third party to verify compliance during the Term and for six months after, on ten days’ written notice, no more than once in any twelve months and during normal business hours. If verification shows use beyond what is authorised, the customer pays the charges for the excess use and Precisely’s reasonable verification costs.[1] The 2021 EULA extends the look-back to one year after the end of the term, covers all locations and environments including records, reports and scripts, and says the products may contain a self-audit and phone-home capability that reports the Use Code and the number of users or objects audited.[2] Use Codes also let Precisely block use beyond the term or licence metric.[1]

Licence keys are mostly obtained through a support case. Support pages for Ironstream Hub, Spectrum Technology Platform, Connect CDC and others state that they do not offer self-service licence keys and direct customers to raise a case through the customer or partner portal.[8][7] A Spectrum key must be installed within 45 days of receipt.[7]
