The Precisely Data Integrity Suite is the company’s cloud-oriented platform for data governance, integration, quality, geo addressing, enrichment and observability. Its commercial documents are separate from those for installed software: a Subscription Agreement, a set of Service Descriptions and a “DI Suite Information” page at precisely.com/dis-terms, which the agreement defines as including the data protection and security addenda, service descriptions and support terms.[2] Customers buy licences with an ordering document, generally a Precisely quotation coupled with a purchase order, and unless an Order says otherwise the licences are term-based subscription licences with support included.[1]
Editions
Foundation. Foundation is required for all other Data Integrity Suite services and may appear on quotations as a “Data Integrity Suite” line with the environment and hosting region. It provides connectors, execution agents that run and monitor processes across cloud, hybrid and on-premises, a metadata catalog with search and lineage, workflow, APIs, security (authentication, SSO and compliance) and AI capabilities.[1] See Data Integrity Suite Foundation.
Services. The optional services in the Foundation Service Description are Data Governance, Data Integration, Data Quality, Geo Addressing and Data Enrichment, with Data Observability and Advanced Connectivity as add-ons to other services.[1] The catalog rows are Data Integrity Suite Data Governance, Data Integrity Suite Data Integration, Data Integrity Suite Data Quality, Data Integrity Suite Geo Addressing and Developer APIs, Data Integrity Suite Data Observability and Data Integrity Suite Data Enrichment. A Data Graph service also exists, with required flow-down terms for third-party data such as Data Link for Dun and Bradstreet, Places, Property Attributes and PSYTE Geodemographics.[1]
Product types. Order documents generally designate each product as Hosted (Precisely hosts it, sometimes labelled SaaS), On-Premises (installed on customer-controlled systems, sometimes labelled Subscription) or Hybrid (aspects of both, or an option of either).[1] The service description to apply is the one in force on the Start Date of the licence in the Order; new versions apply only to subsequent Orders.[1]

The Foundation description lists the allotment metric for each service.[1]

Earlier service descriptions use different wording. The Data Governance description (08-2022) says the service will generally be limited by the number of Content Contributor Users, being users who can create and edit assets, workflow configuration, dashboards and relationships and resolve workflow items, and sets a maximum of 8 million Assets during the Term, where an Asset is a physical record in a table across Business Asset, Technical, Diagram Asset, Models, Policies, Rules and Reference Asset classes.[3] The Data Observability description (08-2022) bases the allotment on observed columns, while the December 2025 Foundation description prices the service as a percentage of other services spend.[6][1] The Data Quality description (04-2023) says only that the service will generally be based on a specified volume of usage during a certain period.[5] Because the service description in force on the Start Date applies, the older description can still govern a renewed or earlier Order. The Developer API Services (Geocode, Enhanced Geocode, Reverse Geocode, Verify, Address Autocomplete, Autocomplete Postal-City, Bulk Geo Addressing, ID Lookup, Time Zone, GeoTAX, Email Verification and Phone Verification) are based on the number of Transactions processed in a given period.[7] Some services are priced in credits: a Credit is a pre-purchased unit in an Order, consumed at a rate stated in the relevant Service Description, for example credits per record returned for Data Graph, and credits can generally be used for any suite service that allows them, subject to the Order.[1] See Credit (Data Integrity Suite and Developer API).
Counting / floors
Flexible Usage Pricing Model. Each Order reflects the allotment metric for the service, called the Purchased Allotment. Purchased Allotments may be used at any time during each twelve-month period of the Term, and unused allotment may not be carried into the next twelve-month period unless the Order says so.[1] A customer needing more can exceed the allotment at any time by paying the contracted rate for the excess, called Flex Usage, with quarterly invoices for the prior quarter’s Flex Usage where applicable.[1] See Flex Usage (Data Integrity Suite).
Whose count is right. Usage volumes are based on Precisely’s system of record, billing reflects actual usage tracked by its metering tools, and customers are responsible for monitoring their own usage through the product dashboard and automated alerts.[1] A customer therefore has no contractual right to substitute its own counts for the metered figure; alerts and dashboards are the practical control. The master agreement also lets Precisely collect telemetry to bill usage-based fees.[9] See Billing reflects Precisely’s metering, not the customer’s own counts.
Fees and cancellation. The Subscription Agreement, being the version 1.5 text, makes fees non-cancelable and non-refundable and fixes quantities for the term unless the Order says otherwise, and each Order renews for twelve months unless notice is given thirty days before the end of the Term.[2] Floors specific to the suite are the 10,000 technical assets included in Foundation and the 8 million Asset maximum for Data Governance.[1][3]
Virtualization & partitioning
Because most services are hosted, partitioning rules are limited. Two matter for hybrid and on-premises components. The Data Integration service defines Cluster, Instance, LPAR and MSU, in line with Schedule 2 of the master agreement, and supports replication from Db2 for IBM i, Db2 for z/OS and Oracle sources to Kafka targets, with design and monitoring in the cloud while sensitive data never leaves the customer environment.[4] Execution agents that run processes on-premises are part of Foundation.[1] The terms do not say how agent hosts count towards any metric, so the allotment metric, not the number of agents, is the licensing unit. Cloud / BYOL
Hosted products are provided under the SLA, and Precisely may change the hosting provider if there is no material adverse effect.[2] The customer remains responsible for Users, credentials and backups, and may not upload Prohibited Data such as HIPAA data without a business associate agreement or payment card data.[2] After a hosted subscription ends the customer can download its data and Data Output for fourteen days.[2] The Foundation description also carries flow-down terms required by third-party data suppliers, so third-party data used through Data Graph is subject to those suppliers’ terms in addition to the suite terms.[1]
Programs
- Flex Usage (Data Integrity Suite): usage above the Purchased Allotment is charged at the contracted rate.
- Developer API credits and top-up billing: the developer API service uses Credits purchased for a Billing Period; unused Credits do not carry over, and if an Allotment is exhausted a new one is billed automatically, pro-rated to the end of the Billing Period.[8] The Client Portal records Transactions and Credits used, and monthly fees can change on thirty days’ notice, with any increase effective from the start of the next Term for the Plan.[8]
- Evaluation and trial licences: the Subscription Agreement notes that evaluation, trial or proof-of-concept use is governed by a separate Evaluation Agreement.[2]
- Automatic twelve-month renewal: twelve-month renewals unless 30 days’ notice is given.
Audits and compliance
Verification, telemetry and suspension work as under the master agreement: ten days’ notice, no more than once per twelve months, during the Term and six months after, with excess use and verification costs payable.[2] For hosted services the more relevant control is internal: monitor dashboards and alerts against each Purchased Allotment and reconcile quarterly Flex Usage invoices to the metering, remembering that the usage figures are those of Precisely’s system of record.[1]
A useful inventory for a licensed estate lists, per Order: the Foundation environment and hosting region, the Start Date and applicable Service Description version, the allotment per service, the number of Content Contributor Users for Data Governance, credit balances, any Advanced Connectivity connectors and the product type of each line.
Out of scope
