Perplexity Terms of Service, API Terms and Enterprise Terms

This article is about the three contracts that govern Perplexity products: the consumer Terms of Service, the API Terms of Service and the Enterprise Terms and Conditions. It summarizes licence grants, fees, content and training rights, indemnities, liability and termination. It is not legal advice and does not cover the privacy notice or the Data Processing Addendum text.

On This Page

Perplexity AI, Inc. uses three main contracts, and which one applies depends on the product and the buyer. The consumer Terms of Service cover the websites, the Perplexity engine and the mobile app, and expressly exclude the company’s APIs, which are governed by the API Terms of Service.[1] The API Terms apply to API customers only and exclude Enterprise Pro and the website.[2] The Enterprise Terms and Conditions apply to Perplexity’s enterprise products and services described on its enterprise page, except where a product has its own terms, such as the Enterprise Comet-Specific Terms and Enterprise Agentic-Specific Terms, which control for that product.[3] This article compares the three on the points that matter to licence and contract managers. The consumer terms were last updated on January 23, 2026, the API Terms on January 23, 2026 and the Enterprise Terms on August 3, 2026.[1][2][3]

Consumer Terms of Service

Licence grant and scope. Perplexity permits use of the Services for personal, non-commercial use only, with a personal, non-assignable, non-sublicensable and non-exclusive right to access and display provided software and content and to download a single copy of the app.[1] Section 5.2 lists restrictions, including bans on reverse engineering, on using bots or unauthorized software, on exploiting the Services for any commercial purpose, and on using robots, spiders, crawlers or scrapers to extract information from the Services.[1] Users must be 13 or older, and minors under the age of majority need a parent or guardian to accept the terms.[1]

Subscriptions and fees. Paid services are payable in U.S. dollars. Recurring subscriptions renew automatically at the frequency shown on the subscription page and at the then-current rate, and the user must cancel before the renewal date.[1] Perplexity reserves the right to change subscription plans or pricing in its sole discretion, with price changes taking effect after reasonable notice.[1] Payments are nonrefundable except as stated in the terms or in country-specific billing pages, with no credit for partially used periods.[1] The help center’s refund article sets region-dependent windows: 14 days for EU, UK and Turkey customers, 7 days for South Korea and Brazil, and for other customers 24 hours for monthly and 72 hours for annual subscriptions.[4] Free trials may require a credit card, which is not charged until the trial expires, after which the then-current price applies.[1] Cancellation is made on the platform where the plan was bought.[5]

Content. Perplexity says it does not claim ownership of Your Content, but the user grants a royalty-free, transferable, sub-licensable, worldwide licence to access, use, host, cache, store, reproduce, transmit, display, publish, distribute and modify it to operate, improve, promote and provide the Services.[1] The terms also state that use of the engine and its Outputs may be subject to a third-party LLM licence.[1]

Disputes. Section 9 requires an informal 30-day process, then final and binding individual arbitration administered by JAMS, with a class action waiver. Small claims, injunctive relief and intellectual property claims are excluded from arbitration.[1] A user may opt out of arbitration by written notice within 30 days of first registering or agreeing to the terms.[1] The terms are governed by California law.[1]

API Terms of Service

The API Terms govern the Sonar by Perplexity and Agentic Research API services and state that they apply to API customers only.[2]

Licence grant. On a non-exclusive, non-sublicensable and non-transferable basis, the customer may use the API documentation to build and maintain the integration, use the services and API keys solely to submit input and receive and display output solely within its Customer Applications, and use the API Platform as needed to manage payment.[2] Each API key is Perplexity’s Confidential Information.[2]

Controls on applications. Customers must follow the Acceptable Use Policy, which is incorporated by reference and can be updated, with updates effective when the customer is notified or becomes aware.[2] Perplexity may terminate the licence for a Customer Application and deactivate its keys if it judges the application unlawful, inconsistent with the AUP or documentation, interfering with the service, competitive with Perplexity, or likely to damage its reputation.[2] Third-party model terms listed on Perplexity’s Third-Party Models and Terms List also apply, and Perplexity may update the list.[2] Perplexity may impose request, token or bandwidth limits and throttle, queue or suspend calls.[2]

Fees. Fees are in U.S. dollars at the rates on the pricing documentation, charged automatically to the payment information provided, with a late fee of 1.5% per month or the legal maximum, and are nonrefundable unless the terms state otherwise.[2]

Content. The customer retains ownership of input and owns output to the extent permitted by law, and Perplexity shall not use customer content to train, retrain, fine-tune or improve generative AI models.[2] Customers acknowledge that output may not be unique.[2]

Enterprise Terms and Conditions

Licence grant and users. The customer may use the services on a non-exclusive, non-sublicensable and non-transferable basis for its business purposes during the term.[3] Perplexity enables accounts equal to the minimum number of seats in the ordering documentation or on the organization’s account details page, and Authorized Users may not make their accounts accessible to other personnel or third parties.[3] The customer must make sure users understand that their inputs and outputs may be subject to review by the customer.[3]

Content, training and similarity. The customer retains ownership of input and owns output, Perplexity asserts no ownership of output, and Perplexity shall not use customer content to train, retrain, fine-tune or otherwise improve generative AI models.[3] The customer waives claims that another user’s output is not unique.[3] The help center restates that organization data is never used to train or fine-tune Perplexity’s models and that its agreements with third-party model providers prevent training on Perplexity data.[6]

Fees. Fees are in U.S. dollars as set out in ordering documentation and at the organization’s account page, with automatic charging, a 1.5% monthly late fee, and nonrefundable payments except where stated. Usage-based fees, rates, metrics and thresholds are denoted in the applicable Order Form.[3] Fee changes need written notice and take effect only from the next billing period; seat increases are prorated and immediate, and decreases take effect at the start of the next renewal term without refund or credit.[3]

Third-party models and data providers. The customer must comply with third-party model terms to the extent applicable. Perplexity may update the list, updates take effect when the customer is notified or becomes aware, and a customer that disagrees has as sole recourse to stop using the relevant model.[3]

Warranty and indemnity. Perplexity indemnifies the customer against third-party claims alleging that the services or outputs infringe intellectual property rights, with exclusions that include combinations, insufficient rights in input, the customer’s specific use of output, third-party data providers, use after notice of a claim, use outside documentation, and use on a free trial or other no-fee basis.[3] If a claim is likely, Perplexity may procure the right to continue, modify the service, or terminate and refund prepaid amounts for unused services.[3] The customer indemnifies Perplexity for misuse, customer content and gross negligence or willful misconduct.[3]

Liability, term and law. Aggregate liability of Perplexity is capped at amounts paid in the 12 months before the event, with carve-outs for willful misconduct, breaches of the AUP, third-party data provider and third-party model provisions, and indemnities.[3] The agreement continues until terminated; Perplexity may terminate on 30 days’ notice but not before prepaid periods end, and deletion of the customer’s account with ceasing of all access is deemed termination.[3] The agreement is governed by California law with exclusive jurisdiction in the state and federal courts in San Francisco County.[3] Perplexity may update the agreement with effect on notice, and continued use after notice is acceptance.[3]

Other clauses. Protected health information may not be processed without a Business Associate Agreement.[3] Perplexity may use aggregated Usage Data for any lawful purpose, may share information the customer provides with marketing partners for the stated marketing services, and may display the customer’s name and logos unless the customer opts out by email.[3] Feedback is assigned to Perplexity.[3] Beta services and free trials are provided as is and carry no indemnity.[3]

Metrics

The contracts define seats and fees differently. The Enterprise Terms count Authorized Users against the seats in the ordering documentation, and the Enterprise seat mechanics are summarized in the plans article. The API Terms refer to fees at the pricing documentation, so the API credit and per-unit rates in the API article are the commercial reference.[2][7]

Counting / floors

Not applicable in the contracts beyond the seat and fee clauses above. The 50-seat and Enterprise Max thresholds for advanced security features appear in help center pages, not in the Enterprise Terms, and are covered in the security article.

Virtualization & partitioning

Not applicable. None of the three contracts defines devices, hosts or virtual machines. Account sharing restrictions are the closest equivalent.[3]

Cloud / BYOL

Not applicable.

Programs

Premium security feature eligibility is a policy in help documentation, not a contract clause: Premium security features access.

Practical notes for licence managers

  • A business user on a personal account is under the consumer terms, which allow personal, non-commercial use and license user content to Perplexity for improving the Services, whereas an organization on Enterprise terms gets a training prohibition and an IP indemnity.[1][3]
  • Order Forms and product-specific terms can override the base Enterprise Terms, so negotiated contracts should be read together with the posted terms.[3]
  • Posted terms can change on notice, and the Enterprise Terms say continued use after notice is acceptance.[3]

Out of scope

This article does not cover the Acceptable Use Policy, the Data Processing Addendum, the privacy notice, the Enterprise Comet-Specific Terms or Enterprise Agentic-Specific Terms, the shopping terms in the consumer agreement, or terms of third-party model providers.
