NinjaOne Backup licensing

This article is about licensing NinjaOne Backup: Device Backup for workstations and servers, and SaaS Backup (from the Dropsuite acquisition) for Microsoft 365, Google Workspace and Microsoft Entra. For the platform as a whole see NinjaOne licensing. It is not legal advice.

NinjaOne Backup is the name NinjaOne uses for two backup products sold on its platform: Device Backup, which covers Windows and macOS workstations and servers, and SaaS Backup, which covers Microsoft 365, Google Workspace and Microsoft Entra.[10] The two products are licensed differently. Device Backup follows the platform’s per-device model, and the cloud storage it uses is also billed.[7][8] SaaS Backup came into NinjaOne through the acquisition of Dropsuite, completed on 2025-06-02 for about USD 270 million. It is sold per seat and has its own Fair Use Policy.[9][1]

The NinjaOne EULA covers both products. Section 14.3 makes SaaS Backup use “subject to NinjaOne’s Fair Use Policy” and provides that, for SaaS Backup, the Fair Use Policy controls where it conflicts with the EULA.[2] See SaaS Backup Fair Use Policy controls over the EULA.

The SaaS Backup glossary defines a Plan as “The group of NinjaOne Backup services you purchase, such as Backup or Backup +Archiver”.[3] The plans differ in retention and in compliance features:

  • Backup-type subscriptions offer retention of 14 months, 4 years, 7 years or never delete.[5]
  • Archiver-type subscriptions allow custom retention for email and SharePoint data, from 30 days to 11 years or unlimited.[5]
  • The FINRA WORM storage toggle in the partner portal “is only available for the Archiver SKU”. Both SKUs use logical WORM storage. Once FINRA WORM is activated it cannot be undone.[6]

When no retention period is set, the default is unlimited: “By default, we offer unlimited data retention and storage.”[5] Unlimited storage is still subject to the aggregate allowance in the Fair Use Policy, described below.

For Device Backup, NinjaOne announced on 2026-04-21 that long-term image backup retention of up to 10 years was available.[10]

Metrics

Device Backup

Device Backup is sold with “flexible, pay-per-device pricing” and monthly payment plans. No public rates are published.[8] The Device metric is the same one used across the platform. Cloud storage is a second billed quantity. The Device Backup FAQ includes the question “How can I delete data that I no longer need from my backup storage to ensure I don’t get billed for it?”, and its answer points to the per-device Manage view.[7] The catalog records this as Device Backup cloud storage. No public rate per GB or TB is published.

Cloud backup data is stored on AWS. The storage region is chosen per account and instance: EU instance customers choose among Frankfurt, Stockholm, Ireland, Zurich, London and Paris, and US instance customers among Oregon, Virginia, Ohio and Canada. The region cannot be changed after configuration.[7] “Cloud and NAS storage options are available for NinjaOne Device Backup.”[7]

SaaS Backup seat

A SaaS Backup seat is a licensed user: “Seats represent the individual users you have licensed in NinjaOne SaaS Backup.”[3] The Fair Use Policy says the services “are offered on a seat-based commercial model”.[1] The Microsoft 365 backup administrator account does not use a seat: “The account does not require a license.”[5]

Aggregate storage allowance

The SaaS Backup aggregate storage allowance works as follows. “Each paid seat includes an allowance of up to 250 GB of storage”, and “The Customer’s total storage allowance is calculated as: Total Paid Seats × 250 GB”.[1] The policy gives an example: 100 paid seats allow 25 TB in total, and a customer storing more than that is out of compliance.[1]

Counting / floors

Seat counting and Auto-Licensing

Seats are managed per organization in the SaaS Backup Partner Portal. With Auto-Licensing enabled, “the number of licenses for an organization will adjust up or down depending on what is needed in order to back up all users”. When Autodiscover is also on, NinjaOne scans the environment daily and adds new mailboxes to the backup, so they are detected, added and licensed with no manual step.[4] NinjaOne’s own example is an organization with 10 seats that adds 5 mailboxes and gains 5 seats; when mailboxes are removed, seats are reduced.[4] AD Group filtering can restrict Autodiscover to the members of one group. Auto-Licensing makes the seat count follow the tenant, which also lets seat charges grow without a purchase decision. A licence manager can review the Autodiscover exclusion list and the AD group scope to keep the count to the mailboxes that need protection.

Storage aggregation

Storage is not capped for any single user, organization or tenant: “Storage is not capped per organization.”[1] Compliance is checked across the whole Customer:

  • For an MSP, “the MSP is the Customer for purposes of storage calculation, compliance, and enforcement”, whether it buys from NinjaOne directly or through a distributor.[1]
  • A direct customer’s organizations, tenants, instances, environments and business units are “aggregated and treated as a single Customer”.[1]
  • Affiliates, subsidiaries and parents using the services “under the same commercial relationship or billing arrangement” are included.[1]

As a result, one large tenant can use up the allowance earned by the seats of many small tenants. The test is whether total stored data exceeds total paid seats times 250 GB. Monitoring and non-compliance

NinjaOne “may monitor seat counts, storage consumption, and usage patterns” and may rely on system-reported metrics. Customers may not manipulate seat purchases, cancellations, reallocations or account structures to inflate the allowance. NinjaOne may ignore “temporary, artificial, or non-ordinary seat fluctuations”.[1] If a customer is out of compliance, NinjaOne may require it to buy more seats or reduce stored data, move it to another pricing or storage model, limit storage, suspend access, or terminate the services.[1] NinjaOne may also charge for past overuse: it “may invoice the Customer for additional seat licenses corresponding to historical excess storage usage”.[1] See Excess SaaS Backup storage may be invoiced as extra seats.

The policy can change “from time to time”. Continued use after the effective date counts as acceptance, and a customer that disagrees can only stop using the services, with no right to terminate the underlying agreement.[1]

Virtualization & partitioning

Neither the Fair Use Policy nor the Device Backup documents set a separate rule for virtual machines. Device Backup is counted per device like the rest of the platform.[8] Bare-metal restore to servers hosted in Azure is a technical limitation, not a licensing rule.[7]

Cloud / BYOL

SaaS Backup protects data in third-party SaaS services. It needs no additional Microsoft licence for the backup administrator account, which only has to be a global administrator.[5] There is no bring-your-own-licence or bring-your-own-storage option in the public SaaS Backup documents. Device Backup can write to network (NAS) storage as well as to the NinjaOne cloud on AWS.[7]

Exit and deletion

When the EULA or the Order Form ends, the customer has 45 days to use the backup product’s standard functionality to access and export backup data. Transition help, bulk extraction or custom export must be requested in writing before the end date. NinjaOne decides whether to provide it, and it may carry fees for storage, transfer, egress, restoration and third-party cloud charges.[2] After the 45 days NinjaOne may delete the data.[2] Within Device Backup, cloud backups can be deleted only through retention settings or a customer delete request. Deletion requires multi-factor authentication, and NinjaOne holds the data for 3 days before removing it permanently.[7]
