GoGuardian Product Terms and EULA

This article is about the contract documents that govern GoGuardian and Pear Deck Learning subscriptions: the combined Terms of Service and End User License Agreement and its supplements. It is not about the separate website terms or the privacy practices of the products.

On This Page

The GoGuardian Product Terms are a single contract, titled the Liminex Products Terms of Service and End User License Agreement, that governs a school’s use of GoGuardian and Pear Deck Learning products. It is a binding contract between the School and Liminex, Inc. doing business as GoGuardian and Pear Deck Learning, acting for itself and its Affiliates, and it is distinct from the Website Terms of Service.[1] Together with the applicable Order Form, the Product Privacy Policy and, if applicable, the Data Processing Addendum and the Professional Services Addendum, it forms “the Agreement”. The School accepts by clicking “I agree”, executing an Order Form that references the terms, completing registration, or installing or using any Offering; the date of that action is the Effective Date.[1]

Editions

GoGuardian uses one master document and several supplements, which the Product Terms call Supplemental Terms. Where a Supplemental Term is inconsistent with the Product Terms, the Supplemental Terms control for the Offerings to which they apply.[1]

Product Terms and EULA 2026-05-08 All Offerings: ordering, licence, payment, term, liability, disputes[1]
Beacon Review Services Supplemental Terms 2025-01-08 Optional screening of Active Planning alerts and telephone escalation[2]

The Product Terms also state that the use of some Offerings may be subject to additional terms listed in the agreement, an Order Form or presented for acceptance at sign-up.[1]

Metrics

Licensed Capacity and Add-Ons

The Product Terms define a Subscription as a time-limited right to access and use one or more licences to an Offering, and Licensed Capacity as the number of licences covered during a Subscription Term, such as the number of accounts, authorized devices, installations or seats, depending on the Offering and licensing model on the Order Form.[1] An Add-On is any additional licence beyond the original Licensed Capacity that the parties agree to add during a term.[1] See Licensed Capacity.

Managed Devices, Authorized Users and Accounts

A Managed Device or Account is a device or account of a student or user on which the School deploys an Offering. An Authorized User is an individual the School has authorized to use an Offering and for whom it has purchased or provisioned a Subscription; the definition expressly includes students and parents or guardians as well as school personnel.[1] The School may enable separate sub-accounts for Authorized Users and is responsible for issuing and maintaining them.[1] See Managed Device or Account.

Counting / floors

The counting rule is contractual rather than technical. If a School wants more licences than its Licensed Capacity, it should ask for an Order Form for Add-Ons; if it deploys more without asking, GoGuardian or the Authorized Reseller will send an Order Form and invoice the Add-Ons used above capacity. Add-Ons, once deployed and paid, roll into the base Subscription.[1]

The School’s data duties support the count. It agrees to provide true, accurate, current and complete information to create the Account and deploy Offerings, including the number of devices and number of students in its School Profile Information, and to keep it updated during the term. The terms add that proper operation of some Offerings depends on the accuracy of student, parent and association data.[1] The terms do not give GoGuardian an express audit right; they do let it suspend access if it has reasonable grounds to suspect that account information is untrue, inaccurate, not current or incomplete.[1]

No floors are stated. Pricing is customized by enrollment, bundles, contract length and professional services.[6]

Virtualization & partitioning

The agreement does not address virtualization. Its structural limits are different: the licence is for the School’s internal business purposes only, the School may not provide access to any third party other than Authorized Users, and School Affiliates named on an Order Form are bound by the terms as if they were parties.[1] Restrictions include no reverse engineering, no scraping, no building a competing product, and no monitoring of availability, performance or benchmarking without GoGuardian’s prior written permission. Any unauthorized use of an Offering terminates the right to use all Offerings.[1]

Cloud / BYOL

Offerings are delivered as subscriptions with updates installed automatically; GoGuardian may add updates, upgrades and new features without advance notice, and its obligation to support earlier versions may end when it releases one.[1] For Offerings obtained through the Apple App Store, Google Play Store or Microsoft Store, availability depends on the store, and the terms include Apple-specific provisions that make Apple a third-party beneficiary of the licence.[1] Purchases can be made through an Authorized Reseller, in which case the Order Form is with the reseller, payment terms are agreed with it, and the reseller cannot give warranties beyond those in the Product Terms.[1]

Programs

Free or trial Offerings are subject to the terms but may be discontinued at any time without notice, are provided “AS IS”, and carry no liability for harm. Beta Offerings, including anything labeled alpha, beta or test in the interface, add a duty to treat the feature as GoGuardian’s Confidential Information and give feedback on request. A free or trial Offering can continue on a paid basis only with a completed Order Form and payment.[1] See Free, trial and beta Offerings.

The Professional Services Addendum treats purchased services as Offerings. They are valid for one year from the Start Date, and unused services expire with no refund. Virtual sessions must be booked at least 72 hours ahead and cancelled at least 24 hours ahead, or they are deducted without refund, and the School must obtain licences for the relevant Offerings before services begin.[3]

The Beacon Review Services Supplemental Terms apply only if the School is an active Beacon subscriber. GoGuardian personnel review only alerts in the Active Planning category, and only during the Active Service Periods that the School sets through its escalation list. Either party may terminate the Services on 15 days’ written notice unless the Order Form says otherwise.[2]

Payment, term and exit

Fees are set in the Order Form. Directly purchased Subscriptions are payable within 30 days of invoice and, unless the Order Form says otherwise, in advance of each billing period. Payment obligations are non-cancelable and fees non-refundable, and on cancellation the School remains responsible for all fees allocable to the terminated portion of the Subscription Term. GoGuardian may raise fees specified in an Order Form on notice, effective at the end of the current term, and may raise unspecified fees at any time. Unpaid fees lead to suspension.[1]

The Agreement runs until all Order Forms and Subscription Terms expire. Either party may terminate on 30 days’ written notice or for uncured material breach after 30 days. The School is released from fees for the unused term only if it terminates for GoGuardian’s uncured breach or GoGuardian terminates without cause.[1] On termination the School must stop using the Offerings and uninstall downloaded or copied versions. The terms do not describe an automatic-renewal mechanism: the “Subscription Term” includes any renewal term under the same or another Order Form, so renewal terms live in the Order Form.[1]

Liability, warranty and indemnity

GoGuardian provides the Offerings with commercially reasonable skill and care but “as-is” and “as-available”, disclaims implied warranties, and limits any warranty that applicable law requires to 90 days from first use. Its aggregate liability is capped at the fees actually paid for the Offering giving rise to the claim for the calendar year in which the claim arose.[1] The School agrees, to the extent permitted by applicable law and, in the United States, its state’s laws, to indemnify GoGuardian for losses arising from failure to obtain monitoring consents, errors in account information, its handling of alerts, its legal non-compliance and its content.[1] The School also acknowledges that it is solely responsible for legal duties to protect student well-being and that the Offerings are tools within a broader program.[1]

Disputes, changes and notices

California law governs. Claims must first be notified and negotiated for 30 days, after which they go to binding arbitration in Los Angeles, with a class-action waiver; a United States public and accredited school in a state that requires a different location may use it.[1] GoGuardian may make non-material changes, or changes that expand its obligations or reduce the School’s, immediately; other changes need notice posted with a “Last Updated” date plus a further notification step, and continued use after the change is acceptance.[1] The School may not assign the Agreement without GoGuardian’s consent, GoGuardian rejects conflicting terms in purchase orders, and GoGuardian may publicly name the School as a customer.[1]

Out of scope

This article does not cover the Product Privacy Policy, the Website Terms, the COPPA disclosure, or the Data Processing Addendum beyond noting that the addendum applies to schools in the EU, EEA, Switzerland and the UK.[5] It does not cover individual Order Forms, which are not public.
