Corel software is licensed under two families of contract. The Corel End User License Agreement (EULA) covers individual end users, and the Business User License Agreement (BULA) covers businesses, government agencies, nonprofits and academic institutions.[1][2] Both are contracts with Corel Corporation, and each pairs General Terms, which apply to all software, with Specific Terms for particular products; where they conflict, the Specific Terms govern.[1][2] This article gives the structure and the main counting rules. Which agreement applies
The EULA states that if a version of the software is licensed under the BULA, the BULA governs instead, and that the licence certificate or licence key details show which applies.[1] The BULA defines “You” as a business customer, meaning a business, government agency, nonprofit organisation, academic institution or other group or entity, together with its Users.[2]
Products covered by the retail Specific Terms include CorelDRAW Graphics Suite, CorelDRAW Standard, CorelDRAW Technical Suite, Painter, PaintShop Pro, ParticleShop, AfterShot Pro, Photo Video Bundle, WordPerfect Office, CorelDRAW.APP, Corel PDF Fusion, VideoStudio, WinDVD, Roxio Creator and Roxio Toast.[1] MindManager and WinZip have separate Specific Terms and are outside this article.[1]
Licence types
Software is licensed, not sold. Depending on the software, a licence may be a Subscription License (a limited fixed term) or a Perpetual License, and software pre-installed or sold with a device may be licensed as an OEM License.[1] A Perpetual License covers only the version for which it was obtained, and an OEM License only the version bundled with the device.[1] Under the BULA, a Perpetual License covers only the version on the License Certificate unless a Support Agreement allows downgrades or upgrades.[2]
Subscription Licenses renew automatically for the term on the License Certificate and are charged or invoiced unless the customer gives notice at least 30 days before expiry. All amounts are non-refundable without prejudice to mandatory law, and Corel may change renewal fees on 30 days’ notice, with no increase during a term.[1]
Counting under the EULA
Counting is by device. For CorelDRAW Graphics Suite, Essentials, Standard, Technical Suite, Painter, PaintShop Pro, WordPerfect Office and related products, a licence allows one original copy to be installed on up to two Devices under the licensee’s control, but used on only one Device at a time.[3] For VideoStudio, PDF Fusion, WinDVD, MultiCam, Roxio and related products, the limit is one Device.[3] The Device (two-device licence) and Device (single-device licence) metrics record these. CorelDRAW Go and CorelDRAW Web subscriptions are instead usable simultaneously on up to three Devices.[3]
The EULA does not permit installation on hardware partitions, blades or terminal servers, or in virtual private network environments, without a separate licence agreement, and an entity may hold at most five Licenses per product; more than five requires the business edition under the BULA where available.[3] Academic versions cannot be used for commercial, professional or other for-profit purposes, and OEM versions are tied to the OEM device and receive no updates, upgrades or support.[3]
Counting under the BULA
The BULA Specific Terms define a Managed Device as a physical or virtual device under the customer’s control that can run the software and on which the customer directly controls an operating system environment, and licence it either “Per Managed Device” or “Per Virtualization Environment”.[4] A Per Managed Device licence allows any number of Users sequentially on one device, whereas Per Virtualization Environment is a named-User licence and each User needs a separate licence.[4] A User who works both locally and through virtualization needs a licence for each access method.[4] These models are described in the business article. Customers holding only Perpetual Licenses who want to use virtualization must first buy Support Services for all of them.[4]
Maintenance and programmes
Perpetual Licenses under the BULA must be bought with a fixed term of maintenance through the CorelSure programme, and Subscription Licenses include it.[4] CorelSure provides upgrades, downgrade rights to any Supported Version (the current and up to two prior versions), centralised deployment with a single licence key, and email support.[5]
Older programme documents remain published on corel.com: the Corel Transactional Licensing programme terms (marked June 2017) and the Corel Graphics Enterprise License Program terms (dated 24-Feb-09).[6][7] The CGEL licenses every Authorized User in an enterprise, with four price levels starting at 250 Authorized Users, while CTL prices licences by the quantity ordered in each transaction.[7][6] The business page offers annual subscription or one-time purchase with one year of maintenance, a seat count of five or more for medium and large enterprises, and special pricing for government agencies, charities, non-profits and educational institutions.[8]
Audit and compliance
The EULA lets Corel audit entities’ records of deployment, installation and use, at any time during the licence term and for two years afterwards, no more than once a year unless unlicensed use is found. Entities must provide raw deployment data and purchase documentation within 30 days of a request, and onsite audits need 30 days’ notice. If unlicensed use exceeds five percent of licensed quantities, the entity reimburses audit costs, and Corel may suspend or disable the software on material noncompliance.[1] The BULA has the same structure.[2] Corel may also remotely monitor usage through a reporting function in the software and requires the customer to keep firewall ports open for it.[1] The CTL document sets a shortfall rate of 110 percent of list price, or 125 percent where use is understated by more than five percent.[6]
Transfer and resale
Licences cannot be transferred or resold without Corel’s written consent, except that EEA users of Perpetual and OEM Licenses have defined resale rights subject to destroying all copies and giving the buyer the information needed to determine proper use.[1] Under the BULA only fully paid Perpetual Licenses with additional paid Support Services may be assigned, in connection with a sale, merger, reorganisation or consolidation.[2]
AI features
Subscribers and maintenance customers of CorelDRAW Graphics Suite receive a monthly allowance of AI credits, while one-time purchasers receive a fixed allotment that does not renew.[9] The EULA prohibits using the software or data derived from it to train AI or machine learning models without Corel’s consent.[1]
