Corel EULA and retail licences

This article is about the Corel End User License Agreement and the Specific Terms for CorelDRAW, Painter, PaintShop Pro, WordPerfect Office, VideoStudio and Roxio products as they apply to individuals and small entities. Business licences are covered in a separate article.

The Corel End User License Agreement (EULA) is a contract between the user and Corel Corporation covering the software, services (including software-as-a-service offerings) and related documentation. It states that the software is licensed, not sold, and that the user receives only the rights granted in the EULA and the applicable License Certificate.[1] “You” means either an individual end user or an entity such as a business, government agency, nonprofit or academic institution that owns, controls or possesses the devices or other Assets on which the software is used.[1] The page states that it was updated on April 1, 2026.[1]

Structure

The EULA has two layers. The General Terms apply to all software; the Specific Terms apply to named products, and in a conflict the Specific Terms govern.[1] A table in the EULA links the CorelDRAW, Painter, PaintShop Pro, WordPerfect, PDF Fusion, VideoStudio, WinDVD and Roxio products to one Specific Terms page, MindManager to another and WinZip to a third.[1] If the software version is licensed under the BULA, that agreement applies instead.[1] The EULA is accepted by clicking “I Accept” or by downloading, installing or using the software, and it contains an arbitration clause and class action waiver.[1]

Licence types

A licence is a Subscription License for a limited fixed term, a Perpetual License where offered, or, for software pre-installed or sold with an original equipment manufacturer device, an OEM License under the product’s Specific Terms.[1] A Perpetual License entitles the user to the version it was obtained for, and an OEM License to the bundled version.[1] A License Certificate or order confirmation from Corel or the reseller states the licence type, subscription term, versions, permitted devices, support and fees, and the licence key.[1]

Restrictions

The General Terms prohibit, among other things, reverse engineering, modification, renting, selling, sublicensing or transferring the software, timesharing, removing notices or defeating copy protection, using the software for purposes other than its intended purpose, benchmarking, and bypassing technological protection measures or licence-key limits.[1] They also prohibit using the software, documentation or derived data to develop, train or improve artificial intelligence or machine learning models without Corel’s prior written consent, and require compliance with Corel’s Acceptable Use Policy.[1] Corel may revise the EULA; changes bind existing customers 30 days after posting unless stated otherwise.[1]

Device counting

The Specific Terms define two retail counting models.

Two installations, one in use. For CorelDRAW Graphics Suite, Essentials, Standard, Technical Suite, Go and Web, AfterShot, CorelCAD, ParticleShop, Painter, PaintShop Pro and WordPerfect Office, a subscription or perpetual licence allows downloading, installing or using one original copy on up to two Devices under the licensee’s control and in its possession, but use on only one Device at a time.[2] The software may not be re-installed on a third Device unless an original Device fails and the software is completely deleted from it; where authorisation codes are needed, customer service may require proof of de-installation.[2] The second Device is not available to residents of Cambodia, China, India, Indonesia, Hong Kong, South Korea, Malaysia, the Philippines, Singapore, Taiwan, Thailand or Vietnam, or to holders of a not-for-resale version.[2] This is the Device (two-device licence) metric.

One installation. Photo Mirage, Photo Video Bundle, PDF Fusion, PDF Document Writer, DVD Copy Plus, VideoStudio, Motion Studio 3D, Pinnacle Studio, WinDVD, MultiCam and Roxio products allow one original copy on no more than one Device, and re-installation on a second Device follows the same failure-and-deletion rule.[2] This is the Device (single-device licence) metric.

Cloud products. Corel Vector, CorelDRAW Go and CorelDRAW Web are SaaS offerings whose Cloud Computing Features may be used simultaneously on up to three Devices with a Subscription License only; the two-device rule does not apply to them.[2] Suspension rights apply for security risks or to protect Corel, its users or the public.[2]

Limits for entities

An entity buying under the EULA may have up to five Licenses for the Software, counted across the whole organisation, where a License is a Subscription License or Perpetual License. Needing more means buying the business edition under the BULA where it exists; the limit does not apply to software with no business edition.[2] An entity holding Perpetual or OEM Licenses that wants to run different upgraded or downgraded versions on its Assets must buy a business edition subscription or perpetual licence with maintenance under the BULA.[2] The EULA does not allow installation on hardware partitions, blades or terminal servers or within internal networks or VPNs, and does not allow access to the software from other computers through a network connection; a separate agreement is needed for virtualization, network connections or volume purchases.[2]

Academic and OEM versions

An Academic Version, labelled as academic, home, home and student, student and teacher or education, may be installed on one Device solely for educational or exclusively private purposes by faculty, staff or degree, diploma or certificate-seeking students at qualified educational institutions, and may not be used for commercial, professional or for-profit purposes. Work product from academic versions may carry notices that make the data unusable outside educational use.[2]

An OEM Version bundled with a third party’s device may not be installed or used on any other Device outside the EEA; the user receives no updates, upgrades or support, and the licence expires when the OEM product stops working.[2] Corel gives no warranty for OEM Licenses used on devices other than the original.[1]

Purchasing, renewal and fees

Fees are published on Corel’s website and may change at any time. Corel or its collection agent charges the payment method unless a reseller was used, and sends a License Certificate or order confirmation. All amounts are non-refundable without prejudice to mandatory law, and Subscription Licenses renew automatically for the term on the License Certificate unless the customer gives notice at least 30 days before expiry.[1] Outside the EEA, customers must acquire licences from authorised resellers or from the store in the country of use, and customers in Cambodia, China, India, Indonesia, Hong Kong, South Korea, Malaysia, the Philippines, Singapore, Taiwan, Thailand and Vietnam may only buy from Corel’s authorised store or listed resellers.[2]

Transfer and resale

Software may not be transferred, sold, rented, leased, resold or loaned without Corel’s prior written consent. EEA users of Perpetual and OEM Licenses are excepted: they may resell the original copy if the software was lawfully put on the market in the EEA by Corel or with its consent, destroy every copy they hold, and give the buyer information needed to determine proper use. A subsequent buyer’s rights are defined and restricted by the EULA.[1] A transfer in violation of these terms is void.[1]

Support, updates and sunsetting

A purchase includes free web-based support and live support on basic installation and configuration during Corel’s business hours, but no support for versions outside the support lifecycle, and Corel may change the scope of free support without notice.[1] Corel may sunset software on written notice: prepaid subscribers are transitioned to substantially similar software by commercially reasonable efforts, no subscription is renewed, and Perpetual License holders may continue using the then-current version indefinitely without support.[1]

Audits, monitoring and enforcement

Entities that obtained or allowed licences on their Assets must keep records of deployment, installation and use. Corel may audit those records at its expense during the term and for two years after, no more than once annually unless an audit reveals unlicensed use, in which case it may verify as often as quarterly for the following year. The entity must provide raw deployment data, purchase documentation and other reasonable information within 30 days; onsite audits need 30 days’ notice. Shortfalls are charged with fees, interest at 1.0 percent per month or the legal maximum, and recovery expenses, and if unlicensed use exceeds five percent of licensed quantities the entity reimburses audit costs.[1] Corel may also monitor usage remotely through a reporting function, and may suspend or disable the software immediately on discovering material noncompliance.[1]

Disputes and law

The EULA is governed by United States federal law and Delaware law. Disputes are settled by binding arbitration before the American Arbitration Association under its Consumer Arbitration Rules, with hearings in Wilmington, Delaware. US residents may opt out in writing within 30 days of accepting the EULA, and claims of infringement of patent, copyright, trademark or trade secret are not subject to arbitration.[1]
