Automation Anywhere Intelligent Automation Agreement and Community Edition

This article covers the contract terms for Automation 360, the Intelligent Automation Agreement effective 2025-02-01 and the Product-Specific Terms, and the free Community Edition with its SaaS Subscription Agreement and usage limits. It is not legal advice.

The Automation Anywhere Intelligent Automation Agreement (IAA) sets the terms on which Automation Anywhere, Inc. and its Affiliates (“AAI”) provide their Software, whether bought directly or through an AAI Authorized Representative. It applies to both AAI-Hosted Software (SaaS in AAI’s cloud) and Customer-Hosted Software (object code run in the customer’s virtual private cloud or own environment), including AI-Enabled Software.[1] The IAA “is effective as of February 1, 2025 and replaces and supersedes the Cloud Automation Agreement version effective as of March 3, 2022, and the On-Premises License Agreement version effective as of February 29, 2024”.[1] Free Community Edition use has its own agreement, a SaaS Subscription Agreement last revised on 2019-04-05.[2]

AI-Enabled Software is “subject to the additional terms and conditions found at” the Product-Specific Terms page.[1]

Metrics

The IAA itself defines no licence units. Rights are granted “in amounts provisioned for Customer by AAI”, meaning the quantities in the Order Form or a reseller’s Purchase Agreement.[1] The units themselves (Bot Creator, Bot Runner, pages, credits) are described in Automation Anywhere licensing. The Process Discovery Terms are the exception: they define the Data Day and the Observer, “the unique combination of machine and username”.[5]

Grant and scope

Section 2.1 grants “a limited, non-exclusive, non-transferable, revocable right” to access and use AAI-Hosted Software and a matching licence to install and operate Customer-Hosted Software, “each in amounts provisioned for Customer by AAI solely for Customer’s and/or its Affiliates’ internal use in connection with Customer’s and/or its Affiliates’ ordinary business operations”.[1] The Customer may exercise these rights “through its third-party service providers and Customer’s Affiliates”, who must comply with the IAA, with the Customer responsible for their acts.[1] “The Software is licensed to Customer, not sold.”[1] Catalog proof: Use is limited to provisioned amounts for internal ordinary business operations; Third-party service providers and Affiliates may exercise the rights; the Customer is responsible.

Restrictions

Section 2.2 prohibits disclosing, selling, leasing or commercially exploiting the Software, creating derivative works, reverse engineering, and building bots designed to break laws or third-party terms. It also bars “competitive analysis, benchmarking, or the use, evaluation or viewing of the Software for the purpose of” creating a similar program.[1] Customers must give administrator rights only to qualified staff and ensure “that its users do not share their passwords”.[1] Catalog proof: No competitive analysis, benchmarking or reverse engineering.

Fees, overage and renewal

For Direct Purchases, an Order Form “constitutes a legally binding commitment to purchase” and fees are non-refundable. AAI may change its fees at any time, but a change “shall not affect the Customer’s then-current fees until the end of the subscription term”.[1] Use beyond the ordered volume or capacity may be billed “at AAI’s then-current applicable list prices”.[1] Invoices are payable within 30 days, and if undisputed fees are 30 days overdue AAI may suspend the Software after five days’ written notice.[1]

A subscription runs from the day AAI makes the Software available for the period in the Order Form. For Direct Purchases, unless either party gives notice “at least sixty (60) days before the end of the relevant subscription term”, payment for a renewal “will extend the subscription term for one year”, and promotional or one-time prices renew “at AAI’s applicable list price”.[1] Catalog proof: Usage above the ordered volume may be billed at list price; Direct subscriptions renew for one year unless 60 days' notice is given; Fee changes do not affect current fees until the term ends; Software may be suspended when undisputed fees are 30 days overdue.

Order of precedence

If the IAA conflicts with an Order Form (other than on payment terms) or a linked document (other than the DPA), “the terms of this IAA shall take precedence and control unless the Order Form or other document explicitly references and overrides a provision of this IAA”. Terms in a customer purchase order do not apply unless signed by both parties.[1] Negotiated changes therefore need to name the IAA section they override. Catalog proof: The IAA prevails over an Order Form unless the Order Form explicitly overrides it.

Virtualization & partitioning

The IAA contains no virtualization rule. For Customer-Hosted Software it refers to hosting “in Customer’s virtual private cloud or otherwise operated in a Customer environment”.[1]

Cloud / BYOL

AAI-Hosted Software comes with an uptime SLA and a security programme, with ISO 27001, ISO 22301 and Type 2 SOC 1 and SOC 2 certifications maintained for the term.[1] AAI may use anonymized and aggregated Usage Data to improve its products.[1] Under the AI Terms, AAI may use Inputs and Outputs to train AI Features only if they have been “de-identified or anonymized” and “aggregated with data of other customers”; customers that bring their own LLM (BYOL Applications) are subject to those providers’ terms.[5]

Programs

Free Trial

A Free Trial, proof of concept or other unpaid evaluation is free of charge and subject to the IAA. It ends when its licence keys or online access expire, when a purchased subscription starts, or when AAI ends it “in its sole discretion”. Trials get no support and no warranty, and AAI’s liability is limited to USD 100.[1] Catalog proof: A Free Trial ends at key expiry, purchase or AAI's termination.

Community Edition

Community Edition is a free cloud edition “designed for a single user to automate their own tasks, rather than for a large team to collaborate on automation”. Automation Anywhere names three intended uses: small businesses and non-profits, learners, and businesses test-driving the platform before upgrading.[4]

Who may use it. The agreement allows only two kinds of customer. A natural person “may only use the Service on one (1) machine”. A Small Business, including all its affiliates, may have “up to five (5) users” and process up to 100 Document Automation pages per month. An organization is a Small Business if it has fewer than 250 machines (physical or virtual), fewer than 250 users or less than USD 5 million in annual revenue; “If your organization exceeds any one (1) of the three (3) criteria listed above, your organization is not considered a Small Business.”[2] The current sign-up page repeats the test but states the small-business limit as “no more than five (5) machines within the organization”.[3] Catalog proof: Community Edition: natural persons on one machine, or Small Businesses only.

What it includes. Each user may use “one Bot Creator and one attended Bot Runner at a time” and has no unattended Bot Runner licences. A user can register several devices but run one bot at a time on one device, cannot schedule bots, and cannot export bots or import Agentic App Store bots. Document Automation is included; Bot Runner, Automation Co-Pilot, CoE Manager and administrator settings are not. Support is through the community user group.[4] Catalog proof: Community Edition users get one Bot Creator and one attended Bot Runner, no unattended.

Term. The agreement runs for 12 months from acceptance “unless extended by Company, in its sole and absolute discretion”, and Automation Anywhere “may, in its sole and absolute discretion, terminate this Agreement immediately”. The service is free of charge, and on termination all use must stop.[2] Accepting it on behalf of an employer binds that employer.[2] Catalog proof: The Community Edition agreement runs 12 months and can be terminated at any time.

For licence managers, the practical point is that employees of an organization above any one of the three thresholds are not eligible to use Community Edition for that organization.

Audits and compliance

The IAA has no right to audit premises. Section 8.5 instead requires the Customer, “Upon reasonable notice and written request”, to provide “information (e.g. audit logs) reasonably available to the Customer, sufficient to allow AAI to verify Customer’s compliance”.[1] Licence consumption is also reported to AAI automatically through Cloud licensing.[6] On termination or expiry the Customer “will cease all use of Software provided hereunder and return, or destroy upon AAI’s request, all copies”.[1] Catalog proof: Customer must provide information such as audit logs to verify compliance; On termination or expiry, use must stop and copies be returned or destroyed.

Liability, law and assignment

Each party’s aggregate liability is capped at the fees paid in the 12 months before the event (USD 100 for Free Trials), with a higher cap of twice those fees for security incidents and personal-data confidentiality breaches. The IAA is governed by California law, with exclusive venue in Santa Clara County. The Customer may not assign it without consent; AAI may assign it in a merger, acquisition or restructuring.[1]

Out of scope

The Data Processing Addendum, Business Associate Agreements, the uptime SLA and technical support terms linked from the IAA, and the services programmes in the Product-Specific Terms are not covered.
