- Customer Agreement s.5.5: the customer monitors and reports actual usage of subscription-based Proofpoint Products ("License Count") against the "Base License", the number of Licenses for which Subscription Fees were paid.
- Commercial rules
- Report the License Count by email to accounts receivable when it exceeds the Base License by 10% or more. Proofpoint may also produce a licence count at any time. Licences above the Base License are paid from the time they were activated through the remainder of the Initial or Extension Term. The legacy General Terms (2020) used a 5% threshold for back-dating and an annual count 30 days before each anniversary.
