
Proofpoint
Proofpoint makes email security, data loss prevention, security awareness, digital communications governance and AI security products. Its products are licensed on a subscription basis under the Proofpoint Customer Agreement, with the licence metric set in the quote or product terms.

A "License" is the licence metric (type and quantity) identified in the Proofpoint sales quote and/or the applicable Product Terms, and the customer needs a License to legally use a Proofpoint Product.[1]
Customers must monitor and report their actual usage ("License Count") and notify Proofpoint when it exceeds the paid Base License count by 10% or more; Proofpoint may also produce a licence count for verification.[2]
Licences used beyond the Base License are charged from the time they were activated through the remainder of the current term (true-up).[3]
Subscription terms renew automatically for Extension Terms unless either party gives notice of non-renewal at least 90 days before the end of the subscription term.[4]
Proofpoint publishes separate end-user licence terms for Proofpoint Essentials and for federal and SLED customers alongside its customer agreements.[5]
