- MSP Agreement s.2.2: KnowBe4 grants the MSP the non-exclusive right "to purchase from KnowBe4 and subsequently market and sell the Subscription Services with its managed services to Customers in the Territory on a per-seat, subscription basis subject to, and in accordance with, the Terms of Service during the Term."
- Commercial rules
- Customers of the MSP use the services under the Terms of Service, including auto-renewal. Seats are per customer and cannot be interchanged; reassignment only when the MSP's contract with the previous customer terminates (s.2.3). Fees are based on services acquired, not usage, and quantities cannot be decreased during the term (s.7.1). KnowBe4 may audit MSP compliance (s.4.2). The MSP runs the console for its customers, who get no administrative access (Standards of Engagement).
